A RESOLUTION APPROVING UTILITY AGREEMENT WITH KANSAS CITY POWER 8�
LIGHT COMPANY FOR INSTALLATION OF A NEW UNDERGROUND ELECTRICAL LINES
ALONG NORTHWOOD ROAD
WHEREAS, the Board of Aldermen have approved the construction of improvements to
, Northwood Road north of Highway 9; and
WHEREAS, in connection with the installation of such roadway improvements, it is
necessary and desirable to install a underground electrical lines along Northwood Road at an
estimated cost of $325,031.79 to the City of Riverside; and
WHEREAS, the parties desire to establish the rights and responsibilities of the City and
Kansas City Power & Light with respect to the installation of such underground electrical lines
and the Board of Aldermen find it is in the best interest of the City to approve the Utility
Agreement in substantially the same form as set forth in Exhibit "A° attached hereto; �,
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF ALDERMEN OF THE
CITY OF RIVERSIDE, MISSOURI, AS FOLLOWS: I
THAT an Agreement between Kansas City Power & Light and the City of Riverside in
substantially the same form as set forth in Exhibit "A" attached hereto is hereby approved and
authorized; and
FURTHER THAT the City Administrator, Mayor and/or Finance Director are hereby
authorized to execute all documents necessary or convenient to carry out the terms and
conditions of such agreement and the City Clerk is authorized to attest thereto.
PASSED AND ADOPTED by th��oard of Aldermen and APPROVED by the Mayor of

THIS AGREEMENT is made this 14`�' day of May, 2011, by and between
KANSAS C[TY POWER & LIGHT COlb1PANY, a Missouri corporation, with its
address at P.O. Box 418679, Kansas Cily, Missouri 64141, hereinafter called
"Company", and 'I'he City of Riverside, Missouri in the State of Missouri acting by
and through thc City Council, hereinafter called "City".
�'�'ITNESSETH:
WHEREAS, the City proposes to undergraund existing overhead electrical liues on N
Northwood Rd from NW 52°`� St to Montebella Rd in Riverside, Missouri for road
improvemcnts.
WHEREAS, in order to construct and im�rove said electric line in accordance with said
plans, it will be necessary to adjust certain f3cilities of the Company so as to maintain thc
present services of said Company, such changes being generally shown in lcgend on
Company's plans, identified as Company s C.O. No. 03-67909 co��sisting of two (2)
sheets, which plans are by reference incorporated herein and madc a part hereof.
NOW, THEREFORE, in consideration of tl�e mutual covcnants herein contained, it is
�greed as follows:
L Company's facilities which will be rebuilt underground include distribution lines
which are essential for Company to keep in operation in order to turnish contiimous
electrical service to Company's customers scrved by said lii�es. Therefore, Company

may maintain such facilities in their existing locations until such time as new right of way
is acquired or made available and/or govenunental pennits are secured by the Company
for placeinent of its rclocated facilities and it has relocated existing facilities or
constructed new facilities as reyuired.
Company will proceed with the relocated and/or construction without
unreasonable delay atter the ucw right of way is secured.
2. Coinpany shall develop the adjustment cosCs of the work by using the actual and
related indirect costs accumulatcd in accordance with Company's established work order
accouuting procedure, and Company shall keep a detailed and accurate account of all
labor, inaterials, supplies, incidentals and other necessary costs involved in such work.
The City engineer or any other authorized agent of the City shall have access at all
reasonable times to such Company records.
3. Company shall notify the City of the nature and cxtcnt of any substantial change
made in the plans hereinabove referred to, aiid such plans shall thereupon be deemed
modificd to include such changes.
4. City is responsible for the cost oF special ditching rcquircd for soil conditions
including, but not limitcd to the presence of rock or other environmental issues which
prevents the use of normal trenching and backtilling practices used in treuehable soil.
City is responsible for maintaining ��rade and clearance during Company's construction.
5. City will reirnburse the Company fi�r the cost to reloc�te Company's facilities from
overhead to ui�derground due to this project.
6. City's obligation for such relocalion is estimated to be $325,031.79. This estimate
is based on 2011 labor and material costs, and may change significai�tly depending upo�1
the actual date of construction. Again, these are esti�nated costs, with final costs
dependent upon actual consti�uction. Upon completion of the work in accordance with

the plans, City will promptly reimburse Cornpany for the cost of such work upon
submission of a statcment for such cost to the City.
IN WITNESS WHEREOF, the patrties hereto have caused this Agreement
be duly exccuted as of the date first above written.
