A RESOLUTION APPROVING A UTILITY AGREEMENT WITH KANSAS CITY POWER &
LIGHT COMPANY FOR RELOCATION AND UPGRADE OF EXISTING OVERHEAD
ELECTRICAL LINES AS WELL AS INSTALLATION OF NEW UNDERGROUND
ELECTRICAL LINES ALONG NW VAN DePOPULIER
WHEREAS, the City and Briarcliff Realty, LLC, a Missouri limited liability company, now
known as NorthPoint Holdings, LLC, ("NorthPoinY') entered into a Master Development
Agreement dated May 10, 2011 ("MDA") which provides for, among other items, the delivery by
the City of certain utilities to the Briarcliff Horizons Site (as defined in the MDA) as set forth in
Section 5.11 and Exhibit R of the MDA; and
WHEREAS, in connection with such development, it is necessary and desirable to
relocate and upgrade existing overhead electrical lines as well as install new underground
electrical lines along NW Van DePopulier at an estimated cost of $255,084 to the City of
Riverside; and
WHEREAS, the parties desire to establish the rights and responsibilities of the City and
Kansas City Power & Light with respect to the installation of such electrical lines and the Board
of Aldermen find it is in the best interest of the City to approve the Utility Agreement in
substantially the same form as set forth in Exhibit "A" attached hereto;
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF ALDERMEN OF THE I
CITY OF RIVERSIDE, MISSOURI, AS FOLLOWS:
THAT an Agreement between Kansas City Power & Light and the City of Riverside in
substantially the same form as set forth in Exhibit "A" attached hereto is hereby approved and
authorized; and
FURTHER THAT the City Administrator, Mayor andJor Finance Director are hereby
authorized to execute all documents necessary or convenient to carry out the terms and
conditions of such agreement and the City Clerk is authorized to attest thereto.
PASSED AND ADOPTED by the Board of Aldermen and APPROVED by the Mayor of

THIS AGREEMENT is inade this 9 day of March, 2012, by and between
KANSAS CITY POVVER & LIG��T C01�1PANY, a Missouri corporation, with its
address at P.O. Box 418679 Kansas City, Missouri 64141, hereinafter called
"Company", and The City of Riverside, Missouri in the State of Missouri acting by
and through the City Council, hereinalter called "City".
WITNESSETH:
WHEREAS, the City proposes to upgrade and relocate existing overhead electrical lines
as well as install new under�round electrical lines along NW Van DePopulier froin 3800
to 4400 and crossing Harizons Pkwy at N W 39`�' St and NW 41'` 5t in Riverside,
Missouri for Riverside Harizons Development.
WHERP:AS, in order to conshuct and improve said electric line in accardance with said
plans, it will be necessary to adjust certain facilities of the Company so as to maintain the
present services of said Company, such changes being generally shown in legend on
Company's plans, identified as Company's C.O. No. 03-67481 consisting of two (2)
sheets, which plans are by reFerence incorporated herein and made a part hcrcof.
NOW, THEREFORE, in consideration of the mutual covenants herein contained, it is
agreed as follows:
1. Compax►y's faciliYies which will be relocated and rebuilt include distribution lines
�vliich are essential for Coinpany to kcep in operation in order to fui7iisl� continuous

electrical service to Company's customers served by said lines. Therefore, Company
may maintain such facilities in their cxisting locations until such time as new right of way
is acquired or made available and/or governmental permits are secured by the Company
for placement of its relocated facilities and it has relocated existing facilities or
constructed new facilities as required.
Gompairy will proceed with the relocated and/or construction without
unreasonable delay after the new right of way is available.
2. Gompany shall develop the adjustment costs of the work by using the actual and
related indirect costs accumulated in accordance with Company's estabiished work or�ler
accounting procedure, and Company shall keep a detailed and accurate account of all
labor, inaterials, supplies, incidentals and other necessary costs involved in such wark.
The City Engineer, or any other authorized agent of the City shall have access at all
reasonable times to such Company records.
3. Company shall notify the City of the nature and extent of any substanrial change
made in the plans hereinabove referred to, and such plans shall thereupon be deemed
moditied to include such changes.
4. City is responsible for the cost of special ditching required for soil conditions
including, but not limited to the presence of rock or other environmental issues which
prevents the use of normal trenching and backfilling practices used in trenchable soil.
City is responsiblc for maintaining grade and clearance during Company's construction.
5. City will reimburse the Company for the cost of adjust�nents at�ecting those
portions of Company's facilities, which were installed on private property and are being
relocated due to this project.
6. City s obligation for such relocation is estimated to be $255,OR4. This estimate is
based on 2011 lahor and material costs, and may change significantly depending upon the
actual date of construction. Again, these are estimated costs, with t3nal costs dependenY

upo�� aetual construclion. Upon completion of the worlc in accordance with the plans,
City will promptly reimburse Company for the cost of such work upon submission of a
statement for such cost to the City.

TITLE: A Resolution Authorizing KCPL to Extend Electric Service to Riverside Horizons
Development.
BACKGROUND:
The City entered into a Master Development Agreement (MDA) wzth Briarcliff Realty, now NorthPoint
Development (NorthPoint). As part of the MDA, the City is responsible for the extension of certain utility
infrastructure to the Riverside Horizons site east of Horizons Parkway. The City budgeted $2,500,00o for the
extension of electric, gas and water service to the site. Once the service is delivered to the site, the extension of
utilities is done by the master developer and is paid out of the joint escrow fund that is financed by NorthPoint
(5i%) and the City of Riverside (49�)•
This resolution authorizes the City to enter into an agreement with KCPL to upgrade the existing single phase !,
line located on the west sidc of Van De Populier to a feeder line (3-phase) from the BNSF tracks to just south of
39` Street. It also provides for the extension of the feeder line under Horizons Park�vay east to the site and
allows for the underground extensioii of lines to serve both the industrial and office components of the
development. The form of the KCPL Utility Agreement is exactly the same as previously approved by the Board
for the Northwood Road and Line Creek Bridge projects.
Please see the attached exhibit from the MDA identifying the scope of ivorlc for the electric service. Cost of the
project is estimated at $255,084. After the project is complete, KCPL �n211 provide an statement of construction
that verifies the final actual costs. This project is not eligible for revenue justification, but will be exempt from
CIAC which is a 25% tax on all electric infrastructure projects because it was initiated in 2ou when KCPL I
received federal stimulus funds for infrastructure improvements. �
BUDGETARY IMPACT: '�
The total cost for construction of this project is estimated to be $a55,o84. Funds for the project will come from
the Horizons Infrastructure Fund.
