AN ORDINANCE AMENDING THE AGREEMENT FOR ENGINEERING SERVICES WITH
SHAFER, KLINE, & WARREN RELATED TO THE NORTHWOOD ROAD PHASE II PROJECT
TO ADD ADDITIONAL SERVICES RELATED TO THE SURVEY AND MAPPING OF
IMPROVEMENTS FOR ANNEXATION OF SUCH IMPROVEMENTS INTO THE CITY LIMITS,
RESULTING IN A TOTAL AMOUNT FOR ENGINEERING SERVICES ON SUCH PROJECT
NOT TO EXCEED $455,420.00
WHEREAS, the City of Riverside, Missouri ("City") entered into an agreement with
Shafer, Kline, & Warren for provision of engineering design and basic professional engineering
services related to the Northwood Road Phase II Project pursuant to Ordinance 2009-31
(hereinafter the "AgreemenY'); and
WHEREAS, the Scope of Services under such agreement was amended on February
13, 2012 pursuant to Ordinance 1103 to provide for additional engineering services related to
design of the improvements to Northwood Road Phase II Project; and
WHEREAS, there is a need to further amend the Scope of Services to provide for
additional survey work, drafting of legal descriptions and production of maps associated with the
annexation of a portion of the roadway into the City of Riverside, such services more fully
described in Exhibit A attached hereto to be provided at a cost not to exceed $2,420, plus out of
pocket expenses not to exceed 10%; and
WHEREAS, the Board of Aldermen find it is in the best interest of the citizens of the City
of Riverside to provide for such additional Services;
NOW THEREFORE, BE IT ORDAINED BY THE BOARD OF ALDERMEN OF THE
CITY OF RIVERSIDE, MISSOURI, AS FOLLOWS:
SECTION 1— AMENDMENT APPROVED. Execution and delivery of an amended
scope of services with Shafer, Kline, & Warren in substantially the form attached hereto as Exhibit
A, in the amount of $2,420.00 for professional services related thereto is hereby approved, ratified
and authorized to the Agreement, resulting in a new contract amount not to exceed $455,420.00.
In addition, out of pocket expenses not to exceed 10% of the additional contract amount are hereby
approved and shall be paid upon submission of proof of such expenditures related to the project.
SECTION 2— AUTHORITY GRANTED. The Mayor, the City Administrator, the City
Attorney and other appropriate City officials are hereby authorized to take any and all actions as
may be deemed necessary or convenient to carry out and comply with the intent of this
Ordinance and to execute and deliver for and on behalf of the City all certificates, instruments,
agreements and other documents, as may be necessary or convenient to perform all matters
herein authorized and any actions taken prior to the adoption of this ordinance are hereby
ratified and approved.
SECTION 3— EFFECTIVE DATE. This Ordinance shall be in full force and effect from
and after its passage and approval.

Agreement for Professional Services
Dear Mr. Duffy:
Thank you for considering Shafer, Kline & Warren, Inc. (SK� to provide professional services
in conjunction with the prepazation of a legal description and exhibits for the annexation of the
Northwood Road right-of-way into the city limits of Riverside, hereafter called the "ProjecY'.
A detaifed description of our proposed services on the project is provided in the attached Basic
Services Summary.
Our compensation for completing the services listed in the Basic Services Summary wifl be a
lump sum fee of $2,420.00 which does not include the cost of reimbursable expenses.
Reimbursable expenses (out-of-pocket expenses such as printing, vehicle mileage, delivery
chazges, filing fees, or application fees, etc.) will be invoiced at actual cost, plus ten percent
(10%) to cover administrative overhead.
You will be invoiced monthly, based on the project progress that has occurred. All invoices are
due and payable on receipt and will be considered past due if payment is not received within 21
days. Once project invoices are past due, an interest chazge will accrue to your account at the rate
of one and one half percent (1%:%) per month, and we will retain the right to cease work on the
project until satisfactory arrangements aze made to settle the account.
We expect to begin our services promptly, after receipt of your acceptance of this proposal, and
complete our work, with all due diligence and in a timely manner. If there aze protracted delays,
for any reason, we will notify you immediately. City of Riverside agree(s) to provide all
necessary information for the performance of our services within a reasonable time after it is
requested and that SKW will be given timely access to the project site, as necessary, to complete
the proposed professional services.
The fopowing individuals aze designated as primary project representatives for City of Riverside
and SKW. These individuals shall be the primazy point of contact and shall receive all
correspondence or notices.

This agreement, along with the attached Basic Services Summary and Terms and Conditions (2
pages), represent the entire understanding between us in respect to this project. The Terms and
Conditions detail many provisions affecting this agreement, including some which limit SKW's
liability regazding the project. The Terms and Conditions should be read and understood before
entering into this agreement. If, after your review, you aze not in agreement with any provision
contained in the Terms and Conditions, please contact us so that we may address your concem.

please sign the enclosed copy of this agreement in the space provided below and return it to us.

BASIC SERVICES SUMMARY
Attached to and made a part of the Agreement for Professional Services dated March 30, 2012,
by and between City of Riverside and Shafer, Kline & Warren, Inc., in respect to the preparation
of a legal description and exhibits for the annexation of the Northwood Road right-of-way into
the city lunits of Riverside, the "ProjecY' described therein.
SCOPE OF BASIC SERVICES
For the compensation outlined in this Agreement, SKW will perform the following professional
services. Services not detailed within the Scope of Basic Services are specifically excluded from
the scope of SKW's work and SKW assumes no responsibility to perform any services not
specifically listed.
]. SKW will prepaze a written legal description of the portion of Norfhwood Road right-of-
way lying west of the current city limit line.
2. SKW will prepare two color exhibit maps, the first a detailed map of the annexation azea,
the second a more general exhibit map.
ADDITIONAL SERVICES
If agreed to by the client and SKW, we will provide Additional Services related to the Project.
Additional Services aze those not included as part of the Basic Scope of Services and shall be
paid For by the Client in addition to payment for Basic Services, in accordance with SKW's
prevailing fee schedule, in effect at the time that such services are rendered, or as otherwise
agreed to by the client and SKW.

RE: Northwood Road phase 2— SKW Scope of Services for Annexation
BACKGROUND: A porcion of the right-of-way acquired for this project is in unincorporated
Platte County. This includes the properties along the west side of the roadway
from the north edge of the Montebella subdivision to Ridgeview Rd. The City
will maintain the Right-of-way in this section of Northwood Rd, which includes a
retaining wall and fence, and will annex this section. SKW is the design engineer
for the project and has submitted a proposal to move forward with performing
the survey work, legal descriptions and maps necessary to proceed with the
annexation.
RECOMMENDATION: SKW was the design engineer for the Northwood Road construction project.
Approval of the scope of services for SKW to perform the work related to the
annexation is recommended by staff.
BUDGETARY IMPACT: The cost of professional engineering services for Phase II will increase in the
amount of $2,420 (from $453,000 to $455,420) and there are sufficient funds in
the existing budget for the additional expenditure. Reimbursable out of pocket
expenses will be in addition to the professional fees and will not exceed 10% of
the additional contract amount.
