A RESOLUTION APPROVING AN AGREEMENT WITH FAIR BASED PRODUCTIONS FOR
THE RIVERSIDE COMMl1NITY THEATER EXPERIENCE AND APPROVING EXECUTION OF
AN AGREEMENT IN CONNECTION WITH THE PROVISION OF SUCH SERVICES
WHEREAS, the City issued a request for proposals for the provision of community
theater production services within the City and Fair Based Productions submitted its proposal to
provide such services; and
WHEREAS, the Board of Aldermen find it is in the best interest of the City to enhance
the activities offered within the City at the Riverside Community Center by entering into a
cooperative agreement with the Fair Based Productions to provide such services as set forth in
the Agreement attached hereto and incorporated herein by reference; and
WHEREAS, the Board of Aldermen further find that the activities and services provided
by the Fair Based Productions contribute to the welfare of the City as well as the economic and
sociai potential of the City and its residents, that such services are important to the welfare of
the City, and that the provision of the activities and support of such services and activities are
for a public purpose;
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF ALDERMEN OF THE
CITY OF RIVERSIDE, MISSOURI, AS FOLLOWS:
THAT execution of an agreement with the Fair Based Productions to provide Community
Theater Production Services at the Riverside Community Center in substantia{ly the same form
as Exhibit "A" attached hereto, is hereby authorized and approved; and
FURTHER �HAT the City Administrator, Mayor and/or Finance Director are hereby ,
authorized to execute all documents necessary to carry out the terms and conditions of such
service agreement and the City Clerk is authorized to attest thereto.

THIS AGREEMENT entered into on this� da o 2012, b and between the CITY OF

RIVERSIDE, MISSOURI ("City"), and the FAIR BASED PRODUC N "Provider").
WHEREAS, the Provider is a Missouri corporation providing community theater services ("Services") for public
entertainment and enjoyment; and
WHEREAS, the Provider desires to enhance the activities offered by the City at the Riverside Community Center
("Property") by producing three live theater shows which will be available to residents of the City as set forth herein; and
WHEREAS, the City finds it is in the best interest of the City to offer the community theater program established
by the Provider on the Property; and
WHEREAS, the parties desire to set foRh the terms and conditions upon which such services with be provided on
the Property;
NOW THEREFORE, IN CONSIDERATION of the mutual covenants and agreements set forth herein, the parties
agree to the following:
1. That the Provider shall provide the Services set forth in the Project Narrative attached hereto as Exhibit "A"
during the period beginning August 1, 2012 and ending June 30, 2013.
2. That the Provider agrees to maintain liability insurance as well as insurance on its own equipment and
personal property during the term of this Agreement. The Provider will defend and indemnify City against
any claims, losses or expenses resulting from the Provider occupancy and use of the Property under this
Agreement.
3. That the Provider agrees to execute and satisfy the conditions of the City's standard Facility Use Agreement
as set forth in Exhibit "B" for use of ffie Property, with the sole exception of Paragraph 1 relating to Licensed
Space Payment and time limitations which are specifically set foRh herein.
4. That the Provider will obtain a signed Consent and Release Form as set forth in E�chibit "C" from the parent
or legal guardian of each participant in the program who is under the age of 18 and provide a copy of such
form to the City.

RE: Riverside CommunityTheater—Contract with Fair Based Productions
This spring, the City released an RFP for Community Theater Services. It received one response from Fair
Based Productions, who was the contract last year as wel1. The contract incfudes three performances at the
Community Center and has a total cost of $7,950 ($2,650 per show). For each show, 100 free tickets are
available for Ri�erside residents. Regular admission to the show is $2.50. The FY 12-13 Community Center
Special Programs budget includes enough funds to cover this expenditure.

for the 2012-2013 year,
As you know, FBP was awarded this contract last year and has been involved with Riverside since 20d0.
FBP has produced 27 shows tn Riverside through these years.
Find enclosed the bid from Howard A. Prast d,b.a. Fair Based Praductlons to produce three shows in the '
upcoming year.
The totai of the bid for 2012-13 is $7950.OQ, the same as last year's totel. Please, know that I have
crunched these numbers as tight as I can ta praduce 3 shows with theS2.50 admission fee.

Qualificatlons
In Juiy 2011, Fair Based ProducNons entered its 25 year of producfng Community Theatre North of the
River. During this past quartar of a century, F.B.P. has produced 108 shows, all wlth local, volunteer,
actors and techntcians. No member of the comnanv has ever been naid for their work on these shows.
History of the company:
F.B.P. started in 1987, by producing an Old West Melodrama for the Platte County fafr (a venue the
company has returned to each and every summer since); that show went on to perform at Parkville Days
later that Fal4, F.B.P: s Summer shows have toured to perform in Parkville, St. Joseph at the Tralis Westf
Festivai, Leavenworth KS, Faucett, Smlthville, Liberty , Antioch Shopptag Center, 2ona Rosa, and
Hiawatha, K5.
f.B.P, found Its first'borrowed' home In the spring of 1988, entertng (nto an agreement with a parkville
Restaurant to produce dfnner shows every other month.
Fram 1989 to 1992, F.B.P. operated the Main Street Dlnner Theatre fn Platte Cfty, {n conJuncHon wlth
Mary Ann Brooks, buttding owner,
1992 saw a reorganization of the company, in which Howard A. Prost became the sole proprietor of the
assets of the company.
1993 saw the first of what would become an annual tradition; The Christmas Show. The company
produced Dickens' "A Christmas Caroi" in con)unctlon with Parkville's Christmas on ihe Rlvet. The show
performed in the Chapel at Park Untversity, a venue FBP returned to far seven years.
The Chrlstmas show moved to llnlon HaN fn Riverside fn 2000, and to the Riverside Community Center (n
2001. It further exQanded to perform at the Platte City Civ+c Center in 2003.
2d04 saw F.B.P. return to year round productlons, 7he company added Fall and Spr3ng dinner shows to
its Summer/Christmas schedule,
F.B.P. condnued to produce shows in both Riverside and Platte City unti� 2007, when the contract with
Platte City expired.
FBP then moved fuN time to its favorite `borrowed home': Riverside,
Tour Qualiflcatlons:
F.B.P, is uniquely qualified to produce travelling shows. Since its fnception, F.B,P, has tnured shows to
various locations (from circus tents to pole barns, apen flelds, to stages In community centers),

F,B.P. malntains a complete warehouse and scene shop year round, through an agreement wlth the
Platte Caunty Fair, All sets are pre-built and painled at our scene shop for transpott and assembly at the
tour location. Afi sound, lighting, and other necessary equipment are housed wlth(n the warehouse.
Owner Quallflcattons:
Mr, Prost was one of 6 original members of F.B.P.in 1987, and became sale praprletor fn 1992.
He began do(ng theatre in 1971, went on NWMSU to earn a B.S.Ed. in Speech and Theatre. He taught
Theatre, Speech, Debate, and Engfish at Park Hill H.S. for 25 years. He retired from 'pubtic education' in
2004 to continue teaching theatre...in the CommunityTheatre venue.
Mr. Prost has been involved in Cammunity Theatre since 1983 when he first worked with the Beli Road
Barn Playhouse in Parkville. Mr. Prost was fortunate to be able to learn `CommunityTheatre' from
BRB's founderlenkin David his first year wfth that company. Durtng his 4 year tenure, he served as Vice-
President, Artistic Directar, Technical Director, Stage Director and Actor.
Mr. Prost left the Bell Road Barn In 1987 to pursue his personal goal of operatfng a family friendly
production company.
Mr. Prost has been invalved with all aspects of production and business operations for 139 community
theatre praducNons, and has over 182 productions listed on his personal resume.

Riverside Community Theatre Proposal (2011-2012)
H.A.P. dba F.B.P. will provide:
1) All sou�id, lighting, scenery, and props necessary to produce the 3 shows.
2) Payment of all royalties, fees, and scripi purchases to produce the sl�ows.
3) Storaga of all equipment and items necessary for the production, prior to '7 days
prior to the first performance.
4) 1�0 free tickets (for show only} to the City ofRiverside, to distribute at their
discretion, for each show produced.
5) The banner on al1 programs, advertising, posters, mailings, eto. wiil list the
performance as `The Riverside Community Theatre, produced by Fair Basect
Productions', and wili inciude the City of Riverside Logo, witli permission.
S} All Public Relations aecessary to the production (inciuding Print, Maif, and
Electronic). The City of Riverside is not here precluded from also promoting the
productions at their discretion.
7) All reservation information for pahvns wili be handled through FBP.
8) Payment to all sub-contractors (I.E: [but not limited to] Dinner Caterers, etc.) will
be made by FBP, and the City of Riverside shall not be held responsible for any
incurred debts tp sub-contractors of FBP,
9) FBP willl�ave the Comm. back to open & usable status by 6:OOam of the date
immediately following #he close of all shows (any equipment not able to be
transported at the close of a show shali be stowed in an area acceptable to the
Riverside liason, and removed no later than the Monday fopowing the close of
each show).
l0)FBP will provide a achedule of rehearsals to the Comm. for staffing purposes.
The City of Riverside wil! provide
1) The Community Center (in total), free of renYal charges, 7 days prior to the
opening of each performance, through the end of each of the performances.
2) Audition space in the meeting rooms (as available), free of rental charges, 6 to 8
weeks prior to the opening performance of each show. '
3) Rehearsal space in the meeting rooms (as available), free of rentat charges, not to
exceed Suvday a8ernoons (3:OOpm — S:OOpm), and 3 weekday evenings per week
(Monday through Thursday; 7,�Opm — 9;OOpm) for the 6 weeks prior to the
opening performance. Dates negotiable; priority will be given to Riverside
Comm, rental events,
4) Storage and security of a(I equipment necessary to the production from 7 days
prior to the first performance throu�U the closing of the performance.
5} Access to the Comm. Center, thraugh the Dept. of Public Safety, as needed, 7
days prior to first performance through #he closin� date of each show.
b) Staffing of the facility, at their discretion during rehearsal and load-in, but at all
tintes during performances while patrons are in the facility,

1) Artistic license and show sefection (approval of seiected shows niay be subject to
approval by the City of Riverside), but show selection and casting will remAin the '
sole right of H.AP. dba F.B.P.).
2) Sell admission to the performances Q$2.50 per person.
3) Sell Dinner and Show admission @$Z0.�0 per person,
4) No additional discounts will be given for children, seniors, groups or others.
5} All sponsorships sold for the production.
6) All concessions and/or lobby sales.
7) F.B.P. will have sole control of selection of the dinner caterer for the productions.

commuuity theatre experience to Riverside, and to have been the provider of not only
community theatre, but Dinner Theatre, as well, to Riverside these last ten years. Near[y
10,000 people have enjoyed our Riverside productions these last ten years; we have
drawn audiences from a 75 mile radius, and hope to continue to grow, with Riverside.
That growth has expanded tremendously this past yenr since our pttrrtnership started,
despite hard economic times.
I hope we can continue, as partners, to bring people in to see the NEW Riverside, a venue
FBP is traly praud to be a part of.

COMMUNITY THEATER PRODUCTION
April 2, 2012
Tfie City of Riverside invites qualified companies or organizations to submit proposals to provide Community
Theater Production 5ervices at the City of Riverside Community Center, 4498 NW Hlgh Drlve. Proposals are due
by April 3Q 2012 at 12 p.m.
Lacation
City of Riverside Community Center, 4498 NW Wigh Drive, Riverside, Missouri 64150.
Scope
Production Services
A. Contractor will prov(de three community theater productions each year — a fall, spring, and Christmas
production.
B. The shaws shall be offered on two consecutive weekends on Friday and Saturday night, with the optfon
of a matinee show.
C. Practice and show dates will be agreed upon by the City and the contractor in advance and are subJect
to other scheduled programming at the Communfty Center.
Manasement Services
A. Contractor will manage ail booking, scheduling, marketing, event services and ticket selling servlces.

A: Coniractor shall be solely respansible for providing all audio visual equipment, props and any other
equipment required for show production. In additfon, contractor is responsible for storage, set up and
take down. No storage optfons are available within the Rtverside Community Center.
B. Contractor must comply with Section 285.530 RSMo. concerning employment of unauthorized aliens. '
Insurance ,
A. Contractor shafl pravide and list City as an additional insured on all requfred worker's compensation ',
insurance and liabflity Insurance of $1,000,000/$1,000,000/$500,000.
Financial Arranaement '
A. Contractor wlll be pafd by the Clty an agreed upon amount to praduce the Riverside Community Theater
Program each year per the terms outlined in the scope and final contract.
e. Contractor will receive use of the Riverside Community Center for practices and the show at no cost.
C. The selected company will retafn all ticket sales, corporate sponsorship or other unearned revenue
generated by the shows.
�. The City of Riverside shall rece(ve at least 1� tickets for each production at no additional cost.
Reservation of Rights
The City of Riverside reserves the right to evaluate all proposals and select the proposal which,,in its sole
dlscretfon, is in the best interest of the City. The Cfry also reserves the right to rejett any and all proposals or to
enter into negot(ations with any person to provide the services on such negotlated terms and conditions that
will be in the best interest of the City.

The submission package must lnclude:

B. Statement of Qualifications
C. Community Theater Production Cost Proposal
Submit an uriginal and three (3) copies in an envelape clearly marked "Community 7heater RFP" no later than 12
p.m. on April 3D, 2012. Late submissions will not be accepted.
