A RESOLUTION AUTHORIZING THE CITY OF RNERSIDE TO ENTER INTO A SERVICES CONTRACT
WITH THE RIVERSIDE AREA CHAMBER OF COMMERCE
WHEREAS, the Riverside Area Chamber of Commerce ("Service Provider") is a not-for-profit
corporation providing economic development, business development and retention, and community promotion
services ("Services"), to businesses and residents located in or near the City of Riverside (the "City"); and
WHEREAS, Service Provider desires to continue to provide such Services and City desires to assist
Service Provider by providing office and rental space for no charge; and
WHEREAS, the Board of Aldermen find that the provision of the Services is a public purpose and the
City has the capability and desire to assist Service Provider in continuing to provide Services to the public
within the City; and
WHEREAS, the Board of Aldermen find the City's best interests are promoted and aided by entering
into an agreement with the Service Provider for the provision of the Services; and
WHEREAS, The City and the Service Provider have negotiated and agreed upon the terms and
conditions for provision of such Services;
NOW, THEREFORE, BE IT RESOLVED, BY THE BOARD OF ALDERMEN OF RIVERSIDE,
MISSOURI, AS FOLLOWS:
THAT the provision of the Services are hereby found to contribute to the welfare of the City as well as
the economic and social potential of the City, its business community and its residents, that the Services are
important to the welfare of the City and that the provision of funds to assist in providing such Services are for
a public purpose;
FURTHER THAT the City of Riverside shall assist Service Provider in continuing to provide services
to the businesses and residents of the City pursuant to a Services Agreement, in substantially the form
attached as Exhibit A, which is hereby approved;
FURTHER THAT the Mayor is authorized and directed to execute the Services Agreement in
substantially the same form as set forth in Exhibit A attached hereto. The Mayor and city staff are authorized
to perform all acts and execute any other documents necessary or desirable to effectuate the intent of this
Resolution.

SERVICES AGREEMENT
THIS SERVICES AGREEMENT entered into on this �° day of �, 2012, by and between the CITY
OF RIVERSIDE, MISSOURI ("City"), and the Riverside Area Chamber of Commerce ("Service Provider").
WHEREAS, Service Provider provides economic development, business development and retention, and
community promotion services ("Services") for citizens in the region, including the City; and
WIIEREAS, the City desires that such Services be available to its businesses and residents, desires Service
Provider to provide such Services, and desires to provide funding and office space to assist Service Provider in providing
for the Services for the City's residents; and
WHEREAS, the Ciry has found that the provision of the Services contributes to the welfaze of the City as well as
the economic and social potential of the City and its residents, that the Services aze important to the welfare of the City
and that the provision of funds to assist in providing such Services aze for a public purpose;
NOW THEREFORE, IN CONSIDERATION of the mumal covenants and agreements set forth herein, the parties
agree to the following:
1. That Service Provider shall provide the Services for the City pursuant to the terms of this Service
Agreement for a term of one year commencing on July 1, 2012 and ended June 30, 2013.
2. That the City shall pay regular membership dues associated with being a member of Service Provider.
3. The City may provide space and access to all facilities to Service Provide at the Riverside Community
Center for monthly membership meetings for no charge. The use of the Community Center for such
meetings shall be contingent upon the availability of such space at the time such need azises. The City
retains the right to deny the use of the space on any particular date, in its sole discretion, as determined by
the City Adminishator.
4. Subject to availability from time to time, the City may provide office space for one employee of Service
Provider at no charge. The right to utilize the office space may include the use of any phone and
computer equipment available in such office; however, if no such equipment is available, City shall have
no duty to purchase or provide such equipment.
5. That the Services provided by the Service Provider shall include, but not be limited to: economic
development, business development and retention, and community promotion.
6. Service Provider will provide the City with a copy of Service Provider's annual program budget with a
brief summary of the accounting controls used. Further expenditure reports including, but not limited to,
the number of Riverside businesses and residents served, a detailed explanation of services provided, and
a detailed explanation of program expenditures is required on an annual basis.
7. This agreement may be terminated in whole or in part by either party upon 30 days written notice to the
other party.

RE: Contract for Services — Riverside Chamber of Commerce
Background
During the process of reviewing the Special Event and Private Function Rental Policies, staff identified that the
Chamber of Commerce has historically not paid any fees for its utilization of the Community Center for
monthly membership meetings. The Chamber also currently pays $100 per month to the City in rent for its
office in the Municipal Court area. As a means to address this issue and provide documentation of our
partnership moving forward, staff recommends entering in a contrect for services with the Riverside Chamber
of Commerce.
Agreement Details
In return for the services provided by the Riverside Chamber of Commerce to the City of Riverside, including
economic development, businesses development and retention, and community promotion, the City will:
- Waive the fees to utilize the Community Center for its monthly membership meeting
- Provide office space in City Hall free of charge
Both of these provisions will be contingent upon available space and the agreement will be renewed annually
by the Board of Aldermen. The agreement can also be terminated with a 30 day notice.
Budget Impact
The estimated value of the rental fees covered under this agreement is $2,700. This amount is less than the
sponsorship the City provides to the Northland Regional Chamber of Commerce ($5,500) and Platte County
Economic Development Council ($10,000).
Board Action
The Board of Aldermen heard the details of this Agreement at the September 11, 2012 meeting and directed
staff to move forward with preparing the agreement under the terms stated above and bring it back for
consideration at the October 2, 2012 meeting.
