A RESOLUTION AUTHORIZING AN AGREEMENT WITH LYNCHPIN IDEAS, LLC FOR
NEWSLETTER AND SOCIAL MEDIA SERVICES IN AN AMOUNT NOT TO EXCEED $12,000
WHEREAS, the City issued a request for the submission of qualifications for the purpose of
producing the monthly newsletter and managing its social media sites; and
WHEREAS, proposals were received from four(4) providers of such services and following
thorough evaluation and negotiation, the proposal submitted by Lynchpin Ideas, LLC to provide
such services was deemed by staff to be the most advantageous for the City and is recommended
by the Purchasing Agent; and
WHEREAS, the Board of Aldermen find it is in the best interest of the citizens of the City of
Riverside to enter into an agreement with Lynchpin Ideas, LLC in substantially the form attached
hereto as Exhibit "A ";
NOW THEREFORE, BE IT RESOLVED BY THE BOARD OF ALDERMEN OF THE CITY
OF RIVERSIDE, MISSOURI, AS FOLLOWS:
THAT, the Letter Agreement by and between Lynchpin Ideas, LLC and the City of Riverside,
Missouri, in substantially the same form attached hereto as Exhibit "A" is hereby authorized and
approved in an amount not to exceed $12,000 for during the next six (6) months with the option for
the City Administrator to renew such services for an additional six (6) months upon the same terms
and conditions;
FURTHER THAT that the Mayor or Interim City Administrator are authorized to execute the
Letter Agreement and all documents necessary or incidental to the performance thereof, and the
City Clerk is authorized to attest to the same;
FURTHER THAT city staff is authorized and directed to perform all acts necessary or
desirable to effectuate the intent of this Resolution.
PASSED AND ADOPTED by 1p Board of Aldermen and APPROVED by the Mayor of
the City of Riverside, Missouri, the � y of February, 2013.

Dear Meredith:
Thank you for choosing Lynchpin Ideas, LLC, to handle your Newsletter / Social Media
production for the City of Riverside.
The term of this project is February 5, 2013 — August 5, 2013.
The details of the work are as follows:
Newsletter- Develop editorial content, write articles and lay out the City of Riverside's
monthly newsletter. Each month we will sit down to determine editorial content, then
Lynchpin Ideas will take it from there, compiling information, conducting interviews
and writing the stories. The content and features will match that of the existing Current
newsletter. City of Riverside will provide photos when applicable; Lynchpin Ideas will
purchase inexpensive stock photos when needed and pass those costs to City of
Riverside.
Social Media: Every month post newsletter content, develop 2 -3 blog stories and create
and post roughly 26 monthly entries on Facebook & Twitter
The estimated monthly costs for this work, based on a six-month retainer, are:
Newsletter: Story development, writing and layout $1360.00
Social Media: Post newsletter articles on blog, write 2 -3 blog features
and approximately 26 Facebook /Twitter posts $425.0 0
Monthly total: $1785.00

The estimated costs include 1 -2 rounds of revisions. Additional revisions, special outside
costs (travel, purchases, illustration, etc.) or work requested beyond the scope described
herein will be estimated for and approved by City of Riverside before any work begins. The
total obligation of the City of Riverside shall not exceed $12,000 during the original or any
subsequent term.
Payment for the services described herein will he billed monthly and payable within 15 days
of receipt of invoice.
Lynchpin acknowledges it is an independent contractor and not an employee of the City of
Riverside.
Lynchpin acknowledges Section 285.530 RSMo. prohibits it from knowingly employing,
hiring for employment, or continuing to employ an unauthorized alien to perform work
within the State of Missouri to perform work on the project. Lynchpin covenants it is not in
violation of Section 285.530 RSMo, and that it will not knowingly employ, hire for
employment, or continue to employ any unauthorized aliens to perform work under this
letter of agreement and that it and all of its employees are lawfully eligible to work in the
United States. Lynchpin agrees to provide City of Riverside with a sworn affidavit and
documentation of participation in a federal work authorization program with respect to any
employees working in connection to the contracted services.
The City of Riverside may terminate the services of Lynchpin without cause upon five (5)
days written notice. In the event of termination, Lynchpin shall be paid for services
performed up to the date of termination.
Upon approval of the City Administrator and Lynchpin, this agreement may be extended
for an additional six (6) months upon the same terms and conditions set forth herein.
