AN ORDINANCE AUTHORIZING THE CITY TO ENTER INTO AN AGREEMENT
FOR THE PURCHASE AND DELIVERY OF STACKING ROCK FOR THE
HORIZONS PHASE I INFRASTRUCTURE IMPROVEMENTS
WHEREAS, the City of Riverside, Missouri ( "City") passed Ordinance No. 1254, dated
October 10, 2013, authorizing the City Administrator to negotiate with a single entity for the
supply and delivery of stacking rock for the Horizons Phase I Infrastructure Improvements
pursuant to the project specifications prepared by the City; and
WHEREAS, based on knowledge and understanding of the regional construction
community and reliable information about the capabilities of a number of firms to meet the
project specifications, the City Administrator determined that negotiating with the Damon
Pursell Construction Company ( "Pursell ") shall result in a cost outcome determined to be in the
best interests of the City; and
WHEREAS, the negotiations between the City Administrator and Pursell have resulted
in a proposed Agreement (attached hereto as Attachment A and incorporated herein) for Pursell
to supply and deliver the stacking rock for a total cost that will be significantly lower than the
cost proposed through the City's Invitation to Bid processes; and
WHEREAS, the Proposed Agreement for the supply and delivery of stacking rock to the
City would be a lump sum of Four Hundred Eighty-One Thousand Six Hundred and 00 /100
Dollars ($481,600.00); and
WHEREAS, the Board of Aldermen have had the opportunity to review the terms and
outcome of this negotiation and find it in the best interest of the City to enter into a contract with
Pursell in substantially the same form as described in the Agreement to Purchase Stacking Rock,
Exhibit A to supply and deliver the stacking rock to the City.
NOW, THEREFORE, BE IT ORDAINED BY THE BOARD OF ALDERMEN OF THE
CITY OF RIVERSIDE, MISSOURI, AS FOLLOWS:
SECTION 1 — BEST INTEREST OF THE CITY TO CONTRACT FOR THE SUPPLY
AND DELIVERY OF STACKING ROCK. It is in the best interest of the City, in order to
further the objectives of industrial and economic development of the City, to enter into a contract
with the Damon Pursell Construction Company for the purpose of supplying stacking rock for
the Phase I Infrastructure improvements within the Horizons East Site. Stacking rock that
conforms to the City's specifications shall be supplied and delivered for a lump sum of Four
Hundred Eighty-One Thousand Six Hundred and 00 /100 Dollars ($481,600.00).
SECTION 2 — AUTHORITY GRANTED. The Mayor, City Administrator, City Attorney,
Special Counsel, and other appropriate officials and employees of the City are hereby authorized
to execute the Agreement in substantially the same form as set forth in Exhibit A to this

Ordinance and to take such further action as may be deemed necessary or convenient to carry out
the terms and conditions of the Agreement and comply with the intent of this Ordinance on
behalf of the City. Further, the City Administrator is authorized to issue a Notice to Proceed to
Pursell Construction upon written confirmation by Special Counsel to the City that Pursell
Construction has satisfied all conditions of the Agreement relating to performance and payment
bond requirements.
SECTION 3 — EFFECTIVE DATE. This Ordinance shall be in full force and effect from and
after its passage and approval.
BE IT REMEMBERED that the above was read two times by heading only, PASSED
AND APPROVED by a majority of the Board of Aldermen and APPROVED by the Mayor of
the City of Riverside, Missouri, this 15th day of October, 2013.
