A RESOLUTION APPROVING THE CONVEYANCE OF REAL ESTATE LOCATED
WITHIN THE FINAL PLAT OF HANSEN WEST SUBDIVISION
WHEREAS, the City entered in to a Real Estate Contract on March 2, 2010, with DKS,
LLC ( "Seller "), whereby the City purchased certain real estate from Seller, and DKS, LLC
subsequently assigned the Real Estate Contract to Windfield, LLC in May, 2013; and
WHEREAS, as part of the consideration for the transaction, it was understood that the
City would cause a plat to be prepared of the subject real estate and, to off-set the cash
consideration paid by City to Seller, the plat would create two new certain lots which would be
conveyed to Seller upon recordation of the plat; and
WHEREAS, the plat has been prepared and filed with the Platte County Recorder of
Deeds Office, and is known as the Final Plat of Hansen West; and
WHEREAS, consistent with the parties' understandings of the transaction, the City is
prepared to convey by quit -claim deeds the two created lots, known as Lot 1 and Lot 7.
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF ALDERMEN OF
THE CITY OF RIVERSIDE, MISSOURI AS FOLLOWS:
THAT the Riverside Board of Aldermen ( "Board ") hereby approves the quit -claim deed
documents, in substantially the form attached hereto, from the City to Windfield, LLC, and
further authorizes the Mayor to execute such documents on behalf of the City; and
FURTHER THAT the City Clerk, or her designee, is hereby authorized and directed to
file fully executed copies of the quit -claim deeds with the Recorder of Deeds in Platte County;
and
FURTHER THAT the Mayor, the City Administrator, the City Attorney and other
appropriate City officials are hereby authorized to take any and all actions as may be deemed
necessary or convenient to carry out and comply with the intent of this Resolution and to execute
and deliver for and on behalf of the City all certificates, instruments, agreements and other
documents, as may be necessary or convenient to perform all matters herein authorized.

QUITCLAIM DEED
THIS INDENTURE, made this �9 day of IVC�°-c , 2013, between the City of
Riverside, Missouri, a Missouri Municipal Corporation, 2950 N.W. Vivion Road, Riverside,
Missouri 64150, party of the first part (grantor) and WINDFIELD, LLC, a Missouri limited
liability corporation, party of the second part (grantee), whose registered agent is: Georgia
Louanne Danner, 770 Hummingbird Ln., Branson MO 65616.
WITNESSETH: In consideration of the payment of the sum of ONE DOLLAR AND
OTHER VALUABLE CONSIDERATION ($1.00 & O.V.C.), the receipt of which is hereby
acknowledged, the said party of the first part does hereby REMISE, RELEASE, AND
FOREVER QUITCLAIM to the party of the second part, a tract of land, lying situated and being
in the County of Platte, State of Missouri, to wit:
Lot 1, Final Plat of Hansen West, a subdivision in Riverside, Platte County, Missouri.
TO HAVE AND TO HOLD THE SAME, with all and singular rights, immunities,
privileges and appurtenances thereunto belonging, unto the said party of the second part, its
successors and assigns forever.
IN WITNESS WHEREOF, the said party of the first part has hereunto set its hand and
seal the day and year first written above.
