A RESOLUTION EXTENDING THE CONTRACT FOR MOWING AND GROUNDS KEEPING
BETWEEN THE CITY AND EMBASSY LANDSCAPE GROUP FOR CALENDAR YEAR 2014
WHEREAS, pursuant to Resolution 2012 -037 the City approved a contract with Embassy
Landscape Group for mowing and grounds keeping services; and
WHEREAS, such contract provides for the ability to extend such contract for two (2)
additional one (1) year periods; and
WHEREAS, the Board of Aldermen find it is in the best interest of the City to extend such
contract for 2014 as set forth herein;
NOW THEREFORE BE IT RESOLVED BY THE BOARD OF ALDERMEN OF
THE CITY OF RIVERSIDE MISSOURI AS FOLLOWS
THAT the contract between the City and Embassy Landscape Group dated March 27,
2012 is hereby extended to provide work by the contractor during calendar year 2013 between
the dates of April 1 and October 31 at a revised annual maintenance price not to exceed
$34,713.98; and
FURTHER THAT the Mayor, City Administrator, City Attorney, and Finance Director are
hereby authorized to execute all documents and agreements necessary or incidental to carry out
the terms and conditions of such revised contract and the City Clerk is authorized to attest thereto.
PASSED AND ADOPTED by the Board of Aldermen and APPROVED by the
Mayor of the City of Riverside Missouri the ' day of March, . 2014.

This is an agreement between Embassy Landscape Group, Inc., 6105 NW River Park Dr., Riverside, MO 64150, and City of
Riverside, Missouri ( "Client "), Attn: Mike Duffy, 2950 NW Vivion Rd, Attn: Accounts Payable, Riverside, MO 64150.
INTENT AGREEMENT
It is our intent to maintain our client's properties to its best possible appearance. We have set our standards so our clients can
`Experience the Excellence' of our service and have a maintained healthy landscape. It is absolutely essential that all aspects of
our lawn management program be completed in order to achieve the highest level of appearance requested by each property, its
managers and owners. We agree to perform the scope of work detailed below in a workman -like manner according to industry
practices.

ACCEPTANCE OF AGREEMENT
All contracted work in this proposal should be initialed and/or signed by both parties before work can commence. Any major
alteration or deviation from work scope involving additional costs is to be discussed with client and signed off on, prior to
work being performed. Landscaper will provide a liability insurance certificate upon request. Client shall pay the Landscaper
promptly to stay within 30 days of invoice. Either party may elect to terminate the agreement or alter this contract with (30)
days written notice, for any reason. Upon termination, property owner is still responsible for payment of all services rendered
prior to the termination date. If a monthly payment plan is in place, the landscaper shall provide an accounting of services and
materials provided and will refund any sums that were paid in advance for services not performed. Should any legal action be
necessary the prevailing party shall be entitled to recover all legal and court costs.
Fuel Surcharge: Reference Attachment "Definitions"
Indemnification: To the fullest extent permitted by law, Property Owner shall indemnify and hold harmless Embassy
Landscape Group, its Owners, Managers and employees from and against all claims, demands, causes of action, suits, costs,
damages, fines, losses, and expenses, including but not limited to reasonable attorney's fees, court costs and other reasonable
costs and expenses associated with any loss or claim that was not caused by or in part to any negligence, work performed or
action taken by Embassy Landscape Group, it's Owners, Managers, or Employees.
Safety: Embassy Landscape Group shall take all reasonable precautions for the safety of its employees and all other persons
who would be affected by the services to be performed by Embassy Landscape Group contracted services. Owner shall provide
any necessary information to the Contractor of any property changes such as construction or utility work that may affect the
safety of the employees of Embassy Landscape Group.
Irrigation: Customer is responsible for controlling access to their controller. Embassy can not be held liable for
others tampering and/or adjusting controller information, or any damage to the property by said adjustments.
These terms are satisfactory and are hereby accepted; Embassy Landscape Group, Inc., is authorized to do the above agreed
upon work as specified.
