R-2014-021 A RESOLUTION AUTHORIZING AND APPROVING AN AGREEMENT WITH LYNCHPIN IDEAS, LLC FOR MARKETING SERVICES BE IT RESOLVED, by the Board of Aldermen of the City of Riverside, Missouri, as follows: THAT the Agreement between the City and Lynchpin Ideas, LLC, in substantially the same form as attached hereto as Exhibit "A", is hereby authorized and approved; FURTHER THAT the execution and delivery of the Agreement by the Mayor is approved, and the City Administrator and City staff are authorized to take such other reasonably necessary to carry out the intent of this Agreement on behalf of the City. Rose ATTEST: Robin Littrell, Ci Clerk AGREEMENT &4 THIS AGREEMENT is made as of the �day of 2014 between the City of Riverside, Missouri, a municipal corporation (he einafter referred to as the "City") and Lynchpin Ideas, LLC, a Missouri limited liability company, (hereinafter referred to as the "Service Provider"), and collectively at times referred to as "The Parties". In consideration of the mutual covenants and agreements contained herein, the receipt and adequacy of which is hereby acknowledged, the City and the Service Provider agree as follows: 1. The Service Provider shall provide the following services: Creative Strategy. What's the big idea that will bring tourists to the City of Riverside? Draw visitors from across the entire metro area? Drive new business to Horizons or the burgeoning City corridor? Or make Riverside top of mind of with realtors? It may be an idea for an event, a new campaign, or a unique promotion. We'll brainstorm and deliver creative thinking to meet your objectives. Brand Stewardship. Is it good for the City of Riverside's brand? Will it get the job done? Is it "Upstream from Ordinary?" These are the questions your Lynchpin Ideas team will ask before we take action. Our job is to preserve your brand's equity as we create new sub-brands, mini-campaigns and tactics. Creative Services. Lynchpin Ideas will provide the following creative services directly and through subcontractors. These services include Copywriting, Graphic Design, Art Direction and Creative Direction. Public and Media Relations. Our PR and Media consultant, Tom Mentzer of Mentzer PR Group, will provide Public and Media Relations Services on an as-needed basis under the umbrella of Lynchpin Ideas, LLC. 2. The Parties acknowledge that the Service Provider is an independent contractor with respect to the City and has no authority or power to incur debts, obligations or commitments of any kind whatsoever for or on behalf of the City, or to bind the City to any contract, agreement or employment agreement. 3. The Service Provider acknowledges that any person or persons retained by the Service Provider, will be employees of the Service Provider and the Service Provider will be solely responsible for any and all salary, wages, insurance and other benefits to which such employee(s) would be entitled under applicable laws, including but not limited to worker's compensation insurance, employment taxes and other deductions as may be required under law. 2 4. City shall pay the Service Provider for the Services rendered as follows: $110.00 per hour. Service Provider will provide an estimate for each project, based on the parties' mutual understanding of the scope, and Service Provider's experience in creating similar work. All estimates will be submitted for the City's approval before work begins. If major changes occur to the scope of work, a revised estimate will be provided. Estimated costs include 1-2 rounds of revisions. Additional revisions, special outside costs (travel, purchases, illustration, photography, video production, etc.) or work requested beyond the scope described herein will be estimated and approved by the City before any work begins. 5. The Service Provider will invoice the City on a monthly basis, and the City shall pay all proper invoices within thirty days of receipt of invoice. 6. The Service Provider agrees to provide and maintain Workers' Compensation Insurance (statutory amounts). 7. Pursuant to RSMo 285.530(1), by its sworn affidavit in accordance with the attached exhibit, the Service Provider hereby affirms its enrollment and participation in a federal work authorization program with respect to the employees working in connection with the contracted services. Furthermore, the Service Provider affirms that it does not knowingly employ any person who is an unauthorized alien in connection with the contracted services. 8. Either party may terminate this Agreement at any time for any reason upon fifteen (15) days' notice to the other party, in which case the Service Provider shall be entitled to compensation for services performed and costs incurred up to the termination date, and none other. 9. In the event that either Party defaults in its performance under the terms of the Agreement, the non-defaulting party shall be entitled to all remedies to which it is entitled in law or equity. 10. The Parties agree that this Agreement shall be binding upon each of its successors and assigns and that this Agreement may not be assigned to a third party, without the written consent of the City. 11. The Service Provider agrees not to disclose any confidential information received from the City or otherwise acquired while performing the services. Confidential information is information that would constitute a closed record under Missouri's Sunshine Law, Chapter 610. 12. No modification, supplement, termination, or amendment to this Agreement may be made unless agreed to by the Parties in writing. 13. This Agreement shall be governed by and construed in accordance with the laws of the State of Missouri,and venue shall be in Platte County, Missouri. 3 14. This Agreement shall not be deemed to create any third party benefit hereunder for any member of the public or to authorize any one, not a party hereto, to maintain suit pursuant to the terms of this Agreement. These services have been provided by Trozzolo Communications Group since 2010. The City received four responses to the RFQ and selected two finalists to interview. I, along with Jackie Carlson, met with the two finalists and determined that LynchPin Ideas would be the best fit for the City based on our current marketing and communications needs. LynchPin's hourly rate is$110 per hour—a savings of$35 per hour compared to the rate we were paying Trozzolo. As with any on-call agreement, a scope of work for each project with LynchPin will be approved by the Director of Administration and City Administrator. Those projects over$10,000 will come to the Board of Aldermen for approval as well. Recommendation Staff recommends that the Board approve this agreement with LynchPin for on call marketing services. The negotiated hourly rate is$110/hour.
