A RESOLUTION AUTHORIZING AND APPROVING AN AGREEMENT WITH
LYNCHPIN IDEAS, LLC FOR NEWSLETTER PRODUCTION SERVICES
BE IT RESOLVED, by the Board of Aldermen of the City of Riverside, Missouri, as follows:
THAT the Agreement between the City and Lynchpin Ideas, LLC, in substantially the
same form as attached hereto as Exhibit"A", is hereby authorized and approved;
FURTHER THAT the execution and delivery of the Agreement by the Mayor is
approved, and the City Administrator and City staff are authorized to take such other reasonably
necessary to carry out the intent of this Agreement on behalf of the City.
PASSED ANDA OPTED by the Board of Aldermen and of the City of Riverside,
Missouri, the Zday of I 2014.

AGREEMENT
(NEWSLETTER PRODUCTION SERVICES)

THIS AGREEMENT is made as of the day of , 2014 between the
City of Riverside, Missouri, a municipal corporation (hereinafter referred to as the "City") and
Lynchpin Ideas, LLC, a Missouri limited liability company, (hereinafter referred to as the
"Service Provider"or"Lynchpin"), and collectively at times referred to as "The Parties".
In consideration of the mutual covenants and agreements contained herein, the receipt
and adequacy of which is hereby acknowledged, the City and the Service Provider agree as
follows:
1. The Service Provider shall provide the following services:
Services include:
Monthly editorial content development meeting
Writing
Design& Layout
Lynchpin will provide turnkey services to the City, including editorial content
development, writing, design and delivery of final files to the City's preferred printer.
Initially, Lynchpin will hold a planning meeting with the contributors selected by the City
to determine key editorial content for upcoming issues. Then, Lynchpin will meet with
the City's key contributors each month to define the content for the next month's issue.
Once the content is set, a timeline will be provided to help all remain on schedule. The
Lynchpin team will conduct interviews as needed and write the articles, then submit these
for review and/or approval to each contributor, or to a "newsletter point person". Once
approved, the content will move into design and production, and then will be submitted to
the point person for review and approval. Once the final layout is approved, Lynchpin
will submit the production file to the City's printer.
2. The Parties acknowledge that the Service Provider is an independent contractor with
respect to the City and has no authority or power to incur debts, obligations or
commitments of any kind whatsoever for or on behalf of the City, or to bind the City to
any contract, agreement or employment agreement.
3. City shall pay the Service Provider for the Services rendered as follows: $2000.00 per
issue. This cost includes two to three rounds of minor revisions. The parties that any
unplanned major change or added content may require additional work outside the scope
of this cost, but said work will be estimated and submitted for City approval before it
begins. The cost does not include creation of complex graphics or purchase of stock
images (photos or illustrations).

4. The Service Provider will invoice the City on a monthly basis, and the City shall pay all
proper invoices within thirty days of receipt of invoice.
5. Either party may terminate this Agreement at any time for any reason upon fifteen (15)
days' notice to the other party, in which case the Service Provider shall be entitled to
compensation for services performed and costs incurred up to the termination date, and
none other.
6. In the event that either Party defaults in its performance under the terms of the
Agreement, the non-defaulting party shall be entitled to all remedies to which it is
entitled in law or equity.
7. The Parties agree that this Agreement shall be binding upon each of its successors and
assigns and that this Agreement may not be assigned to a third party, without the written
consent of the City.
8. The Service Provider agrees not to disclose any confidential information received from
the City or otherwise acquired while performing the services. Confidential information is
information that would constitute a closed record under Missouri's Sunshine Law,
Chapter 610.
9. No modification, supplement, termination, or amendment to this Agreement may be made
unless agreed to by the Parties in writing.
10. This Agreement shall be governed by and construed in accordance with the laws of the State
of Missouri,and venue shall be in Platte County,Missouri.
11. This Agreement shall not be deemed to create any third party benefit hereunder for any
member of the public or to authorize any one, not a party hereto, to maintain suit pursuant to
the terms of this Agreement.
