HomeMy WebLinkAbout1391 Multi-Jurisdictional Interlocal Agreement Route 9 Corridor Study BILL NO. 2015 —017 ORDINANCE NO. / 31 1 AN ORDINANCE APPROVING A MULTI-JURISDICTIONAL INTERLOCAL AGREEMENT FOR A ROUTE 9 CORRIDOR STUDY BE IT ORDAINED BY THE BOARD OF ALDERMEN OF THE CITY OF RIVERSIDE, MISSOURI AS FOLLOWS: 1. That the Riverside Board of Aldermen ("Board") hereby approves the Multi-Jurisdictional Interlocal Agreement for a Route 9 Corridor Study, in substantially the form attached hereto, by and between the City of Riverside and the City of Parkville, Missouri. The Mayor is authorized to execute the Agreement on the City's behalf. 2. The Mayor, the City Administrator, and other appropriate City officials are hereby authorized to take any and all actions as may be deemed necessary or convenient to carry out and comply with the intent of this Ordinance and to execute and deliver for and on behalf of the City all certificates, instruments, agreements and other documents, as may be necessary or convenient to perform all matters herein authorized. 3. This Ordinance shall be in frill force and effect from and after its passage and approval. Recitals A. The Parties support the idea of multi jurisdictional cooperation to undertake and complete a study to implement top goals and objectives from plans adopted by the Parties by developing a preliminary design for needed vehicular and pedestrian improvements along Highway 9 from Horizons Parkway to Route 45 all in Platte County, which design will facilitate the acquisition of Rights-of-Way for future construction of the identified improvements, as funds become available to the Parties. ("Study"). B. The Parties wish to participate in the development of mutually agreeable objectives and a scope of services for the Study, a recommendation to the Mid-America Regional Council (MARC) on the selection of a consultant to perform the Study ("Consultant") and oversight, serving as a resource to the Consultant during the course of the Study and the funding of the cost of the Study. It is contemplated that the Parties will each adopt the study upon its successful completion. C. MARC has awarded a grant in the amount of One Hundred Thirteen Thousand Five Hundred Eighty-Five Dollars and Seventy-One Cents ($113,585.71) from the Missouri Surface Transportation Program (STP), with funds designated for Planning Sustainable Places grants ("Grant"), to Parkville to undertake the Study, with the commitment that the Parties would each make a local match financial contribution toward the cost of the Study, as indicated in the grant application submitted by Parkville in response to the 2014 Call for Projects by MARC's Transportation Department. The Grant application is attached here as Attachment A and is incorporated into this Agreement as if fully include herein. NOW THEREFORE, in consideration of the mutual promises contained herein, the parties hereto agree as follows: Agreement 1. RESPONSIBILITIES OF PARKVILLE (a) Parkville shall undertake the Study and, taking into consideration the recommendation of Riverside on the selection of the Consultant, and shall enter into, in its name, appropriate contracts for the completion of the Study. (b) The Project shall, generally, encompass the work described on the attached Scope of Services as Attachment B and Parkville shall endeavor to have the Project completed by December 31, 2015, but in no case later than June 30, 2016. DB04/0832356.0002/11535000.1 MD02 (c) Parkville shall contribute $15,000.00 toward the local match portion of the cost of the Study. (d) Parkville shall administer the MARC grant and ensure compliance with all grant terms, applicable laws and terms of related contracts. (e) Parkville shall submit an invoice to Riverside reflecting the amount Riverside has committed to pay toward the grant local match upon execution of this agreement. (f) Parkville will identify a contact person to provide staff support for the Study. Parkville will also appoint a member of the Study Steering Committee to attend meetings as a voting member and to report back to the governing body on the status of the Study. (g) The Parkville contact person shall serve as the lead liaison to MARC and to the Consultant. (h) Parkville, in conjunction with the Consultant, shall arrange for all Study meetings, facilitate meeting locations, provide appropriate notices and be primarily responsible for monitoring and overseeing public and stakeholder input. (i) Parkville agrees to cooperate with the Parties to ensure the successful completion of the Study by December 31, 2015, and in no case later than June 30, 2016. 0) Upon completion of the Study, Parkville agrees to consider, in good faith, the adoption of the Study and as monies become available to take action to implement the Study's recommended next steps. 2. RESPONSIBILITIES OF RIVERSIDE (a) Riverside shall identify a contact person to represent it as a member of the Study Steering Committee, attend all Steering Committee meetings and other meetings set up related to the Study by Parkville and the Consultant and report back to its governing body on the status of the Study. (b) Upon receipt of an invoice from Parkville, Riverside shall as soon as reasonably possible, and no later than March 24, 2015, make payment to Parkville in the amount of Fifteen Thousand Dollars ($15,000) as its contribution to the Grant local match. (c) Riverside agrees to cooperate with Parkville to ensure the successful completion of the Study by December 31, 2015, and in no case later than June 30, 2016. (d) Upon completion of the Study, Riverside agrees to consider, in good faith, the adoption of the Study and as monies are available to take action to implement the Study's recommended next steps. GENERAL PROVISIONS (a) The Parties each agree to furnish the other Parties and the Consultant such reports, plans and studies that could impact the course of the Study. (b) All notices related to the Study shall be in writing and shall be sent to the person designated by each Party as its contact person at an address provided by each Party to the other Party. (c) The Parties agree that should any provision of this Agreement be determined to be void, invalid, unenforceable or illegal for whatever reason, that provision shall be null and void, but the remaining provisions of the Agreement shall be unaffected thereby and shall continue to be valid and enforceable. (d) This Agreement shall be governed by, and construed in accordance with, the laws of the state of Missouri. (e) Venue of any litigation arising in connection with this Agreement shall be in state courts of Platte County, Missouri. (f) This Agreement represents the entire Agreement and understanding between the Parties, and this Agreement supersedes any prior negotiations, proposals or agreements. Unless otherwise provided in this Agreement, any amendment to this Agreement shall be in writing and shall be signed by the Parties and attached to this Agreement. (g) This Agreement is entered into pursuant to the provision of Sections 70.210, et al., RSMo. (h) This Agreement may be executed at different times and in any number of counterparts, each of which when so executed shall be deemed to be an original and all of which taken together shall constitute one and the same agreement. Delivery of an executed counterpart of a signature page to this Agreement by facsimile shall be as effective as delivery of a manually executed counterpart of this Agreement. In proving this Agreement, it shall not be necessary to produce or account for more than one such counterpart signed by the party against whom enforcement is sought.
