A RESOLUTION APPROVING AN AMENDMENT TO THE AGREEMENT WITH TOWN
AND COUNTRY DISPOSAL OF WESTERN MISSOURI, INC., FOR CURBSIDE
RESIDENTIAL REFUSE COLLECTION AND DISPOSAL SERVICES
WHEREAS, the City of Kansas City, Missouri issued a request for bids for Residential
Refuse Collection and Disposal Services in October of 2009 and awarded such bid to Town and
Country Disposal of Western Missouri, Inc. (hereinafter"Town and Country") effective October
2, 2009 with operations commencing on May 1, 2010; and
WHEREAS, in the bid documents for Residential Refuse Collection and Disposal
Services, the City of Kansas City, Missouri provided for Cooperative Procurement with Other
Jurisdictions and the bidder agreed to provide products and/or services to any municipality that
participates in or is represented by the Mid-America Council of Public Purchasing (MACPP) in
the greater Kansas City Metropolitan Trade Area and any member of the Mid-America Regional
Council (MARC); and
WHEREAS, in the bid documents for Residential Refuse Collection and Disposal
Services, the City of Kansas City, Missouri provided for the term of the agreement to be five (5)
years with up to five (5) one-year renewal terms; and
WHEREAS, the City of Riverside in the adoption of its purchasing policy has approved
the practice of purchasing goods and services from competitive bids awarded by other
governmental entities through the cooperative bidding process when the best interest of the City
would be served; and
WHEREAS, the City of Riverside participates in the MACPP and is a member of the
Mid-America Regional Council; and
WHEREAS, on December 21, 2010, the City's Board of Aldermen adopted Resolution
No. 2010-098, accepting the proposal of Town and County Disposal of Western Missouri, Inc. as
cooperatively bid by the City of Kansas City, Missouri, and effective that same date, entered into
an agreement with Town and Country for curbside residential refuse collection and disposal
services; and
WHEREAS,the Board of Aldermen finds it is in the best interest of the City to authorize
and approve the amendment of the agreement with Town and Country to avail itself of the full
extent of the additional renewal terms as provided in City of Kansas City, Missouri RFP No.
EV00000846.
NOW THEREFORE, BE IT RESOLVED BY THE BOARD OF ALDERMEN OF
THE CITY OF RIVERSIDE,MISSOURI,AS FOLLOWS:
THAT the City reaffirms its acceptance and approval of the proposal submitted by Town and
Country for weekly curbside residential refuse collection and disposal services as cooperatively bid
by the City of Kansas City, Missouri;

FURTHER THAT the Board of Aldermen, pursuant to City Code Section 135.070.B.,
hereby finds and determines that it is in the best interest of the City to enter into the First
Amendment to the Sanitation Collection and Disposal Agreement, notwithstanding City Code
Section 135.070.A to the extent such section is applicable;
FURTHER THAT the Board of Aldermen hereby approves the First Amendment to the
Sanitation Collection and Disposal Agreement, a copy of which is attached in its substantial form,
and further authorizes the Mayor to execute the same on the City's behalf;
FURTHER THAT the City Administrator and such other officials of the City may execute
any other additional documents or take such other actions as are necessary, incidental or expedient to
cavy out the intent of the agreement approved and the authority granted herein;

FIRST AMENDMENT TO
SANITATION COLLECTION AND DISPOSAL AGREEMENT
This First Amendment to Sanitation Collection and Disposal Agreement("Amendment")
is made and entered this L day of 2015, by and between Town and Country
Disposal of Western Missouri ("Contractor")and the City of Riverside, Missouri ("City").
Section 1. Paragraph 2 of the original Agreement is hereby amended to read as follows:
2. Term of Contract. The initial term of this Agreement shall begin on January 1,
2011, and shall end on December 31, 2012. This agreement shall automatically renew
for up to five (5) additional one (l) year terms under the same conditions of this
Agreement unless one or both parties submit notice as described below to cancel the
agreement, or if such annual appropriation for this service is not passed by the Board
of Aldermen in its annual operating budget.
Section 2. There will be no change in the collection rate for the 2016 collection year
from the 2015 collection year. The collection rate for the 2017 collection year will only
be adjusted if the Refuse Rate Index changes as provided in Paragraph 3.b of the original
Agreement.
Section 3. All other Paragraphs of the original Agreement remain in full force and
effect.
