A RESOLUTION APPROVING A CHANGE OF REGISTERED AGENT FOR THE
INDUSTRIAL DEVELOPMENT AUTHORITY OF THE CITY OF RIVERSIDE, MISSOURI
WHEREAS, at the time the corporation was established, The Industrial Development
Authority of the City of Riverside, Missouri (the "IDA") designated Riverside City Attorney John
McClelland as its registered agent with the State of Missouri; and
WHEREAS, John McClelland is no longer acting in the capacity of city attorney for the
City of Riverside, Missouri and there is a need to change such designated registered agent; and
WHEREAS, the IDA desires to change its registered agent to be the current city attorney
for the City of Riverside, Missouri;
NOW THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE
INDUSTRIAL DEVELOPMENT AUTHORITY OF THE CITY OF RIVERSIDE, MISSOURI AS
FOLLOWS:
THAT the name and address for the registered agent for the IDA is hereby changed to
be as follows:
City Attorney Nancy Thompson
Riverside City Hall
2950 NW Vivion Road
Riverside, Missouri 64150
FURTHER THAT the Statement of Change of Registered Agent and Registered Office
(the "Statement") in substantially the same form as attached hereto as Exhibit "A" is hereby
approved;
FURTHER THAT the officers of the corporation are authorized and directed to execute
and deliver the Statement together with the execution and delivery of any additional documents
or the performance of any such actions related thereto;
FURTHER THAT this resolution shall take effect immediately upon passage and
approval by the Board of Directors;
PASSED AND ADOPTED by the Board of Directors of The Industrial Development
Authority of the City of Riverside, Missouri on this 15"'day of September, 2010.
