Bill No. 2008-24 Ordinance No. 2008-24 AN ORDINANCE AUTHORIZING AND APPROVING THE CITY OF RIVERSIDE, MISSOURI, TO ENTER INTO A SALES CONTRACT WITH R&D COMPUTER SYSTEMS FOR A DOCUMENT MANAGEMENT SYSTEM WHEREAS, the City of Riverside (the "City") desires to purchase a document management system; and WHEREAS, R&D Computer Systems and has the ability to provide a Laserfiche document management system; and WHEREAS, the City and R&D Computer Systems have reached an agreement concerning the installation and training of a Laserfiche document management system (the "Agreement"); and WHEREAS, the Agreement provides that R&D Computer Systems will install the Laserfiche software as detailed in the Agreement, license the softwaze identified in the Agreement to the City and provide training on the Laserfiche document management system for the sum of $34,580; and WHEREAS, the City finds that entering into the Agreement is for a public purpose and is to be advisable and in the City's best interests for the promotion of the health, safety and welfare of the residents of the City; and NOW, THEREFORE, BE IT ORDAINED BY THE BOARD OF ALDERMEN OF THE CITY OF RIVERSIDE, MISSOURI, AS FOLLOWS: Section 1. This Ordinance is intended and is hereby determined and declazed to be necessary to accomplish and serve the public purpose of providing a document management system for the City. Section 2. The City of Riverside shall enter into the Agreement, to be substantially in the form attached hereto as Exhibit A, with R&D Computer Systems. Section 3. The Mayor, the City Administrator, the City Attorney and other appropriate City officials are hereby authorized to take any and all actions as may be deemed necessary or convenient to carry out and comply with the intent of this Ordinance and to execute and deliver for and on behalf of the City all certificates, instruments, agreements and other documents, as may be necessary or convenient to perform all matters herein authorized. PAYMENT. LICENSEE shall pay R&D Computer Systems the balance of invoice in the amount of $34,580 upon successful completion of the Software and scanner installations. 3. INSTALLATION AND TRAINING. LICENSEE shall provide an installation environment as specified in the documentation, including but not limited to all facilities and equipment prescribed therein, or as otherwise reasonably specified by R&D. LICENSEE shall furnish all labor required for unpacking and placing each item of EQUIPMENT in the proper location. R&D shall provide installation and training services with respect to R&D's software products as requested by LICENSEE. R&D COMPUTER SYSTEMS LASERFICHE® SOFTWARE SUPPORT COVERAGE Software support provided by R&D Computer Systems will cover the Laserfiche software and all LaserFche add-on modules and utilities under the Laserfiche Software Assurance Plan (LSAP). R&D Computer Systems will provide telephone or email software support for Laserfche users and administrators during normal working hours of 8:00 a.m. to 5:00 p.m. CST, Basic support coverage guarantees a response for next business day, Priority Support guarantees a response time of less than four hours. In the case where a Laserfiche issue or problem cannot be resolved over the phone or via remote access, R&D Computer Systems will schedule a no charge onsite visit. R&D Computer Systems will not charge for necessary onsite visits if your LaserFche software maintenance is current. LaserFiche software releases and updates will be performed on your LaserFiche system at no additional charge. LaserFche Administrators will have 24 hour access to the LaserFiche support site, which contains FAQ's, technical tips, educational materials, training videos and educational Webinars. This software support agreement does not include additional staff training, installing the LaserFiche software on new servers or scan workstations, data recovery, problems caused by external network problems, network problems, server failure, file corruption by external software or users, or abnormal events such as weather, fire, electrical problems, etc. Additional training is available at $110 per hour; other services performed are available at $120 per hour with a two-hour minimum. Scanners that are covered under an on site maintenance plan will have next business day on site coverage. This plan covers all parts and labor, consumable items such as rollers and lamps are not covered under the agreement. This excludes repairs necessitated by abusive treatment of the item of equipment or abnormal events such as weather, fire, electrical problems, etc. R&D Computer Systems is an authorized dealer for LaserFiche Document Imaging products and support services. ~t ~ _ Richard McGinnis R&D Computer Systems ~.
