ORDINANCE N0.2007- 78
AN ORDINANCE AUTHORIZING THE MAYOR TO ENTER INTO A CONTRACT
WITH PLATTE COUNTY THROUGH THE PLATTE COUNTY CONVENTION AND
VISITORS BUREAU TO ASSIST IN TOURISM PROMOTION SERVICES.
BE IT ORDAINED BY THE BOARD OF ALDERMEN FOR THE CITY OF
RIVERSIDE, MISSOURI, AS FOLLOWS:
SECTION 1. The Mayor is hereby authorized to enter into a contract with
Platte County to provide tourism promotion services for the City
of Riverside is the form attached hereto as Exhibit A.
SECTION 2. The amount of the contract shall be Two Thousand Four Hundred
Dollars ($2,400.00).

AGREEMENT FOR SERVICES
This Agreement is made this ~~hd'ay of July, 2007, by and between PLATTE
COUNTY, MISSOURI, hereinafter referred to as "COUNTY" and, the City of Riverside,
Missouri hereinafter referred to as "CLIENT".
WITNESSETH THAT:
WHEREAS, tho CLIENT wishes to retain the services of the COUNTY
(specifically the Platte County Convention & Visitors Bureau) to perform services in connection
with development of a City of Riverside tourism grant program; and
WHEREAS, COUNTY wishes to provide such services to CLIENT as described
in the attached documents;
NOW, THEREFORE, in consideration of the mutual covenants and agreements
set forth herein, the parties hereby agree as follows:
i. SCOPE OF WORK. COUNTY shall perform al! work
required to be performed and shalt provide and furnish all the labor, materials, necessary tools,
expendable equipment, and all services required to perform and complete in a workmanlike
manner all the work required in connection with development of a tourism grant program, all in
strict compliance with the COUNTY'S bid/proposal and the other documents herein mentioned
which are a part of this Agreement, and the COUNTY shall do everything required by this
Agreement and the othex docuuments constituted in part hereof. '
2. EXISTING SITE CONDTfIONS. COUNTY represents that it
has examined and is familiar with the existing project conditions relating to the development of a
tourism grant program. COUNTY also represents that it has been fully informed of the contract

requirements and work necessary to complete the development of a tourism grant program.
COUNTY shall not be relieved of any obligation under contract or entitled to additional
compensation due to its failure to receive or examine any related documents.
3. QIIALITY ASSURANCE. COUNTY shall comply with
quality assurance requirements as stated in the attached proposal dated May 31, 2007.
4. WARRANTY. COUNTY shall warrant all project work provided
by and through the COUNTY.
5. COMPENSATION. CLIENT shall pay to COUNTY for the
performance of this Agreement, subject to any additions or deductions provided herein, the sum
of $2,400.00. The CLIENT shall make 2 payments to the COUNTY in two parts as indicated in
the May 31, 2007 attached proposal. One-half of the contracted amount shall become due and
will be invoiced by the COUNTY upon completion of the final policies/procedures revision.
The remaining one-half of the contracted amount shall become due and will be invoiced by the
COUNTY upon completion of the facilitated educational session for grant evaluation committee
members.
7. TIME OF COMPLETION. The work to be performed
under this Agreement shall be diligently prosecuted and substantially completed on or before the
timeline established in May 31, 2007 proposal dependant upon meeting scheduling or other
causes beyond the COUNTY'S OR CLIENT'S control or by other causes which the CLIENT
determines may justify delay, then the Contract time shall be extended by letter for such
reasonable time as the CLIENT may determine.
8. COMPONENT PARTS OF THIS AGREEMENT. This
Agreement consists of the following component parts, all of which are as fully a part of this
Agreement as if herein set out verbatim or, if not attached, as if hereto attached:

In the event that any provision in any of the above component parts of this
Agreement conflicts with any provision in any other of the component parts, the provision and
the component part first enumerated above shall govern over any other component part which
follows it alphabetically, except as may be otherwise specifically stated.
10. TERMINATION. CLIENT may terminate this Agreement at
any time by giving COUNTY five (5) days written notice of such termination. Immediately
upon receipt of notice of termination, the COUNTY shall discontinue services and incur no
further obligations or expenses. COUNTY shall be paid for all work completed prior to effective
date of such termination.
11. ENTIRE AGREEMENT. This Agreement represents the entire
agreement between the parties and supersedes all prior negotiations, representations or
agreements, either written or oral. This Agreement may be amended by written instrument,
signed by both parties.
