B)CLL NO. 2007-111 ORDINANCE N0.2007-111 AN ORDINANCE AUTHORIZING THE CITY OF RIVERSIDE, MISSOURI TO ENTER INTO A CONTRACT FOR PROFESSIONAL SERVICES WITH, AND PAY CERTAIN FUNDS TO, EDDIE SEASHOLTZ d/b/a eNet, LLC WHEREAS, EDDIE SEASHOLTZ d/b/a eNet, LLC ("Service Provider") is an individual desiring to provide services, including computer support services (the "Services") to the City. WHEREAS, The City requested formal proposals for information technology services; and WHEREAS, the City finds that the continuation of the provision of the Services is a public purpose and the City has the capability and desire to retain Service Provider for the provision of such Services to the City. NOW, THEREFORE, BE IT ORDAINED, by the Board of Aldermen of Riverside, Missouri, as follows: Section 1. The City finds that the provision of the Services contributes to the welfare of the City that the Services are important to the welfare of the City and that the provision of funds to assist in providing such Services are for a public purpose. Section 2. The City of Riverside shall pay to the Service Provider the hourly fee of Eighty-Five Dollars ($85.00) per hour for the provision of Services to the City, pursuant to the Services Agreement, in substantially the form attached as Exhibit A, where is hereby approved. Section 3. The Mayor and City Clerk are authorized and directed to execute the Services Agreement, execution of such document and this Ordinance being conclusive proof of such approval. The City Administrator is authorized and directed to perform all acts necessary or desirable to effectuate the intent of this Ordinance. Section 4. The sections, paragraphs, clauses, and phrases of the Ordinance aze severable and if any portion of the Ordinance is declazed unlawful by the valid judgment, decree, or injunction order of a court of competent jurisdiction, such ruling shall not affect any of the remaining phrases, clauses, sentences, paragraphs, and sections of the Ordinance and all provisions of the Ordinance not specifically declared to be unlawful shall remain in full force and effect. Rose ATTEST: C CLERK r~ .:... ., SERVICE AGREEMENT THIS SERVICE AGREEMENT entered into on this ~~ day of ~~~~ 2007, by and between the CITY OF RIVERSIDE, MISSOURI ("City") and EDDIE SEASHOLTZ d/b/a eNet, LLC, PO Box 24285, Stanley, Kansas 66283-0285 ("Service Provider"). WHEREAS, Service Provider is an individual desiring to provide services, including computer support services (the "Services"), to the City. WHEREAS, the City requires computer support services from time to time, desires Service Provider the necessary Services, and requires funding to provide Services to the City. WHEREAS, the City has found that the provisions of the Services contributes to the welfare of the City as well as the economic and social potential of the City and its residents, that the Services are important to the welfare of the City and that the provisions of funds to assist in providing such services are for a public purpose. IN CONSIDERATION of the mutual covenants and agreements set forth herein, the parties agree to the following: 1. That Service Provider shall provide computer support services to the City as deemed necessary by the City pursuant t the terms of this Service Agreement. 2. That the City shall purchase from Service Provider Services as needed at the rate of eighty-five ($85) per hour. 3. That the City shall purchase from Service Provider Services for off-site server backup at a rate of thirty-five hundred sixty four dollars ($3,564.00) per year. 4. That the Service provided by Service Provider shall include, but not be limited to, computer support services for the City's computer equipment. 5. The term of this service agreement shall be for one year, and maybe renewed at the same hourly rate for up to two additional one year terms upon written notice by the City at least 30 days prior to expiration of the then current term.
