HomeMy WebLinkAbout2007-118 - Service Agreement with the Northland Symphony Orchestra Association, IncJ- ~,,,. tl BILL N0.2007- ~!$ ORDINANCE N0.2007- !/~ AN ORDINANCE AUTHORIZING THE CITY OF RIVERSIDE TO ENTER INTO A SERVICES AGREEMENT WITH AND PAY CERTAIN FUNDS TO THE NORTHLAND SYMPHONY ORCHESTRA ASSOCIATION, INC. WHEREAS, The Northland Symphony Orchestra Association, Inc. ("Service Provider") is a Missouri non- profit corporation that offers professional, community and student musicians an opportunity to perform fine orchestral music and free public concerts ("Services"), to residents of the Kansas City region, including the City of Riverside (the "City"). WHEREAS, Service Provider desires to provide such Services and requires funding to continue to provide the Services within the City. WHEREAS, the City fmds that the provision of the Services is a public purposes and the City has the capability and desire to assist Service Provider in continuing to provide Services to the public within the City. WHEREAS, the City's Boazd of Aldermen believes that the City's best interests aze promoted and aided by entering into an agreement with the Service Provider for the provision of the Services. WHEREAS, The City and the Service Provider have negotiated and agreed upon an agreement for the Service and payment for the same. NOW, THEREFORE, BE TT ORDAINED, by the Boazd of Alderman of Riverside, Missouri, as follows: Section 1. The City fmds that the provision of the Services contributes to the welfare of the City as well as the economic and social potential of the City and its residents, that the Services are important to the welfaze of the City and that the provision of funds to assist in providing such Services are for a public purpose. Section 2. The City of Riverside shall pay to the Service Provider the sum of Two Thousand Dollazs No Cents ($2,000.00) to assist it in continuing to provide services to the residents of the City and the City, pursuant to a Services Agreement, in substantially the form attached as Exhibit A, which is hereby approved. Section 3. The Mayor and City Clerk are authorized and dvected to execute the Services Agreement with such changes as such officer shall approve, execution of such document being conclusive proof of such approval. The Mayor, City Clerk and City Administrator are each authorized and directed to perform all acts and execute any other documents necessary or desirable to effectuate the intent of this Ordinance. The City Clerk is hereby authorized and directed to ensure that a check in the amount described in Section 2 is drafted and presented to an authorized official of the Service Provider, upon execution of the Services Agreement. Section 4. The sections, pazagraphs, clauses, and phrases of the Ordinance aze severable and if any portion of the Ordinance is declazed unlawful by the valid judgment, decree, or injunction order of a court of competent jurisdiction, such ruling shall not affect any of the remaining phrases, clauses, sentences, paragraphs, and sections of the Ordinance and all provisions of the Ordinance not specifically declazed to be unlawful shall remain in full force and effect. WHEREAS, Service Provider desires to provide such Services and requires funding to continue to provide the Services within the City. WHEREAS, the City desires that Service Provider provide such Services to the City, has found that the provision of the Services contributes to the welfare of the City as well as the economic and social potential of the City and its residents, that the Services are important to the welfaze of the City and that the provision of funds to assist in providing such services are for a public purpose. IN CONSIDERATION of the mutual covenants and agreements set forth herin, the parties agree to the following The Service Provider shall provide the Services for the City pursuant to the terms of this Services Agreement, at a time and place to be mutually agreed upon by the City and Service Provider. 2. That the City shall pay to Service Provider the sum of $2,000.00. 3. That the Services provided by the Service Provider shall include by not be limited to, offering professional, community and student musicians an opportunity to perform fine orchestral music and free public concerts in the City and surrounding community.
