AN ORDINANCE AUTHORIZING THE CITY OF RIVERSIDE TO ENTER INTO A
SERVICE AGREEMENT WITH NEARING, STAATS, PRELOGAR AND JONES
ARCHITECTS, INC ("NSJP".)
WHEREAS, Nearing, Staats, Prelogar and Jones Architects, Inc. is in the business of providing
professional services, including but not limited to landscaping design services (the "Services"); and
WHEREAS, the City of Riverside, Missouri (the "City") has determined that the City requires the
Services for certain public improvement projects, and that such Services are for a public purpose, and the
City desires to retain Nearing, Staats, Prelogar and Jones Architects, Inc. to provide such Services; and
WHEREAS, the City has negotiated with Nearing, Staats, Prelogar and Jones Architects, Inc. and
the City and Nearing, Staats, Prelogar and Jones Architects, Inc. have reached an agreement (the
"Agreement") concerning the provision of, and payment for, such services.

NOW, THEREFORE, BE IT ORDAINED, by the Board of Aldermen of Riverside, Missouri, as
Section 1. The City of Riverside shall enter into the Agreement, to be substantially in the form
attached hereto as Exhibit A, with Nearing, Staats, Prelogar and Jones Architects, Inc., whereby Nearing,
Staats, Prelogar and Jones Architects, Inc. will provide Services specified in the Agreement, and as
consideration for such Services the City shall pay fees described in the Agreement not to exceed an amount
of Forly-Nine Thousand Nine Hundred Sixty Dollars and No Cents ($49,960).
Section 2. The Mayor and the City Clerk are authorized and directed to execute the Agreement,
execution of such document being conclusive proof of such approval. The Mayor, City Clerk, and City
Administrator are each authorized and directed to perform all acts and execute any other documents
necessary or desirable to effectuate the intent of this Ordinance.
Section 3. The sections, paragraphs, clauses, and phrases of the Ordinance are severable and if
any portion of the Ordinance is declared unlawful by the valid judgment, decree, or injunction order of a
court of competent jurisdiction, such ruling shall not affect any of the remaining phrases, clauses, sentences,
paragraphs, and sections of the Ordinance and all provisions of the Ordinance not specifically declared to be
unlawful shall remain in full force and effect.
Section 4. This Ordinance shall take effect immediately.

It is our pleasure to submit the following proposal for landscape architectural design services
by Nearing Staats Prelogar & Jones Architects, (NSPJ) for the City of Riverside, (Client) for
the above referenced project, a proposed Streetscape master plan for parts of NW Gateway
Ave., highway 69 enriy to NW Platte Road, and the south side of Highway 69 along the
Gateway Park located in the City of Riverside, Missouri-: This proposal is subject to the
attached General Provisions which are incorporated by this reference.
A. SCOPE OF SERVICES:
Task 1 -Preliminary Streetscape Concepts
Services:
NSPJ will attend one meeting with the Client to discuss project design issues. NSPJ will visit
the site to identify existing opportunities and constraints.
NSPJ will prepare an overall preliminary Streetscape master plan for the study areas. The plan
will depict city identification opportunities at the entrances/intersections/gateways, the
improvements to the linkages between, and necessary considerations at each site based on
coordination with the City of Riverside comprehensive master plan recommendations. NSPJ
will prepare material palette boards to illustrate construction material combinations and
themes. NSPJ will prepare at least two to three preliminary design concepts for each of the
proposed study areas.
The study areas are:
-I-29 /Skyline entry at NW Gateway Ave
-Intersection of NW Vivion Rd & NW Gateway Ave. (SW corner `welcome plaza')
-NW Vivion Rd. linkage between the `welcome plaza' and City Hall
-Riverway Blvd. from southbound 69 highway ramp to NW Platte Rd.
-South side of 69 highway along Gateway Park including the existing detention area

These free hand drawn plans and sketches will explore the use of monuments, water features,
signage, lighting, landscaping, paving, berms, screening concepts, streetscape furniture, and
,walking trails/open space/recreational connections to create a `Riverside' theme. The concept
recommendations will provide a visually cohesive design through the consistent use of
thematic materials and the repetition of design style: scale, proportion, massing of hardscape:
signage, lighting, paving and walls; and landscaping.
All plans will be prepared utilizing base information provided by the Client. Base information
will include: legal description of the property; bearings and distances for all property
boundaries,. existing and proposed right-of--way dedications, easements, and any other publicly
dedicated land; location of existing and proposed utilities; topography (contours at one or two
foot intervals); one hundred year floodplain location; existing wetland delineation; and
location of any environmental hazards. This information shall be supplied to NSPJ in an
AutoCAD format. It is the responsibility of the Client or Client's other consultants to furnish
NSPJ with any updates or revisions regarding base information provided to NSPJ in a timely
manner.
NSPJ will attend two meetings with the Client to review and discuss the preliminary designs
and the streetscape master plan and identify which concepts to further explore and refine.
Upon review of the prelilinary concepts NSPJ will prepare a preferred concept plan utilizing
parts of each plan or preferred. solutions as directed by the client. NSPJ will present the
preferred concept plan to the client at one meeting.

• Preliminary streetscape Master Plan (one set of reprographic prints)
• Material theme and palette boards (one set of reprographic prints)
• Preliminary Design Concepts (one set of reprographic prints)
• Preferred Concept Plan (one set of reprographic prints)
Task 2 -Streetscape Master Plan and Final Design
Services:
NSPJ will prepare a Streetscape Master Plan to delineate the streetscape projects proposed and
their context to the overall Riverside transportation system. NSPJ will refine the preliminary
design concepts for the study areas into AutoCAD final design plans including site plans
identifying general locations of proposed improvements, landscape massing, materials,
perspective sketches, and site sections. Working with the City, NSPJ will prepare preliminary
cost projections for each of the study areas and a phasing plan. NSPJ will prepare one color-
rendered, board-mounted prints of the Master plan, material palette board, and final design for
each study azea for use during design presentations and informational meetings.

NSPJ will attend three meetings with the Client to review and discuss the Streetscape Master
Plan, final design plans and cost projections.
Work Products:
• Streetscape Master Plan (one set of reprographic prints)
• Refined Study Area Final Design Concepts (one set of reprographic prints)
• Preliminary Cost Projections and Phasing Plan (copies as requested)
• Color Rendered Plans (one set of board mounted prints)
• Material Palette Board (one board mounted print)
Task 3 -Review Meetings, Coordination, and Revisions
On Call Services:
NSPJ will attend Planning Commissions, City Council meetings, and additional meetings with
the Client, Client's other consultants, local planning staff, or others on an on-call basis. NSPJ
will provide assistance to the Client for completing construction plans on an on-call basis, The
Client is responsible for all necessary fees and any other development information associated
with submitting the preliminary plans. NSPJ will prepare revised drawings on an on-call basis.

• Memos and revised drawings (as requested)
B.SCHEDULE
NSPJ is prepared to initiate the services described herein upon your notice to proceed. These
services can be completed in six to eight weeks dependent on Client review and meeting
schedules.
C. ESTIMATED FEES AND EXPENSES
For performing the Services identified within Section A -Scope of Services (excluding Task
3), the Client shall pay NSPJ a lump sum amount of $49,960.00. NSPJ may alter the
compensation distribution between individual phases, tasks or work assignments to be
consistent with the Services actually rendered, within the total lump sum amount. The basis of
the lump sum amount is as follows:

The lump sum includes compensation for the Services, subconsultant costs, if any, and
appropriate factors for labor, overhead and profit. Reimbursable Expenses are not included in
the lump sum amount and are in addition to the above stated hemp sum fee and are
reimbursable at cost times a multiplier of 1.1. These expenses include, but are not limited to:
printing/duplication, long-distance telephone/fax, photographic supplies and processing,
graphic materials, travel, and delivery. Mileage will be billed at the current IRS-approved rate.
Although NSPJ recognizes and accepts the ordinary risks and/or benefits of a lump sum fee
structure, the parties agree to negotiate adjustment of the lump sum amount if there has been,
or is to be, a material change in the: (a) scope, complexity or character of the Services or the
Project; (b) conditions under which the Services are required to be performed; or (c) duration
of the Services, if a change in the Schedule warrants such adjustment in accordance with the
terms of this Agreement.
D. ADDITIONAL SERVICES:
Any services rendered by NSPJ for Task 3 -Additional Services: Review Meetings,
Coordination, and Revisions and beyond those described in Section A -Scope of Services shall
be compensated on the following basis:

mutually agreed in writing by the Client and NSPJ prior to performance of the services.
