AN ORDINANCE APPROVING THE FORM OF, AND AUTHORIZING THE MAYOR
PRO TEM TO COMPLETE AND EXECUTE, AN AGREEMENT FOR PROFESSIONAL
SERVICES BY AND BETWEEN THE CITY OF RIVERSIDE, MISSOURI AND
BARTLEBY CONTENT, LC
WHEREAS, Bartleby Content, LC ("BC") is a Missouri limited liability company in the business of
providing professional services, including but not limited to organizational and staffing consulting services
(the "Services"); and
WHEREAS, the City of Riverside, Missouri (the "City") has determined that the City requires the
Services related to staffing issues with the City, and that such Services are for a public purpose, and the City
desires to retain BC to provide such Services; and
WHEREAS, the City has negotiated with BC and the City and BC have reached an agreement (the
"Agreement") concerning the provision of, and payment for, such Services.
NOW, THEREFORE, be it ordained by the Board of Aldermen of the City of Riverside, Missouri, as
follows:
Section 1. The City of Riverside shall enter into the Agreement, to be substantially in the form
attached hereto as Exhibit A, with BC, whereby BC will provide Services specified in the Agreement, and as
consideration for such Services the City shall pay fees as described in the Agreement in a sum not to exceed
five thousand eight-hundred thirty dollars ($5,830.00).
Section 2. The Mayor Pro Tem and City Clerk are authorized and directed to execute the
Agreement, execution of such document being conclusive proof of such approval. The Mayor Pro Tem, City
Clerk and City Administrator are each authorized and directed to perform all acts and execute any other
documents necessary or desirable to effectuate the intent of this Ordinance.
Section 3. The sections, paragraphs, clauses, and phrases of the Ordinance are severable and if
any portion of the Ordinance is declared unlawful by the valid judgment, decree, or injunction order of a
court of competent jurisdiction, such ruling shall not affect any of the remaining phrases, clauses, sentences,
paragraphs, and sections of the Ordinance and all provisions of the Ordinance not specifically declared to be
unlawful shall remain in full force and effect.
Section 4. This ordinance shall take effect immediately.

This is in response to our recent conversaUOFt-=~ncerning the Cj~?'~`request that we modify the
scope of work proposed for the City of Rivtide in our letter,~~~3ecember 8, 2005.
I. Review of existing positions throughsurveys, intervi~NS, and existing job descriptions; creation
of detailed job descriptions which accurately descril'~e'#he work being done (i.e. the proposal of
December 8).
2. Creation of an optimum City:>staffing pla-~ ba3ed on its unigwe situation as a small city with a large
Capital Improvements Program and poteitit~ai'for future developmerK. This plan will be developed
assuming immediate implementad4tn (within 12 months), and will include input from mukiple
sources, including city staff, Coun~lrrrpbers, and the City's development/planning advisor. The
City may wish to expand upon themes at a later time by developing anticipated optimum staffing
strategies for the intermediate futul (3to 5 years out).
3. Creation of detailed job descriptions for implementation of the optimum staffing plan.
We've also talked about the desire of the City to examine performance evaluation systems. We
would suggest drat instead of looking at.evaluation systems concurrently wide the staffing plan, the
City study performance evaluation systems after the staffing plan is completed. Performance
evaluation systems are a huge topic and one which can be reviewed separately from the optimum
stiffing plan in order that botl~ the staffing plan and performance evaluation systems get the
attention they deserve. This also would allow the City to benefit from any new staff members'
experience with various performance evaluation systems.

Bartleby Content will assign all ownership rights to the results of project to the City of Riverside for
its use without restrictions, providing that payment is:Mnade as agreed upon and outlined here. We
will bill the City of Riverside for one half of the prppt-sed total project fee of at the start of the
project (payable within 10 business days). Fortysp~er'cent (40%) will be billed upon submission of the
first draft of the optimum staffing plan to you or `whomever you designate, and 10% will be billed
upon final project completion.
