R-2018-081 A RESOLUTION APPROVING TASK ORDER NUMBER TWO BETWEEN THE CITY OF RIVERSIDE, MISSOURI AND CONFLUENCE COMPANY,INC. BE IT RESOLVED BY THE BOARD OF ALDERMEN OF THE CITY OF RIVERSIDE, MISSOURI AS FOLLOWS: THAT the Board of Aldermen hereby approves Task Order No. 2 between the City of Riverside and Confluence Company, Inc., in substantially the form attached hereto, and the Mayor is authorized to execute Task Order No. 2 on behalf of the City; and FURTHER THAT the Mayor, the City Administrator, Capital Projects and Parks Manager, and other appropriate City officials are hereby authorized to take all actions as may be deemed necessary or convenient to carry out and comply with the intent of this Resolution and to execute and deliver for and on behalf of the City all certificates, instruments, agreements and other documents, as may be necessary or convenient to perform all matters herein authorized; PASSED AND ADOPTED by the Board of Aldermen of the City of Riverside, Missouri, the 7th day of August 2018. Rose ATTEST: Robin Kincaid, City Clerk EXHIBIT"A" TASK ORDER NO.2 This Task Order is made as of this _day of August 2018, under the terms and conditions established in the MASTER AGREEMENT FOR DESIGN + PLANNING SERVICES, dated January 2,2018(the Agreement), between The City of Riverside, Missouri (Owner) and Confluence Company, Inc. (CONFLUENCE). This Task Order is made for the following purpose, consistent with the Project defined in the Agreement: CONFLUENCE will provide professional landscape architecture services for the E.H. Young Riverfront Park for the Design of Phase One and Phase Two improvements as described in the Park Master Plan Document.Phase One and Phase Two will be designed and bid concurrently with construction to be continuous. Improvements included in Phase One are as follows: Roadway realignment and construction New Parking Area Emergency Vehicle Access/Egress Bell Tower Plaza and connecting pathways Pickleball Courts Dog Park Pedestrian Bridge Earthwork and Grading to support Phase One and Phase Two facilities Plantings and Habitat Restoration Improvements included in Phase Two are as follows: Park Pathways Destination Playground j Entry Gateway to the Park Plantings and Habitat Restoration ARTICLE 1—DESIGN TEAM CONFLUENCE will subcontract with the following subconsultants(together with CONFLUENCE referred to as the Design Team)in order to provide the Owner with the comprehensive scope of services outlined in Article 2—Scope of Services: Civil Engineer: Wilson&Company Ecologist: Applied Ecological Services ARTICLE 2—SCOPE OF SERVICES TASK 1:SCHEMATIC DESIGN KICK-OFF MEETING An initial meeting with the Client will be facilitated by our design team to clearly establish roles and responsibilities,identify project contacts and communication protocols,determine any initial data needs,and verify our proposed schedule of work with confirmed dates for key project milestones and deliverables. A key component of this meeting will be reviewing and confirming the proposed program for the park as outlined in the current E H Young Riverfront Park Master Plan. This meeting will also include a discussion of current funding and their submittal dates. TOPOGRAPHIC SURVEY The City of Riverside will provide a full topographic survey prepared by a licensed surveyor that we will rely upon for design decisions. GEOTECHNICAL EXPLORATION The City of Riverside will provide a geotechnical report prepared by a registered engineer stating recommended pavement subgrade preparations,pavement thickness,and footing bearing strength that we will rely upon for design decisions. SCHEMATIC DESIGN The Design Team will facilitate a design workshop with the City and other participants to confirm project design priorities and preferences. This workshop will largely focus on the destination playground and elements within that area. The information gleaned from this workshop will inform design concepts for the various park amenities being proposed. The workshop may include several alternative playground designs and allow the participants to offer comments, indicate their preference and suggest specific additions Based on this information, confirmed program, and the master plan, we will prepare Schematic Design plans to reflect the elements proposed. The plans will include the following: • Site plan that will fix and describe the planned improvements • Area enlargements to clearly describe the design intent • Identification of utility conflicts and necessary relocations • Preliminary grading plan • Preliminary trail alignment plans • Conceptual Playground Studies A Preliminary Opinion of Probable Construction Cost will also be developed for the planned improvements.Confluence will present the schematic plans and cost estimate to the City for review and comment. Any modifications to the plans will be identified and discussed. We anticipate that two client/team meetings will be required over the course of the Schematic Design Phase. TASK 2:DESIGN DEVELOPMENT Upon approval of the Schematic Design Documents, Confluence will work with the design team to complete the Design Development Drawings which will further detail the planned improvements including the following: • Site Plan • Area enlargements to clearly articulate the design intent • Refined/Confirmed Trail Alignment and Plans/Profiles • Grading and Utilities Plan • Landscape and Site Furnishings Plan The Confluence team through Wilson &Co. will provide a hydraulic assessment. Perform existing and proposed hydraulic calculations using the FEMA Effective Models for the 2,10,25,and 100 year storms for the park site to provide existing and proposed water surface profile calculations. A"No Rise"certificate for the FEMA 100 year flood will be provided.A copy of all hydrologic and hydraulic calculations will be provided to the City for review. If the project negatively impacts a FEMA Special Flood Hazard Area,preparation of a CLOMR/LOMR will be provided as an additional service. In addition,the Confluence team will revise the Preliminary Opinion of Probable Construction Costs to reflect the Design Development Drawings. The costs will be based on quantity takeoffs of the completed plans. We anticipate that two to three client/team meetings will be required over the course of the Design Development Phase. TASK 3'.CONSTRUCTION DOCUMENTS Upon receipt of review comments,the Design Team will prepare a comprehensive Construction Document package for the proposed park improvements.We anticipate that the following plans will be included: • Site Layout Plan and Details • Site Furnishings Plan and Details • Grading and Erosion Control Plans • Utility Plans and Details • Site Lighting Plan and Details • Landscape Plan and Details The Design Team will also complete full Technical Specifications for the work included in the Construction Documents. The City will provide front end documents, prepare the full project manual and necessary bid documents with assistance from ` the Design Team. I l I The Design Team will also assist in preparing applications for the various permits required for the project including, but not limited to the following: • Land Disturbance Permit—owner will assist with application • Floodplain Development Permit • No-Rise Certification • US Army Corps of Engineers Nation Wide Permit • Stormwater Pollution Prevention Plan(SWPPP) Securing the final permit(s)will be the responsibility of the successful contractor and/or the City. The Opinion of Probable Construction Costs will be revised to reflect the completed construction documents. We anticipate attendance at four Client/Design Team/City Department meetings over the course of the Final Design Phase. TASK 4:BIDDING&CONSTRUCTION ADMINISTRATION BIDDING AND NEGOTIATION The City will provide the bid documents, the advertisement for bid, and assemble bidders. The Design team will attend a pre-bid meeting with City Staff as well as answer questions and provide clarifications through the bid period. CONSTRUCTION PHASE SERVICES During the construction phase of the project,we will provide construction administration services including: • Process Shop Drawings, Materials Submittals, Substitution Requests, Addenda, and other necessary documentation. • Attend up to 8 regular progress meetings with both landscape architect and civil engineer.Additional meetings are additional services to charge at an hourly rate. • Provide quick resolution to any conflicts that may occur during construction with the goal of maintaining design integrity and project schedule. • Assist with the process punch lists. The City will provide a significant portion of the construction administration for this project by doing the following: • Provide timely inspections of the on-site work. These inspections will happen at a frequency that is dictated by the pace of the contractor but will likely occur at least weekly. • Provide quick resolution to any conflicts that may occur during construction with the goal of maintaining design integrity and project schedule. • Review and approve pay applications in comparison to work in progress. • Assist with the process punch lists. • Coordinate project closeout. ARTICLE 3—ADDITIONAL SERVICES CONFLUENCE,at the request of the Owner, may perform additional services related to the project including but not limited to the list of services provided below. These and other additional services will be performed by CONFLUENCE as mutually agreed to by the Owner and CONFLUENCE prior to performance of the services. 1. Design of additional facilities. 2. Preliminary concept and studies for future improvements in order to support grant requests. 3. If the project negatively impacts a FEMA Special Flood Hazard Area, preparation of a CLOMR/LOMR will be provided as an additional service. ARTICLE 4—SCHEDULE CONFLUENCE will begin services upon receipt of a signed agreement from the Owner and will work diligently to provide the scope of services according to an anticipated project schedule to be developed along with the Owner's input during the project initiation meeting. CONFLUENCE anticipates completion of the services outlined Through Task 3—Construction ! Documents by December 31, 2018 based on receiving an authorized agreement/notice to proceed from the City of Riverside on August 8,2018. The Owner and CONFLUENCE agree to amend the project schedule if necessary to accommodate unplanned delays in review by the Owner and/or other project partners/stakeholders, and for any other extenuating circumstances that are beyond the control of CONFLUENCE. ARTICLE 5—FEES AND EXPENSES We will perform the above outlined services on a Lump Sum basis,per the following fee schedule: Project Phase Confluence Wilson&Co AES Subtotal Schematic Design $35,000 $12,000 $8,100 $ 55,100 Design Development $45,000 $33,000 $3,900 $ 81,900 Construction Documents $55,000 $23,000 $4,500 $ 82,500 Bidding and Construction Administration $16,600 $ 51000 $ 900 $ 22,500 Grand Total $242,000 Reimbursable expenses, including travel and printing are not included in the services fee. Expenses will be billed in accordance with the master agreement. Estimated Reimbursable Expenses=$7,200 If the project is suspended for more than three (3) months, or abandoned in whole or in part, CONFLUENCE shall be paid their compensation for services performed prior to receipt of written notice from the Owner of such suspension or abandonment,together with reimbursable expenses then due and all terminal expenses resulting from such suspension or abandonment. ADDITIONAL SERVICES FEES Additional services performed by CONFLUENCE will be provided on a basis mutually agreed to by the Owner and CONFLUENCE prior to performance of the services BILLING SCHEDULE Service fees and reimbursable expenses will be billed to the Owner on a monthly basis by CONFLUENCE. Payment is due upon receipt of invoice. The Owner agrees to provide payment to CONFLUENCE within thirty(30)days of the invoice date in accordance with the Master Agreement for Design Services. Nonpayment after sixty(60)days from date of invoice shall be just cause for suspension of work by CONFLUENCE. ARTICLE 6—EXCLUSIONS This scope of services contains the following exclusions. These items may be provided as additional services as an amendment to the contract. • Topographic surveys. • Easement descriptions. • Traffic studies. • Traffic counts. • Floodplain Map Revisions. • Work associated with major design revisions after substantial completion of work during design or construction phases. • Geotechnical Engineering and pavement recommendations. • Telephone,data,and communications utilities. ARTICLE 7 —OWNER'S RESPONSIBILITIES Owner shall perform and provide the fallowing in a timely manner so as not to delay the Services of CONFLUENCE, and CONFLUENCE may rely can the accuracy and completeness of information provided by the Owner. However, CONFLUENCE agrees to advise Owner promptly, in writing, if it observes any inaccuracy or incompleteness in the following: 1. Authorize CONFLUENCE in writing to proceed [authorization to proceed is given by the execution of this Agreement]. 2. Designate in writing a person to act as Owner's representative, such person to have complete authority to transmit instructions, receive information, and interpret and define Owner's decisions with respect to CONFLUENCE's Services for the Project: 3 Render decisions and approvals as promptly as necessary to allow for the expeditious performance of CONFLUENCE's Services. S, Obtain, arrange, and pay for all advertisements for Fids, permits, licenses, easements, rights-of-way, and access necessary for the performance of CONFLUENCE's Services: & Make Owner's facilities available to CONFLUENCE as required for performance of the Services under this Agreement, and provide labor and safety equipment required for access. - 7. Owner to provide project manual front-end specification documents for bidding and construction. Unless otherwise provided in this Agreement, Owner shall bear all casts incident to compliance with the above items. ARTICLES —PROJECT ASSUMPTIONS The following is a list of assumptions CONFLUENCE has made in preparation of this Agreement. 1, The City of Riverside will provide a geatechnical report prepared by a registered engineer stating recommended pavement subgrade preparations, pavement thickness, and footing bearing strength that we will rely upon for design decisions: 1- The City of Riverside will provide a full topographic survey prepared by a licensed surveyor that we will rely upon for design decisions. 3. The City of Riverside will provide meeting facilities for all events and meetings. Except to the extent modified herein, all terms and conditions of the Agreement shall continue in full force and effect.
