A RESOLUTION APPROVING PROFESSIONAL SERVICES WITH AYLETT
SURVEY & ENGINEERING COMPANY FOR SURVEY AND ENGINEERING
SERVICES FOR THE VIVION ROAD TRAIL IN THE AMOUNT OF $18,380
WHEREAS, City Code Section 135.180 provides that a procurement recommendation
will be made to the Board of Aldermen when fees for service exceed$10,000; and
WHEREAS, City Staff recommends that the City engage Aylett Survey & Engineering
Company, Inc. for surveying and engineering services in connection with design of the Vivion
Road Trail,
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF ALDERMEN OF
THE CITY OF RIVERSIDE, MISSOURI AS FOLLOWS:
THAT the Riverside Board of Aldermen ("Board") hereby approves the proposal letter
with Aylett Survey & Engineering Company, Inc., in substantially the form attached hereto as
Exhibit"A", and the Mayor is authorized to execute the proposal letter; and
FURTHER THAT the Mayor, Finance Director and other City officials are hereby
authorized to take any and all actions as may be deemed necessary or convenient to carry out and
comply with the purpose and intent of this Resolution and to execute and deliver for and on
behalf of the City all certificates, instruments, agreements and other documents, as may be
necessary or convenient to perform all matters herein authorized; and
FURTHER THAT this Resolution shall be in full force and effect from and after its
passage.
PASSED AND ADOPTE by the Board of Aldermen of the City of Riverside,
Missouri,the day of 2019.

Dear Mr.Hoover:
Thank you for the opportunity to provide this proposal for survey and engineering services fol'an extension
of the existing trail currently ceding near the southwest end of St Joseph Boulevard.
Project Description
The existing trail currently ends near the cul de sac on St.Joseph Drive.The trail extension will begin at that
location and follow along on the north bank of East Creek. After crossing the reach of bast Creek which
tarns north and passes under Vivion Road,the trail alignment will go northeast to Vivion Road and extend
easterly along the south side of Vivion Road to Mulberry Drive.
It is proposed to relocate a section of East.Creek. That work will be addressed by the City of Kansas City.
Scone of Services
Per the discussion at our meeting on March 12, 2019 Aylett Survey Engineering Company proposes to
determine the location of property lines and perform topographic suiveys for the critical reaches of East
Creek.These are the bend that is to be relocated and the reach from the confluence of East Creek Tributary
to Vivion Road which will contain the trail crossing. A proposed route will be marked in the field for
inspection and approval by the Cities of Riverside and Kansas City. On approval of the location the
topographic survey of the stream reaches will be performed and. temporary construction and permanent
easement documents wil l be prepared for the work areas including the stream relocation.
The stream crossing will be located in the tloodway of East Creck.It will therefore be necessary to prepare a
hydraulic analysis of that reach if Fast Creek which will be involved.We propose to analyze the reach from
the confluence with East Creek Tributary to Vivion Road. Cross sections of the reach will be established

from the topographic survey data and modeled using it step backwater computer model.Discharges from the
current.Flood insurance Study(FIS)Report will be modeled for the existing and post bridge conditions.The
existing model will be calibrated to match the profile published in the referenced report.The geometry of the
proposed bridge including top of deck elevation, low chord elevation,abutment location,width,rail design
and piers(if any)will be provided by the City of Riverside.In the event that the bridge results in an increase
in base flood elevation we will evaluate local channel improvements at the structure to mitigate the increase.
Aylett Survey and Engineering Company will prepare a floodplain development permit application for the
portion of the trail within the corporate limits of Kansas Cita, Missouri which is located within the
floodplain.
A number of factors contribute to the calculation of the base hood elevation.We will be adding and
evaluating flow at cross sections that were not analyzed in the FIS report.If any of these new sections
are hydraulically different from those analyzed in the FIS report the existing condition profile may
not be an exact match for the published profile. '4'4'e would propose to use our "bast fit" existing
condition model as the base for the"no rise"statement.It must be further understood that we cannot
guarantee that an absolute"no rise" condition can be attained at every individual section analyzed.
We would propose that a condition resulting in minimal rise at the new structure and at or below the
existing base flood elevation at Vivion Road will be considered to meet the"no rise" condition.
It is our understanding that any coordination and/or permitting with the Corps of Engineers and the
Missouri Department of Natural resources will be performed by the City of Kansas City.
Aylett Survey and Engineering Company proposes to provide the following services in order to prepare the
construction documents for the proposed sanitary sewer:
Design Survey
• Mark proposed trail location;
• Adjust trail location based on field inspection by the City of Riverside;
+ Perform topographic survey;
• Perfonom survey for easements;
• Prepare mapping; and
• Prepare easement documents.
hydraulic Analysis for No Rise Certification
• Select cross section locations for the bridge analysis;
• Prepare the existing condition model with the added sections;
• Prepare proposed condition model reflecting the proposed bridge; and
• Evaluate channel improvements for initigation of impact of structure.
Prepare Floodplain Development Permit Application
• Determine the portion of the trail within Kansas City corporate limits that is within the
floodplain;and

• Complete the IB120 application form.
Specific Exclusions
The following services are specifically excluded from this proposal:
• All application, review,platting or permit fees and bonds;
• Establishment of Stream Buffer Zone;
• Mitigation with regard to the City's stream buffer zone requirements;
• Attendance at additional meetings beyond those included in the Scope of Services;
• Federal and/or state permit applications;
• Geo-technical investigations; reports and reconunendations;
• Evaluation of downstream facilities;
• Construction observation;
• Revisions to plans performed at the clients request during final design;
• Revisions required by review agencies other than those required for conformance to regulations raid
standard practices;
• Structural design of retaining walls, if required;
• Printing of documents other than those listed;
• Wetlands investigations and mitigation or permitting;
• Riparian habitat mitigation,
• Construction staking; and
• As-built drawings.
No Implied Guarantee
Construction documents prepared by Aylett Survey and Engineering Company will be prepared in
conformance with the adopted standards of the review agency and accepted engineering practices. Aylett
Survey and Engineering Company has no control over reviewing agencies and/or their interpretation of the
adopted standards. Aylett Survey and Engineering Company., therefore, makes no guarantees, either
expressed or implied, that the construction plans will be approved by the applicable reviewing agencies.
Items to be Provided by Owner
• Geometry of the proposed bridge;
• Installment payments of fees as described herein; and
• Payment of all processing, review and permit Ices, as may be required.
Fee for Services
The above referenced Scope of Sen ices will be provided for a cost of eighteen thousand three hundred
eighty dollars($18;380).This is baser] on the following cost allocation:

The individual work item costs rnHy vary but the total cost shown is the cost for the work included in
the scope of services.If additional services are requested the fee for additional services will be billed in
addition to the above fee based on the attached rate schedule.
Expenses
All printing and reproduction costs for internal use by Aylett Surrey and Engineering Company and those
prepared for submittal to review agencies are included in the basic fee.Additional copies will be billed as
additional services.
Additional Services
Additional services will be performed on receipt of a written request from the Owner.Requested additional
services will be billed as an hourly extra in accordance with the attached rate schedule. If the additional
services substantially impact the scope of the project an adjustment will be mode to the schedule.
General Provisions
Services performed by Aylett Surrey and Engineering Company under this agreement will be conducted in a
manner consistent with the level of care,diligence and skill ordinarily possessed and exercised by inembers
of the profession currently practicing in the same locality under similar conditions. IMPLIED
WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTiCULAR PURPOSH? ARE
SPECIFICALLY EXCLUDED.The parties'rights,liabilities,responsibilities and remedies with respect to
the Services, whether in contract or otherwise, shall be exclusively those expressly set forth in this
Agreement. To the fullest extent permitted by law,Aylett Survey and Engineering Company shall not,hi
any event,be liable to the Client for any special,indirect,incidental or consequential damages,including,but
not limited to, damages from delay, distribution, loss of product, loss of use, loss of profits or revenue or
increased cost of operation,the cost of capital or the cost of purchased or replacement equipment,systems or
power and Aylett Survey and Engineering Company's total liability to the Client for all claims, losses,
damages and expenses resulting or arising in any way from the performance of the Services shall not exceed
the toml compensation received by Aylett Survey and Engineering Company under this professional
Agreement.This Agreement shall be governed by and interpreted in accordance with the laws of Missouri.
Termination
Cancellation of this order must be made in writing,with delivery by U.S. Certified Mail.Once this order has
been placed,the Client is responsible for payinent for all work performed between the date of the order and
the date we receive a cancellation request.
Payments, Terms and Conditions
Fees quoted herein shall remain in effect for 30 days from the date of this proposal.If this offer is accepted
after thirty days,we reserve the right to re{rise our fees and resubmit this proposal.Installment payments in
accordance with the following schedule are required. Failure to meet the schedule. herein stipulated may
result in the filing of a Mechanic's Lien against the property.The schedule of payments shall be as follows:

• Monthly progress payments will be invoiced based on hourly rates for work performed during the
billing cycle;
• Once this order has been placed,the client is responsible for payment of all workperformed between
the date of the order and the date we receive a cancellation request(See Termination above);
• Pees quoted herein are based on a timely payment for work coi-npleted.Acctlunt.delinquency of more
than 30 days may result in termination of progress on the project.Payment of arrears will reinst-ate
the account and work will resume,howeN er,original schedules and deadlines cannot be guaranteed;
• Aylett Survey and Engineering Company,at our option,may charge a 2%monthly seiAce charge on
any outstanding balance;more than thirtm-day's delinquent. A charge of 24%will be added to unpaid
balances on accounts turned over for Collection; and
• Failure to make a payment may result in a Mechanic's Lien being placed on the subject project which
is the subject of this agreement pursuant.to Chapter 429 RSMO.
Schedule
The preliminary trail alignment will be located and marked in the field within one week of receipt of the
signed authorization to proceed. Surreys,and mapping will be completed within six to eight weeks of City
approval of the trail alignment.The hydraulic analysis will be.completed within two week,;of receipt of the
bridge design.
