HomeMy WebLinkAbout1664 Intergovernmental Agreement City of Northmoor Activation of Emergency Outdoor Warning System BILL NO. 2019-027 ORDINANCE NO. f��o AN ORDINANCE APPROVING AN INTERGOVERNMENTAL AGREEMENT WITH THE CITY OF NORTHMOOR FOR ACTIVATION OF EMERGENCY OUTDOOR WARNING SYSTEM BE IT ORDAINED BY THE BOARD OF ALDERMEN OF THE CITY OF RIVERSIDE,MISSOURI AS FOLLOWS: SECTION 1 — AGREEMENT APPROVED. That the Riverside Board of Aldermen ("Board") hereby approves the Intergovernmental Agreement for Activation of Emergency Outdoor Warning System by and between the City of Riverside and the City of Northmoor, Missouri, in substantially the form attached hereto, and the Mayor is authorized to execute the Agreement. SECTION 2 — AUTHORITY GRANTED. The Mayor, the City Administrator and other appropriate City officials are hereby authorized to take any and all actions as may be deemed necessary or convenient to carry ,out and comply with the intent of this Ordinance and to execute and deliver for and on behalf of the City all certificates, instruments, agreements and other documents, as may be necessary or convenient to perform all matters herein authorized. SECTION 3 — EFFECTIVE DATE. This Ordinance shall be in full force and effect from and after its passage and approval. Rose ATTEST: Til fit +12bbin Kincaid,City Clerk 4 .. � C. l: •1 tJ 3= _ INTERGOVERNMENTAL AGREEMENT FOR ACTIVATION OF EMERGENCY OUTDOOR WARNING SYSTEM This Intergovernmental Agreement for Activation of Emergency Outdoor Warning System ("Agreement"), is entered between the City of Riverside, Missouri, ("Riverside"), and the City of Northmoor, Missouri ("Northmoor"). WHEREAS, Northmoor has purchased two, two-way communications outdoor warning platforms from Blue Valley Public Safety Inc. to act as its emergency outdoor warning system ("System"); and WHEREAS, the activation of the System requires a communication hub and manual activation by a communications staff or mobile activation device; and WHEREAS,Northmoor contracts with Riverside for public safety communications; and WHEREAS,Northmoor has requested that its System be activated and remotely controlled by Riverside; and WHEREAS,both cities agree that it is in their best interest that the System be activated by Riverside. NOW, THEREFORE, in consideration of the mutual undertakings herein contained and other good and valuable consideration,the parties covenant and agree as follows: I. Communications,Transmission of Alert: Riverside will control System activation from 2990 NW Vivion Rd., through Riverside Communications, in accordance with Riverside policies and in conjunction with its Emergency Operations Plan, the National Weather Service, and Federal Emergency Management Agency's Emergency Alert System policy. II. Communications: It is understood that the System will be placed on Riverside's warning system communication network in positions five (5) and six (6) of ten (10). In the event that Riverside needs all ten (10) positions and needs to add more communication channel positons,Northmoor agrees to assist in that upgrade or move off the system. III. Maintenance: a. All maintenance andkservice for the System including the unit's transmitter and receiver located at 1 AI 1*attkatftis and S920 14o ker;will be provided by Northmoor. Yearly and records of upkeep will be provided to Riverside at no expense to Riverside. b. All communications equipment located at 2990 NW Vivion Rd. required to transmit and receive to the System will be maintained and serviced by existing agreement between Blue Valley Public Safety and Riverside. Records will be available at request by Northmoor. 1 IV. Personnel Training: Northmoor Public Safety employees as well as Riverside Public Safety employees will attend triennial Storm Spotter training in accordance with Riverside's Storm Ready status in cooperation with the National Weather Service and provide those records to Riverside. V. Responsibility: The System is the responsibility of Northmoor. Northmoor releases and holds harmless Riverside from responsibility for damage to property or injury (including death)to persons from any cause whatsoever related to the System. Northmoor will not be liable for any damages done to the Riverside communication system by events that are not controlled by Northmoor. VI. Termination: Either party may terminate this Agreement at anytime for any reason upon thirty(30) days' written notice to the other party. VII. Entire Agreement; Modifications. This Agreement represents the entire agreement between the parties with respect to the subject matter hereof. This Agreement may not be amended except by written instrument signed by the parties. VIII. Force Majeure. If, by reason of force majeure, either party is unable in whole or in part to carry out its obligations under this Agreement, such party shall not be deemed in default during the continuance of such inability, provided reasonably prompt notice thereof is given to the other party. The term "force majeure" as used herein shall mean, without limitation, the following: acts of God; strikes, lockouts or other industrial disturbances; acts of public enemies or military authority; insurrections, riots, terrorist acts; landslides, earthquakes; fires; storms, drought, floods or other severe weather conditions; explosions; breaks or accident to HVAC, utility lines, machinery, or waste disposal systems; or any other cause or event not reasonably within the control of such party and not resulting from its negligence or intentional wrongful acts or omissions. IX. Waivers. No waiver of any breach of any provision shall be deemed a waiver of any preceding or succeeding breach thereof or of any other provision. X. Governing Law. This Agreement shall be governed by the laws of the State of Missouri. Venue shall be the Circuit Court of Platte County. XI. No Third Party Beneficiaries. The parties do not intend to confer any benefit hereunder on any person, firm or other entity other than the parties hereto. XII. Notices and Communications: a. Emergency Communications: All emergency communications will be done through established radio frequencies, by phone, email, or in-person to 2 Riverside Communications located at 2990 NW Vivion Rd., Riverside, Missouri 64150. b. Business Communications: All business communications will be done through respective parties with issues addressed primarily within 24 hours of original message or next feasible business day. i.
