AN ORDINANCE AUTHORIZING PHASE 5 OF THE AGREEMENT FOR
PROFESSIONAL SERVICES BY AND BETWEEN THE CITY OF RIVERSIDE,
MISSOURI AND BERKEBILE NELSON IMIVIENSCHUH MCDOWELL, LLC FOR THE
PROVISION OF ARCHITECTURAL SERVICES
WHEREAS, Berkebile Nelson Immenschuh McDowell, LLC ("BNIM") is a Missouri limited
liability company in the business of providing professional services, including but not limited to architectural
services (the "Services"); and
WHEREAS, the City of Riverside, Missouri (the "City") has determined that the City requires the
Services for certain public improvement projects, and that such Services are for a public purpose, and the
City desires to retain Berkebile Nelson Immenschuh McDowell, LLC ("BNIM") to provide such Services;
and
WHEREAS, the City has negotiated with Berkebile Nelson Immenschuh McDowell, LLC
("BNIM") and the City and Berkebile Nelson Immenschuh McDowell, LLC ("BNIlvI") have reached an
agreement (the "Agreement") concerning the provision of, and payment for, such services, was approved by
the Board of Aldermen by Ordinance 2006-08 passed January 24, 2006 and Ordinance 2006-46 passed April
4, 2006 and signed by the Mayor.
WHEREAS, the Agreement provides for additional services designated as Phase 5, at the option of
the City and the City requires these services.
NOW, THEREFORE, BE IT ORDAINED, by the Board of Aldermen of Riverside, Missouri, as
follows:
Section 1. The City of Riverside authorizes the completion of Phase 5 of the Agreement
substantially as attached hereto as Exhibit A, and as consideration for such Services the City shall pay fees in
an amount not to exceed Eight Thousand Five Hundred Dollars and No Cents ($8,500.00) per month; with an
estimated maximum of Forty Thousand Dollars and No Cents ($40,000.00).
Section 2. The Mayor, City Clerk, and City Administrator are each authorized and directed to
perform all acts and execute any other documents necessary or desirable to effectuate the intent of this
ordinance.
Section 3. This ordinance shall take effect immediately.

Subject: Additional Services #1-Phase 5: Plan Implementation and Integration
Dear David:
Please refer to the agreement dated January 20, 2006 and modified March 27, 2006 between the City of Riverside,
Missouri ("Owner) and the undersigned, Berkebile Nelson Immenschuh McDowell Incorporated ("Project
Architect's as amended to the date hereof (such agreement as so modified and amended being hexeafrer called the
"Agreement's pursuant to which Project Architects axe to pufoxm certain additional services. The terms which axe
defined in the Agreement shall have the same meanings when used in this letter. Attached is a proposed contract
amendment for additional services relating to the Riverside Comprehensive Master Plan. We propose that the
Scope of Woxk for Phase One, Two, Three and Four -Contract Scope be amended to add the following Phase
Five:
1. Owner has requested the performance of the services described below which Project Architect deems to
be Additional Services per the terms of the Agreement.
Description of Service:
a. Identification and facilitation of potential developers for the Horizons property. The Project
Architect will participate as requested in the identifying and interviewing of potential developers for the
property referred to as the Horizons Project.
b. Participation is meetings and presentations ere requested by the Owner to facilitate the
implementation of the Comprehensive Master Plan. Project Architect will respond to requests by
the Chvner to participate in strategic meetings ox make presentations regarding the implementation of
the Mastez Plan. This task also includes providing general design or planning advice to the Master
Planning team, Planning Commission, and Board of Alderman as requested.
c. Creation and publication of informational documents or additional reporting as requested by
the owner. Project Architect will create and distribute design, planning, ox graphic design materials
upon request.
d. Participation is the creation of the new zoning regulations. Project Architect will participate in
the creation of the Riverside zoning ordinance and the possible creation of a form based code to
accompany the traditional ordinance when requested by the Owner.

e. Participation is implementatioa workshops. Project Architect will coordinate and participate in
implementation workshops with city policy makers. Workshops will demonstrate effective use of the
Master Plan and facilitate an understanding of how to translate recommendations into a governing
strategy.
f. Integration of Master Plan. Project .Architect will incorporate the Unified Development Ordinance
and financial planning documents into the Master Plan to create one seamless document.
Additional Services Fees and Expense Summary:
Additional services will be paid by the Owner according to an hourly fee for the Phase 5 work, plus reimbursable
expenses, for services described above. Hourly rates will be in accordance with the hourly rate sheet used for the
completion of Phase 1 tasks. Fees will not exceed $8,500 per month without written permission from the Owner.
If the foregoing is acceptable, please so execute by signing the enclosed copy of this letter in the space provided fox
this purpose.
