Approval is hereby confirmed of the continued engagement of the firm Armstrong Teasdale LLP as legal counsel to the City of Riverside, Missouri in accordance with the scope of services, term of engagement, fees and expenses as detailed in the attached Letter of Agreement for Professional Legal Services, which shall be made a part of this ordinance. Vivian Road Riverside, MO 64168 RE: Professional Legal Services Agreement Dear Mr. Blackburn:' This letter will confirm our continued engagement as legal counsel to the City of Riverside, Missouri (the "City"), and will describe the basis on which we will provide legal services to the City. Upon review and acceptance of this letter by ordinance duly adopted by the Board of Aldermen, please indicate the City's acceptance by having an authorized representative of the City execute a copy of this letter in the space provided below. Scope of Services: The client shall be the City. We have been engaged to provide legal services in connection with general legal matters as City Attorney, litigation, employment matters, and the planning, evaluation and implementation of economic development projects within the City, including without limitation, the issuance of bonds and instruments relative to economic development projects, tax increment financing, neighborhood improvement districts, community improvement districts, transportation development districts and other development incentive programs. John McClelland is designated as City Attorney, but is not an employee of the City and is not entitled to any employee benefits. Term of Engagement: Representation pursuant to this agreement shall commence effective July 1, 2005. Representation shall continue on a project by project basis upon the direction of the City, until terminated by either party. Fees and Expenses: The fees and expenses for each project shall be separately billed to the City on a monthly basis with a detailed statement of services and expenses incurred for that month. The City will be billed for legal services in accordance with the standard hourly rates set forth on the schedule attached hereto. Disbursements will include, among others, long distance telephone charges, delivery charges, reproduction costs, LEXIS (computer research) charges, filing fees and travel expenses. Extraordinary items of expense will not be advanced. Upon the request of the City, we will provide to the City for approval an estimated budget for each project. If no such budget is requested by the City on a project, the City shall be billed for all fees and expenses incurred in connection with such project. Payment is due upon receipt of our statement. Obviously, if payment of our statements is not made promptly, we must be able to terminate our representation immediately. In such circumstances, you agree not to oppose our withdrawal. Direction of City: Legal services shall be provided to the City at the direction and in coordination with the City Administrator. Please confirm the City's acceptance of representation of the City on the terms set forth herein by signing this letter in the space provided below and returning one countersigned copy of this letter to the undersigned.
