AN ORDINANCE AUTHORIZING THE CITY OF RIVERSIDE, MISSOURI TO ENTER
INTO AN AGREEMENT WITH TRANSYSTEMS CORPORATION FOR DESIGN
SERVICES FOR I-635, ROUTE 9, HORIZONS PARKWAY AND SCHOENBECK ROAD
SUPPLEMENTAL WORK DUE TO RELOCATION OF HORIZONS PARKWAY
WHEREAS, the City of Riverside, Missouri ("City") engaged in negotiations with
Transystems Corporation ("Transystems") for provision of engineering and design services
related to the Horizons Project and the I-635 and Van de Populier interchange under
consideration by the City (the "Services"); and
WHEREAS, the City and Transystems have previously reached an agreement concerning
the provision of and payment for such Services (the "Agreement"); and
WHEREAS, revisions are necessary to the Agreement due to the relocation of Horizons
Parkway and the concurrent change in the scope and nature of the Services.
NOW, THEREFORE, be it ordained by the Board of Aldermen of the City of Riverside,
Missouri, as follows:
Section 1. The City of Riverside shall enter into Supplement #3, in substantially the form
attached hereto as Exhibit A, to the Agreement whereby Transystems shall provide design and
engineering services, related to the design and relocation of Horizons Parkway in the Horizons
Project, to the City at a total cost of $349,100.00 ("Supplement #3").
Section 2. This Ordinance shall be in full force and effect from and after its passage and
approval.

• Further refinements to NW Platte Valley Drive improvements deleted from project (a $7,400 credit
has been included in this supplement).
• Further refinements to relocation of existing "East-West" portion of Deconick Road deleted from
project.
Schoenbeck Road
• Location of Schoenbeck Road /Horizons Parkway intersection relocated. Complete redesign o
approximately 700' of horizontal alignment/layout and approximately 1400' of vertical alignment,
grading, cross sections and drainage systems.

64 Review the revised preliminary geotechnical report for the Van de Populier Bridge over the
BNSF Rail Road.
65 Submit revised Preliminary Plans for the two structures mentioned above, to the BNSF RR and
the City for their review and approval.
66 Incorporate City and BNSF comments.
67 Review and assist with the preliminary design of other hydraulic structures (RCB's) crossing
Horizons Parkway.

PROPOSAL CONDITIONS
The following is a list of conditions that were the basis for this supplement:
General:
1. The "Proposal Conditions" for the Phase II and Phase III Scope of Work (Ordinance No. 2 -
19, dated 2/24/04) are included in this supplement by reference.
Survey:
1. The Horizontal and Vertical Datum is to be tied to the previous datum established for Phase I of t e
I-635 and Horizons Parkway Project.
2. The coordination and marking from Missouri One-Call for all utilities on the projects will be
marked for the surveyors to locate with out any delay or complications.
3. The restaking of centerline alignment control points for Route 9 consists of a 3 points maximum.
4. The coordination between Terracon and TranSystems for the staking and final location of ±IS
geotechnical borings at the relocated BNSF bridge is based on 2 project visits. 1 visit to stake
preliminary location and 1 visit to locate final borings.
5. Right of Way and Easement description preparation is based~on the following:
A) 3 Tracts with a total of 9 descriptions on Route 9
B) 6 Tracts with a total of 7 descriptions on Horizons Parkway
C) 1 Tract with a total of 2 descriptions on Schoenbeck Road

SCOPE OF SERVICES -

SCHEDULE OF CONDITIONS
STANDARD OF PERFORMANCE -
Consultant services shall be performed in a manner consistent with the standard of professional care, skill and diligence that is customary for
projects of the type and complexity as herein described. All work shall be performed by qualified personnel under the supervision of, or performed
directly by, persons licensed to practice in the State wherein the project is located.
The services shall reasonably conionn to applicable laws, codes, ordinances and regulations of any governmental agency having jurisdiction over
the project, at the lime services are rendered. The plans shall conform to either MoDOT or APWA standards.
SCHEDULE-
The services will be provided in accordance with Client's schedule.
-OWNERSHIP OF D000MENTS-
The Consultant and Client shall jointly retain ownership of all work products and drawings. Consultant shall provide Client copies of drawings in an
electronic format.

-GOVERNING LAW AND FORUM-
This Agreement shall be governed by and construed in accordance with the laws of the stale in which the project is located, without regard to the
internal laws of such state regarding congicts of laws.
COMPENSATION AND PAYMENT -
Compensation shall be in accordance with the Scope of Services attached hereto. Payment shall be made by the Client to the based on the above
standard hourly rates. Invoices will include the name, title, hours worked of the people assigned to the project, the expenses incurred and a
summary of the tasks accomplished since the last invoice.
-AGREEMENT REVISION -
This Professional Services Agreement, consisting of the Documents enumerated in the Request for Proposal shall not be modified, amended,
extended or changed in any manner except in writing and signed by persons duly authorized to~represenl the Client and the Consultant.
-AGREEMENT TERMINATION-
The Consultant may terminate this Professional Services Agreement upon seven (7) days written notice to the Client for failure of the client to make
payment in accordance with the terms contained herein.
-AGREEMENT EXECUTION -
Upon execution and receipt by the Client and the Consultant, this Document and all other Documents enumerated in the Request for Proposal shall
form the Professional Services Agreement between the Client and the Consultant.

Dear Mr. Meyers:
We are pleased to submit our supplemental proposal fbr the referenced project. Our
understanding of the proposed additional work and our proposed scope of services are described
herein. Our estimated fee for this additional work is attached. If we have misunderstood any
aspect of the proposed project, please advise us at once so we can evaluate the scope of
services we have proposed.
PROJECT INFORMATION
We understand the additional work involves drilling additional borings for the relocated bridge
planned along Horizons Parkway and spanning the existing BNSF Rail line. The geotechnical
reports that we have issued for the project would be revised to include the additional
information.
PROPOSED SCOPE OF WORK
Bridge over BNSF
Four borings will be drilled for the bridge over the BNSF rail line. These borings will be drilled to
depths of 100 feet or practical auger refusal, whichever occurs first. Based on our borings at
the previous bridge location, we anticipate that shale bedrock wall be encountered at a depth of
80 to 90 feet below ground surface. If shale is encountered at a similar depth, we will terminate
the borings within the shale bedrock. We will include the results from these borings in our
bridge design report.

Horizons Parkway Pavement
We will perform borings at approximate 200 foot intervals along the proposed roadway
alignment for the relocated portion of Horizons Parkway. We will drill these borings to depths
of 10 to 15 feet. The results of these borings will be provided in our pavement report.
Other Considerations
We will contact local utility companies by calling 1-800-Dig-Selfe (Kansas). It normally requires
48 hours to have utilities located and we often have been required to meet with utility
companies on site to show them where we plan to drill.
Terracon personnel will locate borings approximately by measuring distances from available site
features using a cloth tape or calibrated wheel or by pacing and estimating right angles. We
understand TranSystems will determine actual locations and elevations after the borings have
been completed.
This proposal has been prepared in accordance with generally accepted geotechnical engineering
practices. We understand this proposal letter and fee estimate schedule will be attached to a
contract between TranSystems and Terracon. We look forward to working with you on this
