HomeMy WebLinkAbout2005-103 - Extension of Service Agreement with Shafer, Kline & Warren BILL NO.2005-103 ORDINANCE NO.2005-103 AN ORDINANCE AUTHORIZING THF, CITY OF RIVERSIDE TO ENTER INTO AN EXTENSION TO A SERVICES AGREEMENT WITH, AND PAY CERTAIN FUNDS TO, SHAPER, KLINE & WARREN, INC. WHEREAS, Shafer, Kline & Warren, Inc. ("Service Pmvider'~ is a corporation providing services, including certain construction contract administration and construction progress monitoring services ("Services'. WHEREAS, Service Provider has provided such Services to the City pursuant to a Services Agreement approved by the City's Board of Aldermen on September 6, 2005 by Ordinance No. 2005-88, the City desires Service Provider to continue providing the Services beyond the tone contemplated in the Services Agreement, and the Service Provider requires additional funding to coctinue providing services to the City for the review of, administration of, and progress monitoring of the City's construction contract for the West Gateway improvements. WHEREAS, the City finds that the continuation of the provision of the Services is a public purpose and the City has the capability and desire to retain Service Provider for the provision of such Services to the City. NOW, THEREFORE, BE IT ORDAINED, by the Board of Aldermen of Riverside, Missouri, as follows: S 'on 1. The City finds that the provision of the Services contributes to the welfare of the City as well as the economic and social potential of the City and its residecrts, that the Services are importarrt to the welfare of the City and that the provision of funds to assist in providing such Services are for a public purpose. Section 2. The City of Riverside shall pay to the Service Provider the sum of Forty-0ne Thousand Four Hundred Twetrty-Five and 00/100 Dollars ($41,425.00) for the provision of Services to the City, pursuant to an Extension to the Services Agreement, in substamially the form attached as Exhibit A, which is hereby approved. Section 3. The Mayor and City Clerk are authorized and directed to execute the Services Agreement, execution of such document being conclusive proof of such approval. The City Administrator is authorized and directed to perform all acts necessary or desirable to effectuate the invent of this Ordinance. Section 4. The sections, paragraphs, clauses, and phrases of the Ordinance are severable and if any portion of the Ordinance is declared unlawful by the valid judgment, decree, or injunction order of a court of competent jurisdiction, such ruling shall not affect any of the remaining phrases, clauses, sentences, paragraphs, and sections of the Ordinance and all provisions of the Ordinance nat specifically declared to be unlaw&1 shall remain in fiill force and effect. Oj OF THE CITY OF RIVERSIDE ~ho l/~-m . .~,. ,...r ,. .n ,t.. 1 i 'i' T ~ 1i EXTENSION TO SERVICES AGREEMENT s Extension to Services Agreement (the "Extension") is entered into this~~day of 2005 by and between Shafer, Kline & Warren, Inc. ("SKW') and the City of 'verside, Missouri ("City"). WHEREAS, the City entered into a Scope of Services Agreement (the "Agreement") with SKW on September 6, 2005 for the provision of construction contract administration and construction progress monitoring services on the West Gateway improvements in the City (the "Services"); and WHEREAS, the term of the Agreement provided for a period of thirty (30) calendar days; and WHEREAS, the City desires SKW to continue providing the Services, and SKW desires to continue providing the Services. NOW, THEREFORE, in consideration of the covenants and agreements contained in this Extension, it is agreed as follows: 1. The term of the Agreement shall be extended for an additional sixty (60) calendar days from the end of the original thirty (30) day period. 2. The compensation for the sixty (60) day extension period shall be a maximum of Forty- One Thousand Four Hundred Twenty-Five and no/100s dollars ($41,425.00). The total compensation shall be determined by the actual hours worked, at a rate of eighty dollars per hour ($80.00/hr.). SKW shall provide the City with regular invoices regarding the hours worked and Services performed. 3. Any and all other provisions of the Agreement not specifically altered by this Extension shall remain in full force and effect throughout the sixty (60) day extension period.
