A RESOLUTION APPROVING THE GRANT OF A PERMANENT WATER LINE EASEMENT
FROM THE CITY OF RIVERSIDE TO MISSOURI AMERICAN WATER COMPANY IN
CONNECTION WITH HORIZONS XI.
WHEREAS, the Board of Aldermen finds it to be a public purpose and in the best
interest of the public to grant access to certain property further described herein in connection
with construction work pertaining to Horizons XI;
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF ALDERMEN OF
THE CITY OF RIVERSIDE, MISSOURI AS FOLLOWS:
THAT the Board of Aldermen ("Board") hereby approves the grant of a Permanent
Water Line Easement, in substantially the form attached hereto, to Missouri American Water
Company, and the Mayor is authorized to execute the conveyance on behalf of the City; and
FURTHER THAT the Mayor, the City Administrator, the Finance Director and other
appropriate City officials are hereby authorized to take any and all actions as may be deemed
necessary or convenient to carry out and comply with the intent of this Resolution and to execute
and deliver for and on behalf of the City all certificates, instruments, agreements and other
documents, as may be necessary or convenient to perform all matters herein authorized.

PERMANENT WATERLINE EASEMENT
THIS PERMANENT WATERLINE EASEMENT (this "Agreement") is made and entered into
this 9' day of December,2020,by and between:
GRANTOR: CITY OF RIVERSIDE,MISSOURI,and
GRANTEE: MISSOURI AMERICAN WATER COMPANY,a Missouri corporation.
The undersigned Grantor, in consideration of Ten Dollars ($10.00) and other valuable
consideration,the receipt and adequacy is hereby acknowledged, does hereby grant,bargain, sell, convey
and release to the Grantee, a permanent waterline easement to locate, construct and maintain a waterline
under,along and through real property as described in the legal description and as depicted,to wit:
SEE EXHIBIT "A" (ATTACHED)
Except as expressly provided herein, Grantor shall not construct or cause to be placed within the
limits of the waterline easement herein conveyed any improvements, buildings, structures or fill, but is
expressly allowed to construct streets, drives, parking lots, and curbs (collectively, the "Permitted
Improvements"). Grantee shall restore, replace, and repair the ground and Permitted Improvements, if
any,to the condition existing immediately prior to the beginning of any construction or later maintenance,
repair, replacement or removal of the waterline and shall not unreasonably interfere with Grantor's
ingress and egress over and across the premises herein conveyed.
This Agreement is binding upon the heirs,executors,administrators,successors and assigns of the
parties hereto, and it is understood that this agreement cannot be changed in any way except in writing,
signed by the Grantor and a duly authorized agent of the Grantee.
