Notice of Meeting
Notice is hereby given that the Board of Directors of the Industrial Development Authority of the
City of Riverside, Missouri will conduct a meeting at 5:30 p.m. on Thursday, December 10, 2020, at the
City Hall of Riverside, 2950 NW Vivion Road, Riverside, Missouri 64150.
The tentative agenda of this meeting includes:

Wednesday, June 10, 2020
6:00 p.m.
The Industrial Development Authority of the City of Riverside, Missouri, met in regular session at City Hall,
2950 NW Vivion Road, Riverside, Missouri.
President Leland Finley called the meeting to order at 6:01 p.m. Answering roll call were Leland Finley, Frank
Biondo, and Jason Rule. Also present: Sarah Wagner
Approval of Minutes Jason Rule moved to approve the minutes from January 30,
from January 30, 2019 2019.
Resolution 2020-001
Maintenance Easement
Resolution 2020-002

Frank Biondo seconded and the motion passed 3-0.
President Leland Finley read Resolution 2020-001: A
resolution authorizing the granting of a permanent maintenance
easement to Horizons Industrial X LLC for the benefit of the
Horizons Industrial VIII project. Sarah Wagner explained that
this resolution and the next for a temporary construction
easement are related to the construction of a new building in
Horizons on Lot 7. They have to make some modification to
the pond and will be required to maintain the area next to their
lot.
Frank Biondo moved to approve Resolution 2020-001,
seconded by Jason Rule. Motion passed 3-0.
Leland Finley read Resolution 2020-002: A resolution
authorizing and granting of a temporary construction easement
to Horizons Industrial X, LLC for the period of construction for
the Horizons X project.
Frank Biondo moved to approve Resolution 2020-002,
seconded by Jason Rule. Motion passed 3-0.
Adjournment Jason Rule moved to adjourn the meeting at 6:06 pm, seconded
by Frank Biondo. Motion passed 3-0.

RESOLUTION NO. 2020-003
A RESOLUTION AUTHORIZING THE GRANTING OF A PERMANENT
UTILITY EASEMENT TO EVERGY METRO, INC. IN THE CITY OF
RIVERSIDE, MISSOURI
Pursuant to the provisions of Chapter 349, RSMo., as amended, the Board of Directors
of The Industrial Development Authority of the City of Riverside, Missouri (the "IDA"), hereby
adopts this Resolution and directs that this Resolution be filed with the official IDA minutes:
WHEREAS, the IDA currently owns all of Tract A and Tract B, Riverside Horizons East
First Plat, a subdivision in the City of Riverside, Platte County, Missouri,; and
WHEREAS, the Project requires the granting of an easement to Evergy Metro, Inc. over
portions of Tract A and Tract B for the construction and maintenance of electrical services in
the area (the "Easement"); and
NOW THEREFORE, BE IT RESOLVED, by the Board of Directors of the Industrial
Development Authority of the City of Riverside, Missouri as follows:
Section 1. The IDA's granting of the Easement, in the form attached hereto and
incorporated herein as Exhibit "A", to Evergy Metro, Inc. is hereby approved and the President
and Vice President are hereby authorized to enter into, execute and deliver and the Secretary
and the Assistant Secretary are hereby authorized to attest to, the Easement, such official's
signature thereon being conclusive evidence of his or her approval and the IDA's approval
thereof.
Section 2. The President, Vice -President, Secretary, Assistant Secretary and other
appropriate officers and agents of the IDA are hereby authorized to take such further actions
and execute such other documents as may be necessary or desirable to carry out and comply
with the intent of this Resolution.
Section 3. The Resolution shall be in full force and effect from and after its adoption.
ADOPTED THIS 10th DAY OF DECEMBER, 2020.
This Resolution was adopted at the meeting of the Board of Directors of the IDA duly
called and held this date.

THIS EASEMENT made and entered into this day of November, 2020, by and
between City of Riverside, a political subdivision of the State of Missouri, "GRANTOR" and
Evergy Metro, Inc., a Missouri Corporation whose mailing address is PO Box 418679, Kansas
City, MO. 64141-9679, and its and their affiliates, lessees, licensees, designees, successors and
assigns, of Jackson County, Missouri "GRANTEE".

KNOW ALL MEN BY THESE PRESENTS: That the undersigned, Grantor, in consideration of the
sum of One Dollar ($1.00) and other good and valuable consideration, the receipt of which is
hereby acknowledged, hereby GRANTS, BARGAINS, SELLS AND CONVEYS to Grantee, its
lessees, successors and assigns, the right, privilege and perpetual non-exclusive easement to
enter upon the lands of Grantor as described below, to survey, construct, operate, patrol, inspect,
maintain, alter, add wires, poles, cables, conduits, and pipes, repair, rebuild and remove, on,
under and over the easement described below and in and upon all streets, roadways or highways
abutting said lands, now or at any future time, lines for the transmission and distribution of electric
energy, and for communication purposes, and all appurtenances and appliances necessary in
connection therewith, together with the right of ingress and egress to and from said lines of
GRANTEE over the lands of Grantor so that Grantee may go to and from said lines from the
public roads adjacent to Grantors lands, which said temporary non-exclusive easement being
situated in the County of Platte, in the State of Missouri, said easement more particularly
described as follows:

reference.
GRANTEE may erect and use gates in all fences which cross or which shall hereinafter cross the
route of said lines. Grantee is given the right to trim, cut and clear away any trees, limbs and
brush on or adjacent to the above-described easement whenever, in its judgment, such will
interfere with or endanger the construction, operation or maintenance of said lines. In exercising
its rights of ingress or egress Grantee shall, whenever practicable, use existing roads or lands
and shall repair or compensate for any damage caused by its use, repair, or improvement to said
perpetual easement. All logs, limbs, or brush cut or trimmed by Grantee shall be removed by
Grantee unless Grantor otherwise requests.
IT BEING THE INTENTION of the parties hereto that Grantor is hereby granting the uses herein
specified without divesting Grantor and heirs or assigns of the right to cultivate, use and enjoy the
above-described premises: PROVIDED, however, such use shall not, in the judgment of said
Grantee, interfere with or endanger the construction, operation or maintenance of said lines, and
provided further that no building shall be constructed on the easement without Grantee's written
permission.
Title to said lines shall be and remain in said Grantee
TO HAVE AND TO HOLD said easement and rights aforesaid with all and singular, the rights,
privileges, appurtenances, and immunities thereto belonging or in anyway appertaining unto
Grantee its lessees, licensee, successors or assigns forever. This easement conveyance shall
run with the land and shall be binding upon Grantor and Grantor's heirs, administrators,
executors, successors and assigns. Grantor hereby covenants that Grantor is the owner(s) of the
above-described land, subject to existing liens and right-of-way easements of record.
