President Leland Finley called the meeting to order at 6:04 p.m. Answering roll call were Leland Finley, Harold Snoderley, Jason Rule, and Pam Darata. Also present: Sarah Wagner Community Development. Approval of Minutes from Harold Snoderley moved to approve the minutes from March 30, 2015. November 19, 2014 Resolution 2015-002: Spec V Jason Rule seconded and the motion passed 4-0. Pam Darata moved to approve Resolution 2015-00 authorizing the sale and transfer of certain property to the City of Riverside, Missouri; Directing UMB Bank N.A. to release such property from the Deed of Trust and Security Agreement upon certain conditions, and authorizing other actions in connection therewith, seconded by Harold Snoderley. Motion passed 4-0. Adjournment Harold Snoderley moved to adjourn the meeting at 6:13p.m., seconded by Jason Rule. Motion passed 4-0. BEFORE THE BOARD OF ALDERMEN OF THE CITY OF RIVERSIDE, MISSOURI IN THE MATTER OF: RIVERSIDE HORIZONS COMMUNITY IMPROVEMENT DISTRICT PETITION TO ESTABLISH THE RIVERSIDE HORIZONS COMMUNITY IMPROVEMENT DISTRICT TO: MS. ROBIN LITTRELL CLERK OF THE CITY OF RIVERSIDE, MISSOURI The undersigned property owners (the "Owners"), being the owners of record of: A. More than fifty percent (50%) by assessed value of the real property within the boundaries of the proposed Riverside Horizons Community Improvement District (the "District"), and B. Who constitute more than fifty percent (50%) per capita of all owners of real property within the boundaries of the District, do hereby petition and request that the City create and establish a community improvement district as described herein to fund all or part of the cost of services and improvements to be provided and to be made within the District under the authority of Sections 67.1401 to 67.1571, RSMo. (the "Community Improvement District Act" or "Act"). In support of this Petition and request, the Owners state as follows: I. Description of the District A. Name of the District The name of the District shall be "The Riverside Horizons Community Improvement District." B. Legal Description The Legal Description of all of the real property intended to be included within the boundaries of the District is attached hereto as Exhibit A, and incorporated herein. Boundary Map A map illustrating the boundaries of the District is attached hereto as Exhibit B, and incorporated herein. D. Property Owners and Petitioners 1. Petitioners represent: a. More than fifty percent (50%) per capita of all owners of real property within the boundaries of the District; and b. Property owners collectively owning parcels representing more than fifty percent (50%) of the total assessed value of real property within the boundaries of the District, based on the Platte, County, Missouri tax records of the Platte County Clerk as of the date of filing this Petition, 2. A list of property owners within the District and the equalized assessed value of the District property is attached as Exhibit C and incorporated herein. II. Five Year Plan. A five-year plan stating a description of the purposes of the District, the improvements it will make, and an estimate of costs of these improvements to be incurred is attached hereto as Exhibit D. III. Governance of District A. Type of District 1. The District shall be a separate political subdivision governed by a board of directors (the "Board of Directors" or "Board") appointed individually by the Mayor of the City with the consent of a majority of the Board of Aldermen of the City in accordance with §67.1451.5 of the Act. 2. The District shall have all of the powers granted to and/or exercisable by a community improvement district pursuant to the Act, except as otherwise expressly limited by this Petition. B. Board of Directors 1. Number. The District shall be governed by a Board of Directors consisting of five (5) directors. Petition to Establish the Riverside Horizons Community Improvement District 2 WA 6764507.1 2. Qualifications. Each Director, during his or her term, shall meet the following requirements: a. Be at least 18 years of age; and b. Either be i A fee owner of real property within the District or a legally authorized representative thereof (an "Owner"); or ii An owner or legally authorized representative of a business organization or other entity operating within the District (an "Operator"); or a registered voter residing within the District (a "Resident") as provided in the Act; and c. Be a citizen of the State of Missouri for not less than one year prior to taking office. 3. Board Representation. In order to ensure fair representation of the District, the Board representation shall meet the following requirements: a. At least Two (2) Directors shall represent an owner of real property that is exempt from real property taxes, so long as such owner(s) exist; b. At least Two (2) Directors shall own real property within the District; and c. At least One (1) Director shall be the owner(s) or legally authorized representative of a business operating within the District and must not own real property located within the District. Each director may represent more than one of these categories. The failure of the board of directors to meet the representation requirements set forth in this section shall not affect the board's authority to hold meetings, exercise any of the District's powers, or take any action otherwise lawful. 4. Terms; Successor Directors. The initial Directors shall serve for staggered terms as follows: three for two years, two for three years, or until their successors are appointed in accordance with the Act and this Petition. Their successors shall be appointed to serve four-year terms. In the event of a vacancy on the Board of Directors, the Mayor, with the consent of a majority of the Board of Aldermen of the City, shall appoint an individual to fill the vacancy for the remainder of the unfinished term or until a new Director is appointed. All successor Directors and any interim Director shall meet the qualifications of Section III.B.2 of this Petition and of §67.1451.2 of the Act. Assessed value The total assessed value of all of the real property within the District is $31,364,647, and the assessed value of each respective parcel within the District is set forth on the chart attached hereto as Exhibit C, and incorporated herein. V. Blight Determination The Petitioners are not seeking a determination for the District. The property within the District has been previously included in an area determined to be blighted. VL Life of District,Termination A. Life Unless properly terminated pursuant to the Act and this Petition, the District shall continue to exist and function for: 1. A period of not less than twenty five (25) years, and not more than forty (40) years following the effective date of the ordinance establishing the District, or 2. Until all of the District Obligations, as defined in the Act, have been repaid, whichever occurs last. B. Suspension The majority of the property owners within the District may petition the Mayor for suspension or the Mayor, on the Mayor's initiative and with the advice and consent of the Board of Aldermen, may suspend the power and authority of the Board of Directors of the District to act and may appoint a Receiver to administer the operations of the District if the Board finds that any one of the following has occurred: 1. The proposed budget exceeds actual assessment collections by 50% for any calendar year; 2. The District fails to provide any or all services for six months. C. Termination 1. Upon receipt by the City Clerk of a proper petition and after notice and a public hearing, the District may be terminated by ordinance adopted by the City prior to the expiration of its term if the District has no outstanding obligations. A copy of such ordinance shall be given to the Community Development Department. 2. A petition for the termination of a district is proper if: Petition to Establish the Riverside Horizons Community Improvement District 4 WA 6764507.1 a. It names the district; b. It has been signed by owners of real property collectively owning more than fifty percent by assessed value of real property within the boundaries of the district; c. It has been signed by more than fifty percent per capita of owners of real property within the boundaries of the district; d. It contains a plan for dissolution and distribution of the assets of the district; and e. The signature block signed by each petitioner is in the form set forth in subdivision (4) of subsection 2 of Section 67.1421 RSMo. 3. The public hearing required by this section shall be held and notice of such public hearing shall be given in the manner set forth in Section 67.1431 RSMo. The notice shall contain the following information: a. The date, time and place of the public hearing; b. A statement that a petition requesting the termination of the district has been filed with the municipal clerk; c. A statement that a copy of the petition is available at the office of the municipal clerk during regular business hours; and d. A statement that all interested parties will be given an opportunity to be heard. 4. Upon expiration or termination of a district, the assets of such district shall be distributed in accordance with the plan for dissolution as approved by ordinance. Every effort should be made by the municipality for the assets of the district to be distributed in such a manner so as to benefit the real property which was formerly a part of the district. VII. Maximum Rates of Business License Tax, Real Property Tax, and Sales Tax A. License and Real Property Tax. The District shall not impose business license taxes or real property taxes. B. Sales Taxes. The District shall be authorized to impose a sales or use tax not to exceed 1% upon approval of the qualified voters of the District. C. Special Assessments. The District shall have the power to impose special assessments as provided for in the Act. Petition to Establish the Riverside Horizons Community Improvement District 5 WA 6764507.1 D. Other Tax/Assessment Measures. The District shall have the power and authority to impose any other tax, license or assessment allowable under the Act. VIII. Maximum Rates of Special Assessment and the Method of Assessment The maximum rate of special assessments and the respective methods of assessment that may be proposed by petition, pursuant to sections 67.1521 of the Act, shall be $0.030 per square foot of land. The initial special assessment rate may be adjusted as provided by the CID Act, but such adjustment shall not exceed the maximum amount set forth in this Petition, nor may such amount be increased by more than five percent (5%) in any given year. All tracts of land in the District will receive special benefits from the Improvements. IX. Prioritization of Disbursements if CID Obligations Exist If there shall be outstanding CID Obligations, all disbursements from the Fund shall be made in the following manner and order of preference, all of which will be identified in subsequent documentation prepared specifically for the CID Obligations: A. To the payment of arbitrage rebate, if any, owed with respect to the CID Obligations under Section 148 of the Internal Revenue Code of 1986, as amended, including any costs of calculating arbitrage rebate; B. To payment of any District administrative costs and expenses, including, but not limited to, the payment of any collection fee (if not already deducted prior to deposit in the Fund) or other administrative costs owed to the County collector or the City; C. For payment to the trustee or any paying agent for the CID Obligations, an amount sufficient for payment of any fees, charges, costs and expenses which are due and owing to the trustee or any paying agent; D. To payment of interest becoming due and payable on any CID Obligations; E. To payment of principal and premium, if any, becoming due and payable on any CID Obligations; F. For transfer to the debt service reserve fund created for the CID Obligations, such amount as may be required to restore any deficiency in said fund as provided in the indenture authorizing the issuance of the CID Obligations; G. To the payment of any unpaid verified Improvement Costs; and H. To the optional redemption of any CID Obligations. X. Limitations on Borrowing Capacity The District shall have the authority to incur debt and issue notes, bonds, and other Petition to Establish the Riverside Horizons Community Improvement District 6 WA 6764507.1 financial obligations subject to the provisions of the Act; however, the District may not issue bonds with a maturity date that exceeds the permitted life of the District as defined in Section VI.A. XI. Limitations on Revenue Generation The District shall have no additional authority to levy taxes except as provided herein, or as provided by amendment to this Petition. XII. Limitations of the Powers of the District The District shall have all of the powers authorized by this Petition and consistent with the Act. XIII. Request to Establish District By execution and submission of this Petition, the Petitioners request that the Board of Aldermen hold a public hearing in accordance with §67.1421 of the Act and adopt an ordinance to establish the District as set out in this Petition and in accordance with the Act and this Petition. XIV. Notice to Petitioner The signature of Petitioners signing this Petition may not be withdrawn later than seven (7) days after this Petition is filed with the Clerk of the City. XV. Severability; Conflicts A. If any provision of this Petition shall be held or determined to be invalid, inoperative or unenforceable as applied in any particular case, or in all cases, because it conflicts with any other provision or provisions of this Petition or for any other reason, such circumstances shall not have the effect of rendering the provision in question inoperative or unenforceable in any other case or circumstance, or of rendering any other provision contained in this Petition invalid, inoperative or unenforceable to any extent whatsoever. B. Except where such provision is expressly required by the Act, if any provision of this Petition shall be in conflict with any provision of a Development Agreement executed in regard to any property within the District, the provision of the Development Agreement shall govern and this Petition shall be deemed amended accordingly. Purposes of the District The purpose of the District is to enhance the quality and value of the property within the District through the funding of projects, services and improvements within the boundary of the District. The District will have the authority to exercise any powers authorized pursuant to the Act. II. District Services and Improvements The District shall provide at a minimum the services included in this Exhibit D and may construct, reconstruct, install, repair, maintain, operate, and equip various public improvements as described herein (collectively "Services and Improvements"). Services and improvements contemplated by the District may include but are not limited to: A. Parks, Lawns, Trees, Landscaping, and Common Areas Services and improvements in this category may include but are not limited to: purchasing land and materials, planting, landscaping, irrigating, planning and implementing a streetscape plan, planning and implementing a hardscape plan (e.g., benches, trash cans, tree grates, bike racks), and maintaining open spaces, green spaces, common areas, pedestrian trails and walkways, and related spaces within the District and for the benefit of the District. B. Public Infrastructure Services and improvements in this category may include, but are not limited to purchase, installation, construction, contracting, maintenance, repair, operation and/or other necessary actions related to: (a) water pump(s); (b) irrigation system(s) and related components; (c) streets or sidewalks; (d) stormwater management; (e) low impact development; (0 traffic signs and signals; (g) wayfinding signs; or (h) other public infrastructure of site improvements within the District and for the benefit of the District. C. Cleaning and Maintenance As determined necessary by the district, services and improvements in this category may include, but are not limited to: (i) street and sidewalk cleaning and snow removal, (ii) public area litter control, and (iii) maintenance of street furniture, public art, decorations, improvements, public lighting, and wayfinding signage within the District and for the benefit of the District. Administrative Activities The District will provide for the District administrative activities including but not limited to accounting, and legal services as well as providing insurance all for the benefit of the District, as the Board deems necessary or desirable, and as authorized pursuant to the Act. III. Estimated Costs and Budget The estimated costs of administration, services and district improvements to be incurred by the District, during its first five years, and the District's five-year budget are in this Exhibit D. A. District Formation Costs In addition to the estimated costs shown in this Exhibit D, the District shall reimburse the City for the costs incurred by the City prior to formation of the District in furtherance of formation of the District. B. Revenue Measures 1. Sales Tax. Pursuant to §67.1545 of the Act, the District shall have the power to impose a sales tax at a rate not to exceed one (1) percent as may be approved by the qualified voters. 2. Special Assessments. The District shall have the power to impose special assessments as provided for in the Act. 3. Property Tax. The District shall not have the power to impose a property tax. 4. Business License Taxes. Petition The undersigned property owners (the "Owners"), being the Owners of record: A. Of more than fifty percent (50%) by assessed value of the real property within the boundaries of the proposed Riverside Horizons Community Improvement District (the "District"), and B. Who constitute more than fifty percent (50%) per capita of all owners of real property within the boundaries of the District, do hereby petition and request that the Board by resolution authorize a special assessment to be levied upon the real property within the District to fund all or part of the cost of services and improvements to be provided and to be made within the District as follows: 1. The District shall be authorized to levy special assessments against real property benefitted within the district for the purpose of providing revenue for the improvements and services delineated within Exhibit D of the Petition to form the Riverside Horizons Community Improvement District, such special assessments to be levied against each tract, lot or parcel of real property listed below within the district which receives special benefit as a result of such service and/or projects, the cost of which shall be allocated among this property per square foot of property, in an amount not to exceed dollars per square foot.
