A RESOLUTION APPROVING A SERVICES AGREEMENT WITH CARDINAL POINT
PARTNERS, LLC.
BE IT RESOLVED BY THE BOARD OF ALDERMEN OF THE CITY OF RIVERSIDE,
MISSOURI, AS FOLLOWS:
THAT the Services Agreement between the City and Cardinal Point Partners, LLC,
attached hereto in its substantial form, is hereby approved and the Mayor is authorized to
execute the Services Agreement on behalf of the City; and
FURTHER THAT the Mayor, the City Administrator, and other appropriate City officials
are hereby authorized to take any and all actions as may be deemed necessary or convenient
to carry out and comply with the intent of this Resolution and to execute and deliver for and on
behalf of the City all certificates, instruments, agreements and other documents, as may be
necessary or convenient to perform all matters herein authorized.

SERVICES AGREEMENT
This Services Agreement ("Agreement") is made and entered into effective as of April 1,
2021 by and between City of Riverside ("City")and Cardinal Point Partners, LLC ("Firm").
Recitals
A. City desires to obtain and make secure for itself the experience, abilities and
services of the Firm on the terms and under the conditions set forth herein for the purpose of
obtaining Firm's advice to City and support for the City's effort to secure federal funding for
infrastructure projects; and
B. The Firm has experience in working with government decision makers to ensure
the message of their client is heard and the goals of the client is achieved in Congress, Federal
agencies and in State government and desires to work with the City to provide such services;
and
C. The parties desire to enter into the provisions of this Agreement is a condition
precedent to City engaging the Firm to provide such services;
Now, therefore, the parties agree as follows:
Agreement
Services to be provided under this contract include supporting the City's effort to secure
federal funding for infrastructure projects of importance to the City.
Brent Franzel will be primarily responsible for providing Washington representation
services to the City and will serve as the primary point of contact between the City and the
Firm. He will be supported by other members of the Firm as their expertise is required.
Services provided by the Firm under this agreement will be billed at the rate of$10,000
per month payable monthly at the beginning of each month. The Firm will send a monthly
invoice for fees and expenses due. The invoice will be payable upon receipt. The Firm will be
responsible for all ordinary expenses incurred in conjunction with the provision of services to
the City with the exception of costs related to travel outside of Washington, D.C. The Firm will
not undertake travel without the prior approval from the City.
This agreement shall take effect upon execution by the City and shall remain in force for
a period of six (6) months. Thereafter it shall automatically be renewed for up to three (3)
additional six (6) month periods. Either party shall have the right to terminate this agreement
at any time without cause upon 30 days written notice. However, such termination shall not
relieve the City of the obligation to pay any fees due for the services rendered and expenses
incurred prior to termination.
It is understood that, pursuant to 31 U.S.C. 1352, no federal funds can be used to pay
the Firm's fee and no payments to the Firm will be made from any federal funding the Firm
obtains for the City.
IN WITNESS WHEREOF, the parties have executed or caused this Agreement to be duly
executed on their behalf by their respective officers and, as of the day and year first above
written.
