HomeMy WebLinkAbout2009-030 - Cardinal Point PartnersBILL N0.2009-30 ORDINANCE N0.2009-30 AN ORDINANCE APPROVING THE FORM OF, AND AUTHORIZING THE MAYOR TO COMPLETE AND EXECUTE, AN AGREEMENT BY AND BETWEEN THE CITY OF RIVERSIDE, MISSOURI AND CARDINAL POINT PARTNERS, LLC REGARDING CONSULTING SERVICES WHEREAS, the City of Riverside, Missouri (the "City's has negotiated with Cardinal Point Partners, LLC (the "Finn's for the provision of services by the Firm to the City; and WHEREAS, the City and the Finn have reached an agreement concerning the provision of services as an independent contractor. NOW, THEREFORE, BE IT ORDAINED, by the Board of Aldermen of the City of Riverside, Missouri, as follows: Section 1. The City of Riverside shall enter into an Agreement to be substantially in the form attached hereto as Exhibit A, with the Firm whereby the Firm shall provide the services as described in the Agreement, and as consideration for such services the City shall pay the Firm Ten Thousand Dollars ($10,000.00) per month for the duration of the contract ("Agreement") until the Agreement expires or has been sooner terminated, pursuant to the provisions in Exhibit A in the maximum amount of Sixty Thousand Dollars ($60,000.00). Section 2. The execution and delivery of the Agreement is approved, and the Mayor is authorized to execute the Agreement and to take such other actions reasonably necessary to cant' out the intent of this Ordinance on behalf of the City, the execution of the Agreement being conclusive evidence of such approval. Rose ATTEST: ~~ C' Clerk SERVICES AGREEMENT ii ~ MAR 0 9 2009 ~~, This Services Agreement ("Agreement") is made and entered i~'Y-~~--" February 17, 2009 by and betwcen City of Riverside ("City") and Cardinal Point Partners, LLC ("Firm"). Recitals A. City desires to obtain and make secure for itself the experience, abilities and services of the Firm on the terms and under the conditions set forth herein for the purpose of obtaining Firm's advice to City and support for the City's effort to secure federal funding for infrastructure projects. B. The agreement cf the Firm to enter into the provisions of this Agreement is a condition precedent to City engaging the Finn. C. The Firm is willing to enter into this written Agreement fixing Firm's engagement with the City. Now, therefore, the parties agree as follows: Agreement Services to be provided under this contract include supporting the City's effort to securing federal funding for infrastructure projects including repair and maintenance of the L- 385levee, transportation improvements and other projects of importance to the City. Brent Franzel will be primarily responsible for providing Washington representation services to the City and will serve as the primary point of contact between the City and the Firm. He will be supported by other members of the Firm as their expertise is required. Services provided by the Firm under this agreement will be billed at the rate of $10,000 per month payable monthly at the beginning of each month. The Firm will send a monthly invoice for fees and expenses due. The invoice will be payable upon receipt. In addition to the fees for the Finn's services, the City shall reimburse the Firm for all ordinary expenses incurred in conjunction with the provision of services to the City. The Firm would not anticipate any significant expense other than the costs related to travel outside of Washington, D.C. The Firm will not undertake travel without prior approval from the City. This agreement shall take effect upon the City's signature and shall remain in force for a period of six months. Thereafter it shall be renewable for six month periods by mutual agreement of both parties unless terminated by either party upon 30-days written notice. However, such termination shall not relieve the City of the obligation to pay any fees due for the services rendered and expenses incurred prior to temunation. It is understood that, pursuant to 31 U.S.C. § 1352, no federal funds can be used to pay the Firm's fee and no payments to the Firm will be made from any federal funding the Firm obtains for the City.
