Board of Directors’ Meeting

Tuesday, April 28, 2021
The Board of Directors for Horizons Business Park Association met in session by Zoom
conference.
Staci Bundy called the meeting to order at 4:20 pm. Those in attendance were President Staci
Bundy, 1st Vice President Sal LoPorto, and 2nd Vice President Jaime Guerra.
Also present were Capital Projects & Parks Manager Noel Challis Bennion and Administrative
Support Rebecca Noble.
MINUTES Sal LoPorto moved to approve the October 29, 2020, meeting
minutes.
Staci Bundy second.

Motion carried 3-0.
ELECTION OF OFFICERS Staci read the positions that each officer held during 2020:
President Staci Bundy, 1st Vice President Sal LoPorto, 2nd Vice
President Jaime Guerra, Secretary Brent Miles, and Treasurer
Aaron Thatcher.
Sal LoPorto moved to elect each officer to the same position
held in 2020. Resolution 2021-001.
Jaime Guerra second.
Yes: Bundy, Guerra, LoPorto.
Motion carried 3-0.
EVERGY BILL Rebecca explained that the Evergy bill was for the controller
located at 3902 NW Van De Populier that controls the irrigation
system. The controller is shared with the City of Riverside and
the City of Riverside pays the monthly bill. The City requests
reimbursement for one half of the bills once a year. The invoice
from the City indicates that the total from 12/22/2019 to
12/20/2020 was $263.86. Half of the total bill and the amount
invoiced to the Horizons Business Park Association is $131.93.
Sal LoPorto moved to approve the Evergy invoice from the City
of Riverside. Resolution 2021-002.

INSURANCE Stacy explained that we need to renew our two insurance
polies. The General Liability is due in May. The price has
increased $107.10 since the last renewal. It was discussed that
we struggled to secure the policy and other companies wanted
to charge much more. Staci indicated that It is a nightmare to
get this insurance because it is a unique situation, and no one
understands what we do. Sal mentioned that a $100 increase
seems reasonable. Jaime asked about the budget. Staci
indicated that the budget has $2500 allocated to renew both
insurance policies and we still need to pay the Directors and
Officers Liability insurance. Last year the Directors and Officers
Liability insurance was $937. It is less than $2,000 to renew both
policies. We have the money to pay for the renewal.
Sal LoPorto moved to renew the 2021 General Liability
Insurance policy, Resolution 2021-003.

Rebecca explained that the Directors and Officers Liability policy
renewal has not been received. Last year the renewal was also
not received prior to the meeting and last year a motion was
made to approve the renewal without revisiting the topic if the
renewal was within the budgeted amount.
Sal LoPorto moved to renew the 2021 Directors and Officers
Liability Insurance policy if the total amount for both insurance
renewals was less than $2,500. Resolution 2021-004

TREE & SHRUB REPLACEMENT Rebecca reported that the Horizons Business Park Association’s
budget for 2021 includes $2,500 for tree replacement, $500 for
shrub replacement, $1,800 for tree fertilization, $1,000 for tree
protection and $3,000 for irrigation repairs. With a blanket
resolution these repairs could take place without additional
meetings. Staci asked when things were looked at to know what
needs to be replaced. Noel answered, in a couple of weeks
when everything has leafed out well and she can make sure the
trees are in good shape. Jaime asked who was our provider.
Rebecca answered that we have a two-year agreement with
White Lawn and Landscape. The same people that we used last
year. Before the October meeting we will get bids for next year’s
Landscape Maintenance Contract. Rebecca mentioned that if
we need more repairs that what is budgeted then we will reach
out. Noel advised that all the trees come with a one-year
warranty that she tracks. If a tree fails within one year the tree
is replaced at no cost.
Staci Bundy moved to have a blanket resolution for tree
replacement, shrub replacement, tree fertilization, tree
protection and irrigation repairs. Resolution 2021-005

ANNUAL FILING Rebecca reported that she would be filing the annual report
with the Secretary of State’s office prior to the August 31, 2021,
deadline. The report lists the officers and directors for the state.
The form is filed annually and costs $15.00. In the past a lawyer
has been hired to complete the form, but it is super simple, so
we have been completing it in house.
