A RESOLUTION APPROVING AN AMENDMENT TO THE YMCA/RIVERSIDE MANAGEMENT
AND SERVICES AGREEMENT
BE IT RESOLVED BY THE BOARD OF ALDERMEN OF THE CITY OF RIVERSIDE,
MISSOURI AS FOLLOWS:
THAT the Board of Aldermen hereby approves Amendment# 1 to the YMCA/Riverside
Management and Services Agreement between the City and YMCA, attached hereto in its
substantial form, and authorizes the Mayor to execute the agreement on behalf of the City; and
FURTHER THAT the Mayor,the City Administrator,and other appropriate City officials
are hereby authorized to take all actions as may be deemed necessary or convenient to carry out
and comply with the intent of the agreement and to execute and deliver for and on behalf of the
City all certificates, instruments, agreements and other documents, as may be necessary or
convenient to perform all matters herein authorized.
PASSED AND ADOPTED by the Board of Aldermen of the City of Riverside, Missouri,
the 1- day of 2022.

YMCA/Riverside Amendment#1
This amendment (the "AMENDMENT") is made by YOUNG MEN'S CHRISTIAN
ASSOCIATION OF GREATER KANSAS CITY ("YMCA"),a not-for-profit corporation of the
State of Missouri and the CITY OF RIVERSIDE, Missouri ("CITY OF RIVERSIDE"), a
political subdivision of the State of Missouri, to the agreement YMCA/RIVERSIDE
MANAGEMENT AND SERVICES AGREEMENT dated_44.,j , 2020 (the
"Agreement").
Article 4.2 of the Agreement is amended as follows:
Fitness Center Services. CITY OF RIVERSIDE will pay YMCA$3,500.00 per month
beginning with the month of March and ending June 30th of each calendar year during the Term
of this Agreement. This monthly compensation amount will be reduced or offset by the monthly
value of new YMCA memberships fulfilled by CITY OF RIVERSIDE residents on or after
March 1,2014. The parties agree that the baseline membership number, as of March 1, 2014(by
which to measure offsets), is 250. In addition,the CITY OF RIVERSIDE shall compensate the
YMCA $14,560/annually to cover additional costs of staffing the Riverside Community Center
(4498 NW High Dr. Riverside,MO 64150). These costs will be invoiced monthly in the amount
of$1,213.33 and begin on February ls",2022.
Except as set forth in this Amendment,the Agreement is unaffected and shall continue in full force
and effect in accordance with its terms. If there is conflict between this amendment and the
Agreement or any earlier amendment,the terms of this amendment will prevail.
