AN ORDINANCE AUTHORIZING AND APPROVING THE EXECUTION BY THE CITY OF A
GOVERNMENTAL AFFAIRS AGREEMENT
WHEREAS, on or about May 5, 2023, the Missouri General Assembly Truly Agreed and
Finally Passed House Bill 7; and
WHEREAS, Section 7.143 of House Bill 7 provides for the appropriation of Twenty Million
and 00/100 Dollars ($20,000,000.00) ("Appropriated Funds") to a fourth class city in a federally
approved levee district to construct public infrastructure including parking, roadways, lighting,
utilities and sidewalks, and to remediate and improve soil conditions, all to support destination
tourism facilities of not less than a capacity of 15,000 people; and
WHEREAS, the Governor must sign and or execute line -item vetoes' prior to June 20,
2023; and
WHEREAS, the Appropriated Funds are necessary to fund needed public infrastructure
in Horizons; and
WHEREAS, the Governmental Consultants' firm of Gamble & Schlemeier, Ltd., have
expertise in lobbying for the approval of appropriations such as Section 7.143 of House Bill 7; and
WHEREAS, the City finds that it is necessary and in the best interests of the City to further
the objectives of the TIF Plan, and the objectives of industrial and economic development for the
City, to authorize and approve the proposed Agreement, attached hereto, and incorporated
herein, between the City of Riverside and Gamble & Schlemeier, Ltd.
NOW THEREFORE -BE IT ORDAINED BY THE BOARD OF ALDERMEN OF THE
CITY OF RIVERSIDE, MISSOURI, AS FOLLOWS
SECTION 1 — BEST INTEREST OF THE CITY. The Recitals set forth above in this
Ordinance are incorporated into and made a part of this Agreement as if fully set forth in this
Section 1. The Board of Aldermen hereby find and determine that entering into said Agreement,
attached hereto and incorporated herein, with Gamble & Schlemeier, Ltd., will further the
objectives of the TIF Plan and the objectives of industrial and economic development of the City,
fulfill a public purpose and will further the growth of the City, facilitate the development of the
Riverside Horizons Area, improve the environment of the City, increase the assessed valuation
of the real estate situated within the City, increase the sales tax revenues realized by the City,
foster increased economic activity within the City, increase employment opportunities within the
City, enable the City to direct the development of the Area, further the health, safety, and welfare
of its residents and taxpayers, and that the City shall retain the Professional Services of Gamble
& Schlemeier, Ltd, in support of the Governor's approval of Section 7.143 of House Bill 7 pursuant
to the terms and conditions set forth in the Agreement for an agreed upon compensation amount
of Twenty Thousand Dollars ($20,000.00) therefore will be in the best interests of the City.
SECTION 2 - APPROVAL OF GOVERNMENTAL AFFAIRS AGREEMENT, PAYMENT
OF FUNDS. The Agreement for Professional Services by the City with Gamble & Schlemeier,
Ltd. in substantially the form as presented with this Ordinance, upon the terms and conditions and
price contained therein, is hereby approved and authorized.

SECTION 3 --AUTHORITY GRANTED. The City is hereby authorized to enter into said
Agreement as provided for by Section 2 of this Ordinance, the Mayor is authorized to execute and
deliver such Agreement, and the City is authorized to make payment to Gamble & Schlemeier,
Ltd. in the amount of Twenty Thousand Dollars ($20,000.00) no later than July 1, 2023, pursuant
to the terms and conditions contained in the Agreement. The Mayor, the City Administrator, the
City Attorney, the Special Counsel to the City, the Finance Officer and other appropriate City
officials are hereby authorized to take any and all actions as may be deemed necessary or
convenient to carry out and comply with this Ordinance consistent with the Ordinances of the City
and the laws of the State of Missouri.
SECTION 4 - FAILURE TO COMPLY. That failure to comply with all the provisions
contained in this ordinance shall constitute violations of this ordinance.
SECTION 5 - SEVERABILITY CLAUSE. The provisions of this ordinance are severable
and if any provision hereof is declared invalid, unconstitutional, or unenforceable, such
determination shall not affect the validity of the remainder of this ordinance.
SECTION 6 - EFFECTIVE DATE. This ordinance shall be in full. force and effect from and
after the date of its passage and approval.

approved by a majority of the Board of Aldermen and APPROVED by the Mayor of the City of
Riverside Missouri this 24'" day of May, 2023.

GOVERNMENTAL CONSULTANTS
Agreement made this 24th day of May, 2023 between the City of Riverside
Missouri (hereinafter City) and Gamble & Schlemeier, LTD 213 E. Capitol
Avenue, Jefferson City, Missouri 65101 (hereinafter Gamble).
The parties to this agreement, in consideration of the mutual covenants and
stipulations set out herein, agree as follows:
SECTION ONE
The effective dates of this contract shall be from May 24, 2023 through July
1, 2023.
SECTION TWO
City agrees to pay Gamble a total retainer of $20,000, to be paid by July 1,
2023 for lobbying for approving a $20 million appropriation outlined in
House Bill 7 (TAFP-2023) Section 7.143.
SECTION THREE
This instrument contains the entire agreement between the parties and no
statement, promise or inducement made by either party or agent of either
party that is not contained in this written contract shall be valid or binding.
This contract may not be enlarged, modified or altered except in writing,
signed by the parties and endorsed hereon.
SECTION FOUR
This agreement shall inure to the benefit of and be binding only upon City
and Gamble.
