R-2023-115 A RESOLUTION APPROVING AN AGREEMENT FOR WATER FACILITIES RELOCATION WITH MISSOURI-AMERICAN WATER COMPANY BE IT RESOLVED BY THE BOARD OF ALDERMEN OF THE CITY OF RIVERSIDE, MISSOURI AS FOLLOWS: THAT the Board approves the Agreement for Water Facility Relocation with Missouri - American Water Company, a copy of which is attached hereto in its substantial form and incorporated herein, and further authorizes the Mayor to sign the documents on behalf of the City; and FURTHER THAT the Mayor, the City Administrator, and other appropriate City officials are hereby authorized to take any and all actions as may be deemed necessary or convenient to carry out and comply with the intent of this Resolution and to execute and deliver for and on behalf of the City all certificates, instruments, agreements, and other documents, as may be necessary or convenient to perform all matters herein authorized. Rose ATTEST: Robin Kincaic3,)City Clerk Project Name: Horizons Relocation R17-04D1.22-0002 Project Manager: Roger Sparks AGREEMENT FOR WATER FACILITY RELOCATION THIS AGREEMENT FOR WATER FACILITY RELOCATION (hereinafter referred to as "Agreement") is made and entered into as of the 20th day of September , 2023, by and between MISSOURI-AMERICAN WATER COMPANY, a corporation existing under and by virtue of the laws of the State of Missouri (hereinafter referred to as "Company"), and The City of Riverside, Missouri., a municipality existing under and by virtue of the laws of the State of Missouri (hereinafter referred to as"Developer"). WITNESSETH: WHEREAS, Developer contemplates the replat development of 40 West at Horizons plat (hereinafter referred to as the"Project") in PLATTE County, Missouri; and WHEREAS, in order to construct the Project, it will be necessary to adjust and/or relocate certain of Company's public water facilities in order to maintain Company's present services; and WHEREAS, Company is willing to accommodate Developer's needs upon condition that Developer accepts the provisions hereinafter specified. NOW THEREFORE, in consideration of the mutual covenants contained herein, it is agreed as follows: 1. Company will furnish all labor, materials, and supervision necessary to relocate said water facilities of Company as shown on the plans marked Exhibit A attached hereto and made a part hereof(hereinafter referred to as the "Relocation"). 2. Developer shall pay the entire actual cost of the Relocation(hereinafter referred to as the "Actual Cost"). The estimated cost of the Relocation is $42,000 (hereinafter referred to as the "Estimated Cost"). Prior to Company's commencement of work on the Relocation, Developer shall pay to Company the Estimated Cost. Restoration is not included in the Estimated Cost. All site and/or pavement restoration shall be performed by the Developer at their sole expense. After completing the Relocation, Company shall provide Developer an Actual Cost 1 Statement. In the event the Actual Cost is less than the Estimated Cost, Company shall reimburse to Developer the difference of the Estimated Cost less the Actual Cost. In the event that site conditions change (i.e. Rock, contaminated soil or pavement is encountered) or the Relocation scope of work changes at the written request of the Developer, additional charges may apply. Developer will be responsible to reimburse Company for any additional charges above the Estimated Cost within 30 days of receiving the Actual Cost Statement for the Relocation. 3. Developer agrees to furnish Company all necessary information regarding the Project in order to properly carry out the Relocation. 4. Developer shall be responsible for all costs and expenses incurred in connection with the acquisition of all property rights and easements required by this Agreement. 5. Upon completion of the Relocation, Company shall remove all leftover materials and debris resulting from the work and leave the right-of-way in a neat, workman-like condition, free of holes, unnecessary mounds of dirt (with exception of leaving the trench slightly mounded with dirt for settlement purposes when relocation work is performed in dirt) or other objectionable material. 6. Company and Developer covenant and agree that they have complied with all applicable laws, statutes and regulations, and have the proper corporate authorization, necessary to enter into this Agreement. 7. This Agreement shall be binding upon and inure to the benefit and detriment of the successors and assigns of Company and Developer. 8. This Agreement shall be governed, interpreted, and construed in accordance with the laws of the State of Missouri. 9. This Agreement may be modified or amended only in a writing signed by both Company and Developer. 10. Subject to the Company's tariffs on file with and approved by the Missouri Public Service Commission as amended from time to time, and rules issued by the Missouri Public Service Commission that regulate Company operations, this Agreement contains the entire agreement of the parties with respect to the subject matter hereof. All prior negotiations and agreements between the parties hereto are superseded by this Agreement, and there are no representations, warranties, understandings, or agreements other than those expressly set forth herein. 2 IN WITNESS WHEREOF, the parties hereto have caused this agreement to be executed by their duly authorized officials.
