R-2023-152 A RESOLUTION APPROVING TASK ORDER NUMBER 1 WITH VSM BE IT RESOLVED BY THE BOARD OF ALDERMEN OF THE CITY OF RIVERSIDE, MISSOURI AS FOLLOWS: THAT the Riverside Board of Aldermen hereby approves Task Order Number 1 by and between the City of Riverside and VSM, in substantially the form attached hereto, and the Mayor is authorized to execute the Task Order Number 1 on behalf of the City; and FURTHER THAT the Mayor, the City Administrator and other appropriate City officials are hereby authorized to take any and all actions as may be deemed necessary or convenient to carry out and comply with the intent of this Resolution and to execute and deliver for and on behalf of the City all certificates, instruments, agreements and other documents, as may be necessary or convenient to perform all matters herein authorized; and FURTHER THAT this Resolution shall be in full force and effect from and after its passage and approval. ADOPTED AND PASSED this 17'h day of October 2023. • �! r •3 ¢ / • Mayor Kathleen eat/din/4: • Robin incaid, ity Clerk 1 Task Order Number 1 For Engineering Services This Task Order is entered into as of the 17th Day of October 2023 (the"Effective Date"), by and between VSM Engineering, LLC, a Missouri corporation having an office at 8008 N Chatham Ave, Kansas City, Missouri 64151 ("VSM") and the City of Riverside, Missouri, a Missouri municipal corporation (the"City"). WHEREAS, the City has engaged VSM to provide engineering services pursuant to the Agreement for Engineering Services dated October 20,2020 pursuant to which the City may task VSM to provide additional professional engineering services on a project-specific basis by acknowledging a separate Task Order. NOW, THEREFORE, in consideration of the promises and mutual covenants between the parties and for other good and valuable consideration the receipt of which is acknowledged by the parties,they agree as follows: 1. Incorporation of Base Agreement. This Task Order is subject to all terms and conditions contained in the Agreement for Engineering Services dated October 20, 2020, that are not inconsistent with the specific terms contained herein, and the Agreement for Engineering Services dated October 20, 2020, between the parties is incorporated herein as if set forth in full by this reference. 2. Scope of Services. The Scope of Services pursuant to this Task Order are as contained in Exhibit A. 3. Term. VSM shall begin work pursuant to this Task Order No. 1 upon its Effective Date and shall continue until the 9 Hwy Connector 225-029 ("Project") is completed as evidenced by final acceptance of the Project by the City. 4. Compensation. Unless compensation is set forth in this Task Order, compensation shall be as provided in the Agreement for Engineering Services dated October 20, 2020, between the parties. 5. SCOPE OF SERVICES 1. Task 100- Project Management-VSM will manage the project, prepare monthly progress reports, invoicing and contact and insurance. Meetings/Conference Calls-VSM will participate in in-person meeting with City of Riverside staff during development of Final Plans and Specifications at an estimated completion 30% (Alignment and Grade), 60% (Cross Sections confirmation of construction limits), 95% Plans, Specifications and Estimate. The purpose of this meeting will be to review project details and plan development. In addition, up to two conference calls with screen share to discuss the project and plan development will be scheduled around (before or after)the in-person progress meeting. 2. Task 200-Site Survey-The Site survey will be performed by a sub-consultant to VSM. This includes a topographic survey of property lines, elevations, utilities, sidewalks, curbs and other existing features. Tract Map and Legal Descriptions for selected tracts; estimated 5 tracts. 3. Task 300—Site Drainage -design of cross culverts and large ditch crossing, design of side ditches and addressing off-site drainage. 4. Permitting- MoDOT permit for work on MoDOT Right-of-Way. —VSM will prepare documents for MoDOT permit on the MoDOT Right-of-way. Responses for one review each by the City and MoDOT are included. 5. Plans, Specification and Estimate • VSM will provide 11x17 construction drawings showing trail alignment, trail profile, trail details, trail typical sections and cross-sections for the section of the trail from the connection. The trail alignment and profile will meet design criteria, ADA and permit requirements. • VSM will prepare Technical Specifications, as requested, for trail construction. All front- end specifications and bidding documents will be prepared by the City. • VSM will prepare a cost estimate for the trail. • Drawings will be prepared in an AutoCad format and provided to the City. • All final plan sheets and specifications will be prepared using the U.S. Customary system of units. • Prepare final engineers estimate of probable construction costs based upon final quantities and estimated unit costs. • Final plans and specifications will be sealed and signed by a Missouri Professional Engineer. • The final plan package for the trail shall consist of the following list of plan sheets: Title Sheet 1 General Notes and Survey Data 1 Survey Data Sheet with BM and CP's (VSM to provide Title Block) 2 Plan and Layout View- 1"=20'for 2300 LF 8 Cross sections-46 sections 10/per sheet 5 Watershed Map and Stormwater Design Data for Trail 1 Sediment and Erosion Control Plan (do by note only for Shop drawing) 0 Construction Traffic Control Plan (needed for MoDOT permit) 2 Details-Typical Trail Section, Handicap ramp detail, Rail for trail, stormwater details, trench detail for pipe crossings, ditch detail 2 TOTAL SHEETS 22 6. Project Schedule • Receive Site Survey from sub-consultant on or before November 30, 2023. • 95% Plans to the City to review on February 15, 2024. • Signed and Sealed Final Plans and Specification -submit to City on March 15, 2024 for project bid prep by the City. 7. Task 600-Construction Administration and Construction Services-All bidding services and construction administration will be provided by the City. VSM may be asked to review shop drawings and answer construction request for information questions using a separate task order once the project is bid. 8. Exclusions • The City will prepare and e-file the NPDES storm-water construction Notice of Intent with Missouri Department of Natural Resources. • The City will prepare and submit the Land Disturbance Permit with VSM providing trail layout to the City. • No Public outreach or public presentation work included. • No Geotechnical work is included. • No bridge design is included. Exhibit B for Task Order Number 1 FEE -See attached spreadsheet. The scope of services shall be completed under this authorization for an hourly-not-to-exceed fee of$105,230.The City shall compensate VSM for these services, based upon hourly rates.
