HomeMy WebLinkAboutR-2024-044 Approving an Agreement w/Tyler Technologies, Inc. RESOLUTION NO. R-2024-044 A RESOLUTION APPROVING AN AGREEMENT AMENDMENT WITH TYLER TECHOLOGIES, INC. BE IT RESOLVED BY THE BOARD OF ALDERMEN OF THE CITY OF RIVERSIDE, MISSOURI AS FOLLOWS: THAT the Board approves the Agreement Amendment with Tyler Technologies, Inc., a copy of which is attached hereto in its substantial form and incorporated herein, and further authorizes the Mayor to sign the agreement on behalf of the City; and FURTHER THAT the Mayor, the City Administrator, and other appropriate City officials are hereby authorized to take any and all actions as may be deemed necessary or convenient to carry out and comply with the intent of this Resolution and to execute and deliver for and on behalf of the City all certificates, instruments, agreements, and other documents, as may be necessary or convenient to perform all matters herein authorized. Rose • • Robin Kincaid, City Clerk • ••::•. tyler • • technologies AMENDMENT This amendment("Amendment") is effective as of the date of signature of the last party to sign as indicated below ("Amendment Effective Date"), by and between Tyler Technologies, Inc., a Delaware corporation with offices at 840 West Long Lake Road,Troy, MI 48098 ("Tyler") and the City of Riverside with offices at 2990 NW Vivion Rd., Riverside, MO 64150 ("Client"). WHEREAS,Tyler and the Client are parties to a License Agreement with an effective date of March 26, 2006(the "Agreement"); and WHEREAS,Tyler and Client now desire to amend the Agreement. NOW THEREFORE, in consideration of the mutual promises hereinafter contained,Tyler and the Client agree as follows: 1. Due to project delays,Tyler hereby issues to Client a credit in the amount of$2,049.00 for the annual SaaS fees paid in the amount of$2,049.00 for the Interface: Locally Created (Not a CMS Vendor) Court Case Mgmt System Tyler Software. Client may apply such credit, in its discretion,to any fees due to Tyler under the Agreement.This Amendment, upon execution,shall serve as Client's documentation for the credit issued (the executed Amendment is your credit invoice from Tyler). 2. SaaS fees for the Interface: Locally Created (Not a CMS Vendor)Court Case Mgmt System are waived for the period commencing July 5,2023 through February 29, 2024. On the Amendment Effective Date,and to align with the maintenance and support term under the Agreement,Tyler shall invoice Client,a proration of $2,049.00 for annual SaaS fees due for the Interface: Locally Created (Not a CMS Vendor)Court Case Mgmt System Tyler Software for the period commencing March 1, 2024 through July 31, 2024. Subsequent SaaS fees, at our then-current rates,shall be invoiced annually in advance of each August 1 thereafter. 3. This Amendment shall be governed by and construed in accordance with the terms and conditions of the Agreement. 4. All other terms and conditions of the Agreement shall remain in full force and effect.
