BE IT RESOLVED BY THE BOARD OF ALDERMEN OF THE CITY OF RIVERSIDE, MISSOURI AS FOLLOWS: THAT the Riverside Board of Aldermen hereby approves Task Order Number 1 by and between the City of Riverside and WSP USA Inc., in substantially the form attached hereto, and the Mayor is authorized to execute the Task Order Number 1 on behalf of the City; and FURTHER THAT the Mayor, the City Administrator and other appropriate City officials are hereby authorized to take any and all actions as may be deemed necessary or convenient to carry out and comply with the intent of this Resolution and to execute and deliver for and on behalf of the City all certificates, instruments, agreements and other documents, as may be necessary or convenient to perform all matters herein authorized; and FURTHER THAT this Resolution shall be in full force and effect from and after its passage and approval. WHEREAS, the City has engaged Consultant to provide engineering services pursuant to the Agreement for Engineering Services dated MPH 2- , 2024 pursuant to which the City may task the Consultant to provide additional professional engineering services on a project-specific basis by acknowledging a separate Task Order. NOW, THEREFORE, in consideration of the promises and mutual covenants between the parties and for other good and valuable consideration the receipt of which is acknowledged by the parties;they agree as follows: 1. Incorporation of Base Agreement. This Task Order is subject to all terms and conditions contained in the Agreement for Engineering Services dated Mitt 2 I , 2024, that are not inconsistent with the specific terms contained herein, and the Agreement for Engineering Services dated WO ZI , 2024, between the parties is incorporated herein as if set forth in full by this reference. 2. Scope of Services. The Scope of Services pursuant to this Task Order are as contained in Exhibit A. 3. Term. Consultant shall begin work pursuant to this Task Order No. 1 upon its Effective Date and shall continue until the Archaeological Site Monitoring and Reporting for Riverside Pool Improvements 222-087, LWCF 29-01759 ("Project") is completed as evidenced by final acceptance of the Project by the City. 4. Compensation. Unless compensation is set forth in this Task Order, compensation shall be as provided in the Agreement for Archaeological Services dated MA-1 21 , 2024, between the parties. 5. Perform Site Monitoring during all ground disturbing activities, including, but not limited to: Repairs/renovations • Removal of the existing 4-6"concrete pool deck. •4"subgrade excavation to allow installation of gravel base. • Excavation for replacement pipes for the pool. • Removal of the 2 existing shade structures on the west deck of the pool. New Construction • 6-10"soil excavation for the splash play and adjacent seating areas. • 6' minimum excavation for the water holding tank servicing the splash play equipment. • Footing excavations, including splash play equipment and shade structures (approx. 3-4' deep). • Expansion of the pool shallow side (approx. 365 SF) including removal of the pool west wall and the soil 7-10' wide for the full length of the pool with a depth between 2'-4"to 5'- 3". 2. Furnish services, labor, materials, equipment, supplies, and incidentals necessary to conduct and complete the services. 3. Designate an SOI qualified archaeologist field representative, who shall have experience and certifications to observe all work done. All activities of the full-time field representative will be coordinated with the City's representative and the City's contractor. 4. An SOI qualified archaeologist shall provide a daily monitoring report to The Osage Nation Historic Preservation Office for review and comment. 5. Conduct any conferences deemed necessary by the City under the terms of this agreement. 6. Perform the services in accordance with accepted safety practices. 7. Prepare Cultural Resources Monitoring Plan for review by the Osage Nation Historic Preservation Office(ONHPO)and the Missouri Historic Preservation Office(MO SHPO) in compliance with Section 106 of the National Historic Preservation Act(NHPA). 8. Secure curation agreement for any cultural materials recovered during construction. 3 9. Submit Final Cultural Resources Monitoring Report and archaeological site forms to MO SHPO following the completion of construction. Provide Final Cultural Resource Monitoring Report to ONHPO. 10. All deliverables, including the Cultural Resources Monitoring Plan, daily monitoring reports, and the Final Cultural Resource Monitoring Report, shall be submitted in digital format. 4 Exhibit B for Task Order Number 1 Compensation Daily Monitoring Rate—8 hour day SOI Archaeologist =$784 Daily Monitoring Report SOI Archaeologist(assume 1 hour per report) =$98 Responding to Osage Nation HPO comments, as needed SOI Archaeologist hourly rate= $98 Project Management Project Manager hourly rate=$107 Mileage IRS 2024 rate= $$0.67 per mile 5
