A RESOLUTION RESCINDING RESOLUTION NO. R-2024-136, WHICH APPROVED
A SOFTWARE SUPPORT AGREEMENT WITH KENTON BROTHERS LOCKSMITHS,
INC.
WHEREAS, on December 7, 2024, the Board of Aldermen of the City of Riverside,
Missouri, approved Resolution No. R-2024-136, authorizing the Mayor to execute a Software
Support Agreement with Kenton Brothers Locksmiths, Inc.; and
WHEREAS, the authorized agreement was duly executed by the City but was never
delivered to Kenton Brothers Locksmiths, Inc.; and
WHEREAS, neither the City nor Kenton Brothers Locksmiths, Inc. has performed any
obligations under the agreement,and no services,payments,or other actions have been undertaken
by either party in reliance on the agreement; and
WHEREAS, the City has since determined that proceeding with the agreement is not in
the City's best interest and wishes to formally rescind its approval and revoke any authorization
related to the agreement;
NOW, THEREFORE, BE IT RESOLVED by the Board of Aldermen of the City of
Riverside, Missouri, as follows:
THAT Resolution R-2024-136 is hereby rescinded in its entirety; and
FURTHER THAT the Mayor,the City Administrator,and other appropriate City officials
are hereby authorized to take any and all actions as may be deemed necessary or convenient to
carry out and comply with the intent of this Resolution and to execute and deliver for and on behalf
of the City all certificates, instruments, agreements, and other documents, as may be necessary or
convenient to perform all matters herein authorized.
