HomeMy WebLinkAboutR-2026-021 Approving a First Amendment and Renewal of Agreement for City Landscape Project with Embassy Landscape GroupRESOLUTION NO. 2026-021 A RESOLUTION APPROVING A FIRST AMENDMENT AND RENEWAL OF THE AGREEMENT FOR THE CITY LANDSCAPE PROJECT WITH EMBASSY LANDSCAPE GROUP, INC. BE IT RESOLVED BY THE BOARD OF ALDERMEN OF THE CITY OF RIVERSIDE, MISSOURI, AS FOLLOWS: THAT the attached First Amendment and Renewal to Agreement for the City Landscape Project between the City of Riverside, Missouri and Embassy Landscape Group, Inc., providing for a one-year renewal term and maintaining the same scope of work and contractual requirements as the original agreement, is hereby approved, subject to approval and appropriation of the contract amount by the Board of Aldermen; and FURTHER THAT the Mayor is hereby authorized and directed to execute the First Amendment and Renewal on behalf of the City, and the City Administrator, City Clerk, and other appropriate City officials are authorized and directed to take any and all actions necessary or convenient to carry out and comply with the intent of this Resolution. Rose, Mayor ATTEST: /s/ Melissa McChesney Melissa McChesney, City Clerk FIRST AMENDMENT AND RENEWAL TO AGREEMENT FOR 2025 CITY LANDSCAPE PROJECT (Project No. 410-025) This First Amendment and Renewal ("Renewal") is made and entered into as of the 3rd day of March, 2026, ("Effective Date") by and between the City of Riverside, Missouri ("City") and Embassy Landscape Group, Inc. ("Contractor"). RECITALS WHEREAS, the City and Contractor previously entered into an Agreement for the 2025 City Landscape Project, dated March 4, 2025, (the "Original Agreement"); and WHEREAS, Exhibit A to the Original Agreement provides that the maintenance contract may be renewed for up to three (3) additional one-year periods upon mutual terms and agreement of the parties; and WHEREAS, the City and Contractor desire to renew the Original Agreement for an additional one-year term on the same terms and conditions, subject to approval by the City's governing body and appropriation of funds. NOW, THEREFORE, in consideration of the mutual covenants herein, the parties agree as follows: 1. Renewal Term. The Original Agreement is hereby renewed for one (1) additional one- year term commencing on the Effective Date ("Renewal Term"), unless sooner terminated in accordance with the Original Agreement. 2. Scope of Work. The scope of work during the Renewal Term shall be identical to the scope of work set forth in the Original Agreement, including Exhibit B (Scope of Work) and Exhibit C (Technical Specifications), with no changes unless approved by written change order or further amendment. 3. Compensation. The Contract Amount for the Renewal Term shall be $22,026.00, subject to approval and appropriation by the Board of Aldermen of the City of Riverside. No work shall be required or performed under the Renewal Term unless and until such amount is approved and appropriated by the City. 4. Continued Effect of Original Agreement. Except as expressly modified by this Renewal, all terms, conditions, duties, obligations, insurance requirements, indemnification provisions, warranties, and remedies of the Original Agreement remain in full force and effect.
