A RESOLUTION APPROVING A FIRST AMENDMENT AND RENEWAL OF THE
AGREEMENT FOR THE MoDOT ROW MOWING PROJECT WITH LOTUS
LAWNCARE & SERVICES LLC
BE IT RESOLVED BY THE BOARD OF ALDERMEN OF THE CITY OF RIVERSIDE,
MISSOURI, AS FOLLOWS:
THAT the attached First Amendment and Renewal to Agreement for the MoDOT
(Missouri Department of Transportation) ROW (Right-of-Way) Mowing Project between
the City of Riverside, Missouri and Lotus Lawncare & Services LLC, providing for a one-
year renewal term and maintaining the same scope of work and contractual requirements
as the original agreement, is hereby approved, subject to approval and appropriation of
the contract amount by the Board of Aldermen; and
FURTHER THAT the Mayor is hereby authorized and directed to execute the First
Amendment and Renewal on behalf of the City, and the City Administrator, City Clerk,
and other appropriate City officials are authorized and directed to take any and all actions
necessary or convenient to carry out and comply with the intent of this Resolution.

FIRST AMENDMENT AND RENEWAL TO AGREEMENT FOR MoDOT ROW
MOWING PROJECT (Project No. 331-025)
This First Amendment and Renewal ("Renewal") is made and entered into as of the ,2(>h-,.
day of £1 b < !Ao (' Di 2026, ("Effective Date") by and between the City of Riverside, Missouri
("City") and Lotus wncare & Services LLC ("Contractor").
RECITALS
WHEREAS, the City and Contractor entered into an Agreement for the 2025 MoDOT
ROW Mowing, effective March 18, 2025, (the "Original Agreement"); and
WHEREAS, the Original Agreement expressly provides that, subject to annual budget
appropriation, the contract term may be extended for up to two (2) additional one-year periods
upon mutual agreement of the parties; and
WHEREAS, the City and Contractor desire to renew the Original Agreement for one (1)
additional one-year term, on the same terms and conditions, subject to approval by the City's
governing body and appropriation of funds.
NOW, THEREFORE, in consideration of the mutual covenants herein, the parties agree
as follows:
I. Renewal Term. The Original Agreement is hereby renewed for one (1) additional one-
year term commencing on the Effective Date ("Renewal Term"), unless sooner terminated in
accordance with the Original Agreement.
2. Scope of Work. The scope of work during the Renewal Term shall be identical to the scope
of work set forth in the Original Agreement, including without limitation Exhibit B (Scope of
Work) and Exhibit C (Technical Specifications), except that the City may adjust starting and
completion dates and increase or decrease mowing and maintenance cycles as permitted under the
Original Agreement.
3. Compensation. The Contract Amount for the Renewal Term shall be $103,488.00, subject
to approval and appropriation by the Board of Aldermen of the City of Riverside. No work shall
be required or performed under the Renewal Term unless and until such amount is approved and
appropriated by the City.
4. Continued Effect of Original Agreement. Except as expressly modified by this Renewal,
all terms, conditions, duties, obligations, insurance requirements, indemnification provisions,
warranties, and remedies of the Original Agreement remain in full force and effect. The Original
Agreement, as renewed and amended by this document, constitutes a single integrated agreement.
