A RESOLUTION APPROVING AND ACCEPTING A TEMPORARY CONSTRUCTION
EASEMENT, PERMANENT DRAINAGE EASEMENT, AND RIGHT OF WAY FROM
THE CITY OF KANSAS CITY, A MUNICIPAL CORPORATION, FOR THE RIVERWA Y
BOULEVARD IMPROVEMENTS PROJECT
WHEREAS, the Board of Aldermen finds it to be a public purpose and in the best
interest of the public to acquire the temporary construction easement, permanent
drainage easement, and right of way further described herein in connection with
construction of the Riverway Boulevard Improvements Project;
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF ALDERMEN OF
THE CITY OF RIVERSIDE, MISSOURI AS FOLLOWS:
THAT the Board of Aldermen ("Board") hereby approves and accepts the
Temporary Construction Easement, Permanent Drainage Easement, and Right of Way
in substantially the form attached hereto, from the City of Kansas City, a municipal
corporation, and further authorizes the Mayor to execute the easement on behalf of the
City; and
FURTHER THAT compensation in the amount of $30.00 for the Temporary
Construction Easement, Permanent Drainage Easement, and Right of Way is hereby
approved to acquire such Temporary Construction Easement, Permanent Drainage
Easement, and Right of Way; and
FURTHER THAT the City Clerk, or her designee, is hereby authorized and
directed to file a fully executed copy of the deed and easements with the Recorder of
Deeds in Platte County; and
FURTHER THAT the Mayor, the City Administrator, the City Attorney and other
appropriate City officials are hereby authorized to take any and all actions as may be
deemed necessary or convenient to carry out and comply with the intent of this
Resolution and to execute and deliver for and on behalf of the City all certificates,
instruments, agreements and other documents, as may be necessary or convenient to
perform all matters herein authorized.

TEMPORARY EASEMENT
THIS AGREEMENT, made this 17th day of March, 2026, by
and between the City of Kansas City, a Missouri municipal corporation, owner of the property
herein described, hereinafter known as "Grantor", and the City of Riverside, Missouri, a
municipal corporation, hereinafter known as "Grantee".
WITNESSETH, that the Grantor, in consideration of the sum of$10.00 Dollars and other good
and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, does
by these presents grant, bargain, sell, convey, and confirm unto said Grantee, its successors
and assigns, a Temporary Easement in conjunction with the construction of a road
improvements, including but not limited to, shared use path, landscaping, grading and sloping;
the storage of materials; the operation of equipment; and the movement of a working force on,
over, along, across, and under the following described real estate being and situated in the
County of Platte, and the State of Missouri, to-wit:
See Exhibit A.
The Temporary Construction Easement granted herein shall commence upon the earlier of (i)
the date the Grantee first enters the Easement Area for construction activities associated with
the Project, or (ii) the date the Project is formally commenced by the Grantee, and shall
continue in effect until the earlier of: (a) two (2) years from the date of such commencement;
or (b) September 8, 2028. Upon expiration of the Temporary Construction Easement, all rights
granted herein shall automatically terminate without further action by either party. Grantee
shall restore the ground to its original condition, insofar as is reasonably practicable, following
construction of said road improvements or any subsequent maintenance or repair operations.

PERMANENT DRAINAGE EASEMENT
THIS PERMANENT DRAINAGE EASEMENT, made this 17th day of March,
2026 by and between the City Kansas City, a Missouri municipal
corporation, owner of the property herein described, hereinafter known as "Grantor", and the
City of Riverside, Missouri, a municipal corporation, hereinafter known as "Grantee".
WITNESSETH, that the Grantor, in consideration of the sum of Ten Dollars ($10.00) and other
good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged,
does by these presents grant, bargain, sell, convey, and confirm unto said Grantee, its successors
and assigns, a Permanent Drainage Easement for the location, construction, reconstruction,
maintenance, operation, repair and removal of storm water drainage control facilities and any and
all related appurtenances and equipment incidental thereto (including fences) in, over, along,
across, upon, through and under the lands hereinafter described and depicted, situated in Platte
County, Missouri to wit:
See Exhibit A.
Grantee, its successors and assigns, shall have the right to perpetually survey and test ground
conditions, to excavate, fill, regrade, construct, install, operate, maintain, repair, inspect, rebuild,
remove and relocate within the Easement Area, such drainage control facilities and all related
appurtenances and equipment incidental thereto together with the right of access to and from the
Easement Area for its employees, agents, contractors, vehicles, materials and equipment. Grantee,
its successors and assigns, shall have the right of ownership, use and control of all storm sewers,
underground pipe, manholes, catch basins , concrete drainage ways, and all convenient
appurtenances located within the Easement Area that it may install at its sole cost and expense.
Grantor shall not interfere with the proper, safe and continuous maintenance and use of
said drainage facilities and specifically shall not build thereon or thereover any structure which
may interfere with the maintenance and use thereof.
Grantor further states that it is lawfully seized of title to the land through which the
Easement is granted and that it has good and lawful right to convey the Easement to Grantee herein.
At all times while this Easement is in effect, Grantee shall maintain , with financially sound
and reputable insurers, appropriate liability and worker's compensation coverages at levels that
are customary in the case of entities of established reputations engaged in the same or a similar
business and similarly situated.
Grantor and Grantee represent and warrant that they have the full power and authority to
execute and deliver this Permanent Drainage Easement and to perform its obligations hereunder.
Grantee shall promptly restore the surface of the Easement Area, including any surface
improvements, to the extent damaged by Grantee's activities granted herein to substantially the

same condition as existed immediately prior to Grantee's exercise of its rights pursuant to this
Easement, at Grantee's sole cost and expense.
Grantor reserves the right to use the land within the Easement Area for purposes not
inconsistent with Grantee's use of the Easement Area, provided such use shall not interfere with
the exercise by Grantee of the rights hereby granted. Notwithstanding anything stated herein to the
contrary, sidewalks, paved drives, landscaping and parking areas shall be permitted within the
surface of the Easement Area.
Nothing herein contained shall be deemed to be a gift or dedication of any portion of the
Easement Area to the general public or for the general public, it being the intention that this
Easement shall be strictly limited to and for the purposes herein expressed. This Easement is not
intended to create, nor shall it be in any way interpreted or construed to create any third-party
beneficiary rights in any person not specifically benefited by the terms and provisions hereof.
This Easement shall, at all times be deemed to be, and shall be, a continuing covenant
running with the land and shall be binding upon Grantor, and its successors, assigns, and legal
representatives, as the case may be.

RIGHT OF WAY DEED
THIS INDENTURE, made this 17th day of March, 2026, by and
between: CITY OF KANSAS CITY, a Missouri municipaf corporation, whose address is 414 E.
12th Street, Kansas City, MO 64106 ("GRANTOR"), and the CITY OF RIVERSIDE,
MISSOURI, a Missouri municipality, whose address is 2950 N.W. Vivion Road, Riverside,
Missouri 64150 ("GRANTEE").
WITNESSETH, that the GRANTOR, in consideration of the sum of Ten Dollars
($10.00) and other good and valuable consideration to it paid by the GRANTEE, the receipt and
sufficiency of which is hereby acknowledged, does by these presents grant, bargain, sell, convey,
and confirm unto GRANTEE, its successors and assigns, a Right of Way for the construction,
improvement, reconstruction and maintenance of a right of way for public use as a street,
roadway or thoroughfare, including but not limited to, the construction, maintenance and use of
trails or sidewalks, conduits, water, gas, sewer pipes, fiber optic, telecommunication facilities,
poles, wires, storm water drainage facilities, ducts, cables on, over, along, across, and under the
following described tract of land situated in Platte County, Missouri, to-wit: See Exhibit A,
attached.
GRANTOR expressly reserves unto itself, its successors and assigns, a perpetual, non-
exclusive sanitary sewer easement ("Reserved Easement") over, under, and across a strip of land
fifteen (15) feet in width, the location of which is depicted on Exhibit B attached hereto and
incorporated herein. The Reserved Easement shall be for the construction, installation, operation,
inspection, access, maintenance, cleaning, repair, rehabilitation, replacement, upsizing, and
upgrade of sanitary sewer mains, laterals, manholes, and all related sanitary sewer appurtenances
ofGRANTOR.
GRANTEE acknowledges and agrees that GRANTOR maintains existing sanitary
sewer utilities and the Reserved Easement within the Right-of-Way. GRANTEE shall not install
or permit the installation of any non-vegetative screening, structures, improvements, hardscape,
or other obstructions within or over the Reserved Easement that would impede or interfere with
GRANTOR's access to, or maintenance of, its sanitary sewer facilities, without the prior written
consent of GRANTOR.
GRANTOR further states that it is lawfully seized of title to the land through which the
Right of Way is granted and that it has good and lawful right to convey the Right of Way to the
GRANTEE herein.
THIS GRANT and right of way shall, at all times be deemed to be and shall be, a continuing
covenant running with the land and shall be binding upon the successors and assigns of the
GRANTOR.
TO HA VE AND TO HOLD THE SAME, together with all appurtenances and immunities
thereunto belonging or in any way appertaining, unto the GRANTEE and to its successors and
assigns forever.
