BE IT RESOLVED BY THE BOARD OF ALDERMEN OF THE CITY OF RIVERSIDE, MISSOURI AS FOLLOWS: THAT the Riverside Board of Aldermen hereby approves Task Order Number 3 by and between the City of Riverside and QK, Inc., in substantially the form attached hereto, and the Mayor is authorized to execute the Task Order Number 3 on behalf of the City; and FURTHER THAT the Mayor, the City Administrator and other appropriate City officials are hereby authorized to take any and all actions as may be deemed necessary or convenient to carry out and comply with the intent of this Resolution and to execute and deliver for and on behalf of the City all certificates, instruments, agreements and other documents, as may be necessary or convenient to perform all matters herein authorized; and FURTHER THAT this Resolution shall be in full force and effect from and after its passage and approval. Rose, Mayor ATTEST: /s/ Melissa McChesney Melissa McChesney, City Clerk Page 1 of 1 Task Order Number 3 For Engineering Services This Task Order is entered into as of the 2nd Day of June 2026 (the "Effective Date"), by and between QK, Inc. a California corporation with its principal place of business at (Mailing Address) PO BOX 3699, Visalia, CA 93278-3699 (Physical Address) 901 East Main Street, Visalia, CA 93292 ("QK") and the City of Riverside, Missouri, a Missouri municipal corporation (the "City"). WHEREAS, the City has engaged QK to provide engineering services pursuant to the Agreement for Engineering Services dated October 20 . 2020 with VSM Engineering, LLC and Assigned to QK on A pril 1, 2025 pursuant to which the City may task QK to provide additional professional engineering services on a project-specific basis by acknowledging a separate Task Order. NOW, THEREFORE, in consideration of the promises and mutual covenants between the parties and for other good and valuable consideration the receipt of which is acknowledged by the parties, they agree as follows: 1. Incorporation of Base Agreement. This Task Order is subject to all terms and conditions contained in the Agreement for Engineering Services dated October 20 . 2020, that are not inconsistent with the specific terms contained herein, and the Agreement for Engineering Services dated October 20 . 2020, between the parties is incorporated herein as if set forth in full by this reference. 2. Scope of Services. The Scope of Services pursuant to this Task Order are as contained in Exhibit A. 3. Term. QK shall begin work pursuant to this Task Order No. 3 upon its Effective Date and shall continue until the NW 50 th Street Construction Documents 155-025 ("Project") is completed as evidenced by final acceptance of the Project by the City. 4. Compensation. Unless compensation is set forth in this Task Order, compensation shall be as provided in the Agreement for Engineering Services dated October 20 , 2020, between the parties. 5. This street improvement would add curbs, reconstructed pavement section, improved driveway aprons, sidewalk on one side and a cul-de-sac at the east end. The cul-de- sac will provide space for larger vehicles such as trash truck, snow plow, delivery truck and fire truck to turn around. The construction documents should be based on the NW 50 th Street Design Study. SCOPE OF SERVICES 1) Task 100 - Project Management a) Task 101 Project Administration Services | QK will manage the project, prepare invoicing, and insurance. b) Task 102 Monthly Project Status Report | QK will provide monthly project status reports. c) Task 103 Initial Project Meeting | QK will meet with City staff to kick-off the design project. QK will prepare and submit an agenda to City staff prior to the meeting and prepare and distribute meeting minutes. d) Task 104 Progress Design Meetings | QK will participate in eight (8) in-person and virtual meetings with City of Riverside staff during development of reports and exhibits. QK will prepare and submit an agenda to City staff prior to the meeting and prepare and distribute meeting minutes. 2) Task 200 – Survey and Legal Descriptions a) Task 201 Field Investigations |Building on prior concept development, QK will conduct targeted field investigations to verify existing site conditions and confirm design assumptions. Services include site inspections, field photography, and verification of observable site features. Utility coordination will be initiated under Utility Notice 1 and will include utility notifications, information collection and follow ‑up, and preparation of a consolidated utility coordination packet to support continued design refinement. b) Task 202 Survey | QK will perform survey services to support preparation of construction documents, including boundary and topographic survey work within the project limits. Survey data will be used to develop an existing conditions base for design and will include visible surface features, topography, and observable utility features, as available. Survey deliverables will be provided in formats suitable for engineering design and plan production. c) Task 203 R/W and Easement Descriptions | QK will prepare right-of-way and easement descriptions and exhibits, as required, based on the proposed design layout. Descriptions and exhibits will be prepared for use in the City’s acquisition process and provided in signed and editable formats. d) Task 204 R/W and Easement Acquisition (if necessary) | By City Right-of-way and easement acquisition activities, including landowner coordination and negotiations, will Exhibit A to Task Order 3 Scope of Services for NW 50th St. Construction Documents (155-025) be performed by the City of Riverside. QK may provide technical clarification or support materials as requested. e) Task 205 Private Utility Locating (Limited SUE Services) | QK will coordinate limited private utility locating services within the project limits to supplement available utility information. Services are intended to support design development and reduce potential conflicts; however, they are not intended to eliminate all utility uncertainty. Services may include: Coordination with a specialty subconsultant to perform surface geophysical designation of subsurface utilities (generally consistent with SUE Quality Level B). Marking of detected utilities in the field and incorporation into the survey base, where feasible. Review of compiled utility information for potential conflicts with proposed design. 3) Task 300 – Design Development a) Task 301 Basis of Design | The Basis of Design establishes QK’s design intent, assumptions, and technical criteria used to guide development of the project documents. It is intended to support coordination and alignment between QK, the Owner, the project team, and the independent quality control review process. The Basis of Design is a working document and may be updated as design information is refined or additional direction is provided by the Owner. b) Task 302 Prepare Preliminary Plans (30%) | QK will reconcile and progress the conceptual design based off of the GIS data with the completed survey data to the 30% Preliminary Plans. An additional public meeting may be supported during the 30% design phase if project conditions differ from the adopted study recommendations. c) Task 303 Utility Coordination | Following completion of the City’s review of the preliminary plans (30%), QK will issue Notice 2 and map showing project limits and schedule to utilities based on the NW 50th St Study. d) Task 304 Design Development Package (60%) | At 60% design, QK creates marked up specifications for review and prepares final stormwater calculations. QK will progress design of the plans. QK will support the City, as requested, in coordination with potentially affected property owners during the 30%–60% design phase to review anticipated right-of-way and easement impacts. e) Task 305 Utility coordination | Following completion of the City’s review of the Design Development Package (60%), QK prepares and sends Notice 3 to the utilities. QK at that time schedules a coordination meeting with the City and the providers. Meeting minutes will be distributed to City Staff and utility providers within one week of the utility coordination meeting. 4) Task 400 – Plans, Specification and Estimate – a) QK will prepare 90% Preliminary/ROW Design Development plans for review by City staff. Once 90% Design is reviewed by City, QK will attend one Residents Public Meeting (as noted in Task 500) to discuss 90% design. Based on comments from City staff and the Residents, QK will prepare Final Plans. 2 Exhibit A to Task Order 3 Scope of Services for NW 50th St. Construction Documents (155-025) i) QK will provide 22x34 or 24 x 36 construction drawings showing road alignment, road profile, road details, road and sidewalk typical sections and cross-sections. The road alignment and profile will meet design criteria and ADA requirements. ii) QK will prepare Technical Specifications, as needed, for the road construction. Most specifications will follow KC Metro APWA. Front- end specifications and bidding documents will be prepared by the City. iii) QK will prepare a Stormwater Pollution Prevention Plan (SWPPP) to be reviewed by the City. iv) QK will prepare a cost estimate for the project construction. v) Road alignment drawings will be prepared in an AutoCAD format and provided to the City. 5) Task 500 - Public Meeting Assistance – Support City of Riverside staff with preparation and exhibits for up to two (2) Residents Public Meetings, as needed. One meeting is anticipated at approximately the 90% stage. A second optional meeting may be conducted earlier in design (approximately 30%) if design deviations from the study warrant additional public input. a) Print and mount exhibits for public meeting showing plan view and cross sections. b) Print and mount exhibits for selected vehicle path analysis Project Schedule (See Attachment for Level 2 Schedule) Tasks 100 – 217 calendar days Task 200 – 213 (40 Survey Only) calendar days Task 300 – 133 calendar days Task 500 - 100 calendar days total duration 22 calendar days for 1 st Public Meeting and 12 calendar days for 2nd Public Meeting (if required) Task 400 – 102 calendar days Exclusions 1. No Land Disturbance Permit work is included. 2. No Geotechnical work is included. 3. Survey and ROW Exclusions: a. Property boundary resolution beyond the limits required to support design and preparation of right‑of‑way or easement descriptions. b. Preparation or filing of subdivision plats, record plats, or other recordable survey documents. c. Construction staking, layout, or as‑built survey services. d. Subsurface utility engineering (SUE) or potholing. e. Identification, verification, or warranty of underground utility locations beyond visible features and information obtained through utility notification responses. f. Title research, title insurance review, or legal interpretation of ownership documents beyond use for preparing descriptions and exhibits. g. Right‑of‑way acquisition services, including landowner negotiations, compensation determinations, or condemnation support. 3 Exhibit A to Task Order 3 Scope of Services for NW 50th St. Construction Documents (155-025) General Any service not expressly identified in the Scope of Services is excluded and may require separate authorization. 4 Exhibit A to Task Order 3 Scope of Services for NW 50th St. Construction Documents (155-025) Exhibit B for Task Order Number 3 The scope of services shall be completed under this authorization for an hourly-not-to-exceed fee of $219,150.
