EMERGENCY MEDICAL SERVICES STANDBY AGREEMENT
This Emergency Medical Services Standby Agreement "Agreement" is entered into by and
between the City of Riverside, Missouri, a Missouri municipal corporation ("City"), and LSE
Management, LLC ("KC Current)."
1. Purpose. KC Current and its affiliate entities own, operate, or control certain soccer
practice facilities and related event areas located at or around 1 Teal Rising Way in Riverside,
Missouri, and may from time to time request emergency medical services standby assistance from
the City for games, practices, special events, or similar activities at such facilities. The City is
willing to provide limited emergency medical services standby assistance, when available, through
City personnel and equipment, subject to the terms of this Agreement. The parties acknowledge
that the standby services contemplated by this Agreement are intended to provide on -site EMS
standby support and do not include the provision of an ambulance.
2. Services Provided. Upon request by KC Current and acceptance by the City, the City may
provide emergency medical services standby coverage for KC Current games, practices, special
events, or related activities ("Services"). Unless otherwise agreed in writing for a specific event,
the Services shall generally consist of:
A. Two City personnel assigned to EMS standby duty; and
B. Use of a City utility terrain vehicle or similar vehicle "UTV" for on -site response and mobility.
The City shall determine, in its sole discretion, the personnel, equipment, level of staffing, and
manner of providing the Services, provided, however, the City shall ensure that the personnel are
appropriately trained, and equipment is operable. Nothing in this Agreement shall require the City
to provide personnel, equipment, or services if the City determines that personnel or equipment
are unavailable or needed for City operations, emergency response, public safety needs, or other
municipal purposes. In such instance, if KC Current has requested the Services, the City shall
notify the KC Current of their unavailability in advance of the requested date of Service.
3. Requests for Services. KC Current shall request the Services as far in advance as
reasonably practicable. Each request should include the date, time, anticipated duration, location,
type of event, expected attendance, and any special circumstances known to KC Current. The City
may accept, reject, or modify any request based on staffing, availability, operational needs,
emergency response obligations, or other City considerations. A request shall not be binding on
the City unless accepted by the City's Fire Chief, City Administrator, or their authorized designee.
4. Reimbursement of City Costs. KC Current shall reimburse the City for the actual costs
incurred by the City in providing Services under this Agreement. Unless otherwise agreed,
reimbursable costs shall include, but arc not limited to: overtime compensation paid to assigned
City personnel; employment costs specifically detailed in an invoice and attributable to such
overtime work; reasonable equipment, vehicle, fuel, supply, or administrative costs incurred by
the City in connection with the standby assignment; and any additional costs approved in advance

by KC Current. The City shall invoice KC Current following each event or on another schedule
agreed to by the parties. KC Current shall pay each invoice within thirty days after receipt. The
City shall bill KC Current based on the applicable overtime rates and related employment costs
for the City personnel assigned to the standby coverage. Because the applicable rate may vary
depending on the personnel assigned, rank, applicable pay rules, and actual hours worked, the City
is not required to provide a fixed hourly rate in this Agreement. Upon request, the City shall
provide reasonable supporting information for the invoiced charges, provided that the City shall
not be required to disclose confidential personnel information or records not subject to disclosure under applicable law.
5. Minimum Time; Cancellation. Unless otherwise agreed, each accepted Services
assignment shall be billed for the greater of the actual time worked or a minimum of five hours
per assigned employee. KC Current may cancel a requested Services assignment by providing
reasonable advance notice to the City. If KC Current cancels after City personnel have been
scheduled, called in, or have reported for duty, KC Current shall remain responsible to pay a
minimum of three hours per assigned employee.
6. Personnel Remain City Employees. All City personnel providing services under this
Agreement shall remain employees of the City. No City employee shall be deemed an employee,
agent, borrowed servant, contractor, or representative of KC Current. The City shall retain
exclusive control over its personnel, equipment, emergency response decisions, medical response
decisions, and public safety operations. KC Current shall not direct or control City personnel in
the performance of emergency medical services, patient care, public safety, or emergency response functions.
7. Insurance. KC Current shall maintain commercially reasonable insurance coverage for its
operations, facilities, games, special events, and related activities, including commercial general
liability coverage. Upon request by the City, KC Current shall provide a certificate of insurance
evidencing such coverage. To the extent commercially available and applicable to the event or
activity for which standby services are requested, KC Current shall cause the City, its elected and
appointed officials, officers, employees, agents, and volunteers to be named as additional insureds
with respect to claims arising out of KC Current's operations, facilities, events, or activities. The
insurance obligations in this section shall not be construed as a waiver of any immunity, defense,
limitation of liability, or damage cap available to the City under Missouri law.
8. Indemnification by KC Current. To the fullest extent permitted by law, KC Current shall
defend, indemnify, and hold harmless the City, its elected and appointed officials, officers,
employees, agents, and volunteers from and against any and all claims, demands, damages, losses,
liabilities, costs, and expenses, including reasonable attorney fees asserted by a third -party, arising
out of or relating to KC Current's negligence or intentional misconduct in its operation of the
facilities, events, operations or activities, and the negligence or intentional misconduct of KC
Current's contractors, vendors, employees, or agents, except to the extent caused by the negligence
or willful misconduct of the City.
9. No City Indemnification; Immunities Preserved. Nothing in this Agreement shall be
construed to require the City to indemnify, defend, or hold harmless KC Current or any other

person or entity. Nothing in this Agreement shall be deemed a waiver of sovereign immunity,
official immunity, governmental immunity, any limitation on damages, or any other defense
available to the City or its officials, officers, employees, agents, or volunteers under Missouri law.
No provision of this Agreement shall be construed to create liability for the City beyond that
existing under applicable law.
10. Term. This Agreement shall become effective upon execution by both parties and shall
remain in effect until terminated as provided herein. Either party may terminate this Agreement
for convenience upon ten days' written notice to the other party. Termination shall not relieve KC
Current of its obligation to pay the City for Services provided or costs incurred before the effective
date of termination.
11. Annual Appropriation. The City's obligations under this Agreement are subject to annual
appropriation of funds by the Board of Aldermen. Nothing in this Agreement shall be construed
to create a debt of the City in violation of Missouri law.
12. Entire Agreement. This Agreement constitutes the entire agreement between the parties
concerning the subject matter herein and supersedes all prior discussions, understandings, or
arrangements regarding EMS standby services for KC Current events. This Agreement may be
amended only by written agreement signed by both parties.
