FOR A CRADLEPOINT R980 BE IT RESOLVED BY THE BOARD OF ALDERMEN OF THE CITY OF RIVERSIDE, MISSOURI AS FOLLOWS: THAT the attached contract and addendum are approved and the Mayor is authorized to execute the same on behalf of the City; and FURTHER THAT the Mayor, the City Administrator, and other appropriate City officials are hereby authorized to take any and all actions as may be deemed necessary or convenient to carry out and comply with the intent of this Resolution and to execute and deliver for and on behalf of the City all certificates, instruments, agreements, and other documents, as may be necessary or convenient to perform all matters herein authorized. ("Contractor"), and modifies the T-Mobile contract for the Cradlepoint R980 with four-year NetCloud Manager service, Billing Account Number 448490410, together with T-Mobile's Tenns and Conditions and all other terms incorporated by reference (including the NASPO Master Agreement MAI 76 and the State of Missouri NASPO Participating Addendum) ( collectively, the "Agreement"). This Addendum is attached as an exhibit to the Agreement. This Addendum does not apply to or otherwise modify any other sales transaction between the parties. In the event of any conflict or inconsistency between this Addendum and the Agreement, including any online, click-through, product, service, or subsequently updated terms, this Addendum shall control. 1. Notwithstanding any provision to the contrary in the Agreement, the City's obligations under the Agreement are contingent upon the annual appropriation of funds sufficient to satisfy the City's obligations. If funds are not appropriated in any fiscal year for payments due under the Agreement, the City may terminate the Agreement without penalty or further obligation by providing at least 30 days' advance written notice of non-appropriation to Contractor. Upon such termination, the City shall have no liability for any early termination fee, acceleration, remaining- service charge, equipment penalty, or other amount attributable to periods after the effective date of termination. 2. Notwithstanding any prov1s10n to the contrary in the Agreement, the City shall not indemnify, defend, or hold harmless Contractor, except to the extent permitted by applicable law . Any provision requi1ing the City to indemnify, defend, or hold harmless Contractor is deleted and shall be unenforceable against the City, except to the extent permitted by applicable law. Nothing in the Agreement or this Addendum waives any immunity, defense, or limitation of liability available to the City under applicable law. 3. The Agreement shall be governed by the laws of the State of Missouri, without regard to conflict-of-laws principles. Exclusive venue for any legal action arising out of or relating to the Agreement shall lie in the Circuit Court of Platte County, Missouri. The City does not agree to arbitration or mediation unless required by law, and any conflicting arbitration, class-action waiver, jury-trial waiver, or dispute resolution provision in the Agreement shall not apply to the City. 4. Unless otherwise currently referenced in the Agreement, no online, click-through, usage- based, incorporated, or subsequently posted term, policy, or condition shall amend or modify the Agreement or bind the City unless the change is set forth in a written amendment signed by authorized representatives of both parties. 5. The City shall pay only the prices and charges expressly stated in the Agreement, together with taxes or governmental fees that the City is legally required to pay or applicable surcharges imposed by T-Mobile in the normal course of its business on applicable services or products. This Addendum and the Agreement, as modified hereby, constitute the entire agreement between the parties concerning the subject matter. This Addendum may be modified only by a written instrument signed by authorized representatives of both parties.
