ORDINANCE NO. 2010 - 024
AN ORDINANCE AUTHORIZING THE CITY TO ENTER INTO A CONTRACT
WITH, AND PAY CERTAIN FUNDS TO EMBASSY LANDSCAPE GROUP, INC. FOR
THE 2010 LANDSCAPE MAINTENANCE PROGRAM
WHEREAS, the City of Riverside, Missouri ("City") utilizes Embassy Landscape Group,
Inc. ("Contractor") for provision of services related for the City Landscape Maintenance
Program (the "Services").
WHEREAS, the City and the Contractor have reached an agreement concerning the
provision of and payment for such Services.
NOW, THEREFORE, be it ordained by the Board of Aldermen of the City of Riverside,
Missouri, as follows:
Section 1. This Ordinance is intended and is hereby determined and declared to be necessary to
accomplish and serve the public purpose of maintaining public property, including the Civic
Campus (City Hall, Public Safety, Community Center), Welcome Plaza, and West Platte Road
(the "Project").
Section 2. The City of Riverside shall enter into an agreement whereby Contractor shall provide
the Services related to the Project to the City at a total cost of $40,679.00 (the "Agreement").
Section 3. The execution and delivery of the Agreement, in substantially the form attached
hereto as Exhibit A, is approved, and the Mayor is authorized to execute the Agreement and to
take such other actions reasonably necessary to carry out the intent of this Ordinance on behalf of
the City, the execution of the Agreement being conclusive evidence of such approval.
Section 4. The Mayor, the City Administrator, the City Attorney and other appropriate City
officials are hereby authorized to take any and all actions as may be deemed necessary or
convenient to carry out and comply with the intent of this Ordinance and to execute and deliver
for and on behalf of the City all certificates, instruments, agreements and other documents, as
may be necessary or convenient to perform all matters herein authorized.
Section 5. This Ordinance shall be in full force and effect from and after its passage and
approval.

It is our intent that the property's landscape has the best possible appearance. We have set as our standazd of comparison
all the top maintained properties in the Kansas City azea.
We also agree that the physical health of the landscape is to be maintained at the highest standards. It is understood that
time is required to achieve the highest standazd. A reasonable time should be allotted to reach the standard. It is absolutely
essential that all aspects of our lawn management program be completed in order to achieve the high standazds requested by
the property owners.

SPRING CLEANUP All lawns will be mowed. Plant beds will be cleaned of leaves and weeds.
MOWING HIGH PROFILE TURF Grass will be cut as needed on a yeaz round basis. Grass will be cut at least weekly
during the accepted normal grass-growing period for the property's location, except when weather prohibits. High Profile
Turf will be cut as outlined in the Attachment B form, The owner's property management agent will be consulted as to the
frequency and need for cutting for any special circumstances.
MECHANICAL EDGING Mechanically edge all walkways, curbs, driveways, and concrete pads regularly in order to
maintain proper appearance
SPADE EDGING All plant beds and tree rings will be spade-edged to maintain a crisp edge. This is done in the spring
prior to the spring cleanup and once in the summer during the cultivation.
AERIFICATION Aerification is performed routinely onhigh-profile turf in order to promote optimal root growth.
FALL CLEANUP all lawns will be mowed in order to remove or disintegrate leaves and debris. All plant beds will be
cleaned of leaves and debris.

TREE CARE PROGRAM: INSECT & DISEASE CONTROL Trees that are regulazly attacked by fungus and disease
aze treated so they look their best throughout the year. We believe tazgeting the right problem at the right time is the only
responsible way to treat pests, so we tazget our applications for maximum results making sure there is no unnecessary
disturbance to the environment.

PLANT BED MAINTENANCE and perennial beds will be manually weeded monthly as needed from Mazch 1 till
October 31 as outlined in the Attachment B form. Any perennials located in common area beds will be deadheaded as
needed. Two applications of weed control will be used to aid in preventing unwanted grasses and weeds
SPADE EDGING All plant beds and tree rings will be spade-edged to maintain a crisp edge. This is done in the spring
prior to the spring cleanup and once in the summer during the cultivation.
PERENNIAL MAINTENANCE All perennials are maintained at the proper time to remove spent blooms when
necessary. Perennials aze cut to ground level in the Fall unless there is ornamental value to the plants throughout the winter
such as grasses, yarrows, and stonecrops
PRE-EMERGENCE Some beds aze treated with pre-emergent herbicide to prevent weed seeds from germinating and
detracting from the landscape's appearance.

TREE AND SHRUB PRUNING Shrubs will be premed once during the dormant season. During the growing season all
shrubbery will be pruned a maximum of three times. Annual plantings aze not included.
GROUND COVER PRUNE .ground covers aze pruned annually unless they grow at a faster rate. Fast growing ground
covers will be pruned in mid summer to keep a tidy appearance.
DEEP ROOT FEED Since most trees aze planted in construction grade soils instead of a natural woodland setting, they
tend to benefit from a supplement of regulaz nutrients.
TRIM AND RAISE TREES LIGHT pruning of trees less than 15' will be done during the dormant season to shape and
remove dead wood. Additional pruning during the growing season requested by the owner will be billed separately.

MULCHING of plant beds will be done once during the year as outlined in the Attachment B form. A spring mulching to
maintain an approximate depth of 3"will be installed after the spring cleanup has been completed.
MULCH CULTIVATION: All Mulch beds and tree rings will be cultivated as outlined in the Attachment B form to give
them a fresh appearance.

OWNERS RESPONSIBILITY of the irrigation system is to notify the contractor of any irrigation issues or problems that
may exist. Additionally, please notify the contractor of any planned construction that may potentially damage the sprinkler
system.
SPRING STARTUP of irrigation systems involves turning the water source back on after danger of frost, and to inspect
the irrigation heads for any winter damage; we also program irrigation clocks at this time to make sure watering is occurring
as needed
IIiRIGATION SYSTEM INSPECTION AND EVALUATION: A detailed irrigation system inspection and report will
be completed as agreed upon with the property manager. The service will be completed as outlined in the Attachment B
form.
COMPUTER MONITORING some irrigation systems are controlled and tracked by computer; this monitoring will take
place in order to track water usage and detect leaks, as well as to supply the correct amount of water to the plants. We
monitor the computer program in these situation as outlined in the Attachment B form.
MONTHLY SITE INSPECTION & ADJUSTMENT: we inspect irrigation systems monthly to make certain they are
delivering the correct amount of water to the plants they are designed to water. Our goal is to work with nature to deliver at
least one inch of water per week during the growing season. The more sensitive the planting, the more frequent visits are
necessary. Irrigation systems are monitored as outlined In the Attachment B form.
FALL SHUTDOWN AND BLOWOUT: After the owin season is ended ro er winterization, includin blowout and

shutting off imgation controllers, is crucial for maintenance of irrigation systems. Items necessary include pneumatic
blowout of the system, turning off electronic controllers, and sometimes removal of backflow preventers as outlined in
Attachment B form.

SPRING (Cool Season) ANNUALS Spring color plants (typically pansies) will be planted in mid-Mazch;
Management shall approve designs Plant 2.5-3 inch annuals approximately 6" on center or 5/square foot.
SUMMER ANNUALS Summer annuals aze planted in mid May till early June after the danger of frost has past. Fall plants
(usually Chrysanthemums) are planted in September. Management shall approve designs Plant 2.5-3 inch annuals
approximately 6" on center or 5/squaze foot.
WEEKLY MAINTENANCE We monitor flower beds weekly by pulling weeds, watering and fertilizing as outlined in
the Attachment B form.
FALL CHRYSANTHEMUMS will be planted in September for fall color. Management shall approve design. Plant 24"
on center.
SPRING FLOWERING BULBS will be planted in late fall for spring flowering. Design to be approved by management.
Plant bulbs approximately 6" on center or 5/ft. Remove plants when flowering season is over.
WINTER/HOLIDAY INTEREST will be planted mid-November as agreed upon by property representative. Due to the
commercial enhancement opportunity, some facilities prefer eazlier installation.
FLOWER BED MAINTENANCE periodic Fertilizing, weeding, deadheading, spraying, etc. will be completed as
required. New soil and amendments will be provided as required in order to properly prepaze the seasonal beds.

NUTSEDGE Treating for a nutsedge infestation takes special planning and products outside routine maintenance
procedures. We will treat for yellow or purple nutsedge as an add-on service.
OVERSEEDING is traditionally completed in the Fall to allow germination to occur and roots to establish before the end
of the growing season. Overseeding lawns and turfstands is done as an add-on service.
FUNGICIDE APPLICATION: Fungicides prevent turf from dying out during warm and moist periods. For the best
appearance of irrigated lawns, preventive fungicides aze applied as an add-on service.
PAVEMENT WEED CONTROL: Preventing weeds in paved azea adds to the life of paved surfaces by not allowing
weeds to widen cracks. It also improves the appearance of facilities and businesses. Weed control is achieved by a
combination ofpre-emergent herbicide and period liquid sprays to control weeds, depending on the conditions and site. This
is done as an add-on service.
LITTER CLEANUP: Portering service, or litter cleanup, is provided as an add-on service for total property landscape
management.

ADDITIONAL SPECIFICATIONS
AIVIAGE'; Landscaper will take Gaze so as not to damage or injure any plant, shrub, or flowers with string

replacement of any shrub, plant, or flower damaged by landscaper.
Landscaper will take precautions to prevent grass from being thrown into air-conditioning units,
condensing units, on patios, in ponds, vehicles and other public azeas.
MANAGEMENT Management Company appointed by owner shall represent the property with regazds to day-to-day
CQMPANYc supervision, payment, and review of the terms of this contract. However, should the landscaper
desire to alter or quit this contract, written notification of such intent must be given to the owner or
owner's representative. Should the owner desire to alter or quit this contract, written notification of
such intent must also be given to the landscape company. Only written responses from the owner or
its representative shall be acceptable for such. Oral conversations with the owner or owner's
re resentative will not be sufficient to alter the terms of this contract.
ADNIINISTItATIVE • Maintain contact with Management Company or Owner to receive comments, feedback,
ITEMS: and supervision. Be available for discussion and suggestions on landscaper's
performance.
• Provide technical and professional advice to the property on any existing or potential
landscaping problems.
• Perform all its services in such a manner to provide minimum inconvenience to staff and
customers on property.

• Provide adequate supervision of landscaper's employees while on property to insure
complete and satisfactory performance of work performed
REVIEWS: Landscaper agrees to have his representative inspect the property on a regular basis and, upon
request, to complete whatever form may be required to evidence that inspection.
INSURANCE: Landscaper will carry liability insurance in at least the following amounts at all times:

PAYMENT: Property Owner shall pay the Landscaper promptly for prior month's work not to exceed 30 days
from the date of invoice.
DEFAULT AND Should the property owner or owner's representative not pay landscaper as per the payment
CANCELLATION: schedule, the landscaper has the right to give written notice to the owner and owner's
representative, via certified mail, demanding payment within 10 days of receipt for the certified
letter. Should the owner fail to pay within the 10 days of receipt of such letter, the owner shall be
considered in default and the landscaper shall be entitled to cancel this contract. All services
provided must be paid in full prior to termination of contract Please note that payment of all
invoices at any given date may not quay as being paid for all services rendered, due the nature
of installment payments.

The laws of Missouri shall govern this contract. Should any legal action be necessary the
prevailing party shall be entitled to recover all legal and court costs.

SPADE EDGING All plant beds and tree rings will be spade-edged to maintain a crisp edge. This is done in the spring
prior to the spring cleanup and once in the summer during the cultivation.
PERENNIAL MAINTENANCE All perennials aze maintained at the proper time to remove spent blooms when
necessary. Perennials aze cut to ground level in the Fall unless there is ornamental value to the plants throughout the winter
such as grasses, yarrows, and stonecrops

shrubbery will be pruned a maximum of three times. Annual plantings are not included.

covers will be pruned in mid summer to keep a tidy appearance.
DEEP ROOT FEED Since most trees are planted in construction grade soils instead of a natural woodland setting, they

TRIM AND RAISE TREES LIGHT pruning of trees less than 15' will be done during the dormant season to shape and
remove dead wood. Additional pruning during the growing season requested by the owner will be billed separately.

OWNERS RESPONSIBILITY of the imgation system is to notify the contractor of any irrigation issues or problems that
may exist. Additionally, please notify the contractor of any planned construction that may potentially damage the sprinkler
system.
SPRING STARTUP of irrigation systems involves turning the water source back on after danger of frost, and to inspect
the irrigation heads for any winter damage; we also program irrigation clocks at this time to make sure watering is occurring
as needed
IRRIGATION SYSTEM INSPECTION AND EVALUATION: A detailed irrigation system inspection and report will
be completed as agreed upon with the property manager. The service will be completed as outlined in the Attachment B
form.
COMPUTER MONITORING some irrigation systems are controlled and tracked by computer; this monitoring will take
place in order to track water usage and detect leaks, as well as to supply the correct amount of water to the plants. We
monitor the computer program in these situation as outlined in the Attachment B form.
MONTHLY SITE INSPECTION & ADJUSTMENT: we inspect irrigation systems monthly to make certain they are
delivering the correct amount of water to the plants they are designed to water. Our goal is to work with nature to deliver at
least one inch of water per week during the growing season. The more sensitive the planting, the more frequent visits are
necessary. Irrigation systems are monitored as outlined in the Attachment B form.
FALL SHUTDOWN AND BLOWOUT: After the owin season is ended, ro er winterization, includin blowout and

NUTSEDGE Treating for a nutsedge infestation takes special planning and products outside routine maintenance
procedures. We will treat for yellow or purple nutsedge as an add-on service.
OVERSEEDING is traditionally completed in the Fall to allow germination to occur and roots to establish before the end
of the growing season. Overseeding lawns and turfstands is done as an add-on service.
FUNGICIDE APPLICATION: Fungicides prevent turf from dying out during warm and moist periods. For the best
appearance of irrigated lawns, preventive fungicides aze applied as an add-on service.
PAVEMENT WEED CONTROL: Preventing weeds in paved area adds to the life of paved surfaces by not allowing
weeds to widen cracks. It also improves the appearance of facilities and businesses. Weed control is achieved by a
combination of pre-emergent herbicide and period liquid sprays to control weeds, depending on the conditions and site.This
is done as an add-on service.
LITTER CLEANUP: Portering service, or litter cleanup, is provided as an add-on service for total properly landscape
management.

essential that all aspects of our lawn management program be completed in order to achieve the high standazds requested by

SUMMER ANNUALS Summer annuals are planted in mid May till eazly June after the danger of frost has past. Fall plants
(usually Chrysanthemums) are planted in September. Management shall approve designs Plant 2.5-3 inch annuals
approximately 6" on center or 5/squaze foot.
WEEKLY MAINTENANCE We monitor flower beds weekly by pulling weeds, watering and fertilizing as outlined in
the Attachment B form.
FALL CHRYSANTHEMUMS will be planted in September for fall color. Management shall approve design. Plant 24"
on center.
SPRING FLOWERING BULBS will be planted in late fall for spring flowering. Design to be approved by management.
Plant bulbs approximately 6" on center or 5/ft. Remove plants when flowering season is over.
WINTER/HOLIDAY INTEREST will be planted mid-November as agreed upon by property representative. Due to the
commercial enhancement opportunity, some facilities prefer eazlier installation.
FLOWER BED MAINTENANCE periodic Fertilizing, weeding, deadheading, spraying, etc. will be completed as
required. New soil and amendments will be provided as required in order to properly prepare the seasonal beds.

NUTSEDGE Treating for a nutsedge infestation takes special planning and products outside routine maintenance
procedures. We will treat for yellow or purple nutsedge as an add-on service.
OVERSEEDING is traditionally completed in the Fall to allow germination to occur and roots to establish before the end
of the growing season. Overseeding lawns and turfstands is done as an add-on service.
FUNGICIDE APPLICATION: Fungicides prevent turf from dying out during warm and moist periods. For the best
appearance of irrigated lawns, preventive fungicides are applied as an add-on service.
PAVEMENT WEED CONTROL: Preventing weeds in paved area adds to the life of paved surfaces by not allowing
weeds to widen cracks. It also improves the appearance of facilities and businesses. Weed control is achieved by a
combination ofpre-emergent herbicide and period liquid sprays to control weeds, depending on the conditions and site.This
is done as an add-on services
LITTER CLEANUP: Portering service, or litter cleanup, is provided as an add-on service for total property landscape

ADDITIONAL SPECIFICATIONS
DAMAGE: Landscaper will take caze so as not to damage or injure any plant, shrub, or flowers with string
PREVENTION: trimmer (weed eater), lawn mower, or other equipment or chemicals; and to be responsible for
replacement of any shrub, plant, or flower damaged by landscaper.
Landscaper will take precautions to prevent grass from being thrown into air-conditioning units,
condensing units, on patios, in ponds, vehicles and other public areas.
"MANAGEMENT Management Company appointed by owner shall represent the property with regazds to day-to-day
COMPANY: supervision, payment, and review of the terms of this contract. However, should the landscaper
desire to alter or quit this contract, written notification of such intent must be given to the owner or
owner's representative. Should the owner desire to alter or quit this contract, written notification of

its representative shall be acceptable for such. Oral conversations with the owner or owner's
representative will not be sufficient to alter the terms of this contract.
ADMINISTRATIVE • Maintain contact with Management Company or Owner to receive comments, feedback,

performance.
• Provide technical and professional advice to the property on any existing or potential
landscaping problems.
• Perform all its services in such a manner to provide minimum inconvenience to staff and
customers on property.
• Observe working hours that will not begin before 7:OOam or end after 7:OOpm.
• Provide adequate supervision of landscaper's employees while on property to insure
complete and satisfactory performance of work performed
REVIEWS: Landscaper agrees to have his representative inspect the property on a regulaz basis and, upon
request, to complete whatever form may be required to evidence that inspection.
INSURANCE: Landscaper will carry liability insurance in at least the following amounts at all times:

PAXMENT: Property Owner shall pay the Landscaper promptly for prior month's work not to exceed 30 days
from the date of invoice.

' representative, via certified mail, demanding payment within 10 days of receipt for the certified
letter. Should the owner fail to pay within the 10 days of receipt of such letter, the owner shall be
considered in default and the landscaper shall be entitled to cancel this contract. All services
provided must be paid in full prior to termination of contract Please note that payment of all
invoices at any given date may not quay as being paid for all services rendered, due the nature
of installment payments.

Severability -Should any part of this contract be illegal or unenforceable, the rest of the contract
shall remain in force.
The laws of Missouri shall govern this contract. Should any legal action be necessary the
prevailing party shall be entitled to recover all legal and court costs.
