HomeMy WebLinkAbout2002-104 - Professional Services Agreement with Patti Bank AssociatedBILL NO. 2002-104 ORDINANCE NO. 2002-104 AN ORDINANCE APPROVING ANDAUTHORIZING THE EXECUTION OF AN AGREEMENT FOR PROFESSIONAL SERVICES WITH PATTI BANK ASSOCIATES BE IT ORDAINED BY THE BOARD OF ALDERMEN FOR THE CITY OF RIVERSIDE, MISSOURI AS FOLLOWS: SECTION 1. The Mayor is hereby authorized to enter into a contract with Patti Banks Associates to perform professional services for landscaping along NW Gateway. SECTION 2. The contract amount will be $25,940.00. PASSED THIS 27th DAY OF AUGUST 2002. WITNESSETH THAT: Whereas, the Owner has solicited the services of PBA to perform professional consulting services in connection with the Gateway Development- Streetscape Master Plan and Whereas, PBA has agreed to provide such services related to the Gateway Development Streetscape Master Plan Now therefore, for the consideration hereinafter set forth, the parties hereto do mutually agree as follows: 1. PBA shall provide professional services to the Owner for preparation of the Gateway Development Streetscape Master Plan , in accordance with Attachment 1 2. This Agreement shall consist of the following documents, which are attached here and incorporated herein by reference: Term and Conditions of Professional Services (Attachment 1) and Scope of Services (Attachment 2). 3. This Agreement represents the entire and integrated agreement between the Owner and PBA and supersedes all prior negotiations, representations or agreements, either written or oral. This agreement may be amended by written instrument, signed by both parties. This Agreement is entered into as of the day, month and year first written above. Owner: City of Riverside, Missouri Consulting: Patti Banks Associates By: By l1 ~~ ~ l `~ ~ ,, , avid Blac burn, City Administrator Patti Banks, Principal Agreement for Consulting Services Gateway Development -Streetscape Master Plan Page 1 Attachment 1 Terms and Conditions of Consulting Services ARTICLE L SERVICES CONSULTANT will: 1.1 Act for the Owner in a professional manner, using that degree of care and skill ordinarily exercised by and consistent with the standards of competent consultants performing similar work. 1.2 Perform all services under the general direction of a principal officer or senior professional officer or senior professional employee, Registered or Certified to render the required work. 1.3 Consider all prepared documents to be confidential, and distribute copies of same only to those persons or agencies specifically designated by the Owner. 1.4 Retain pertinent records relating to the services performed for a period of three years following submission of prepared documents during which period the records will be made available to the Owner at all reasonable times. 1.5 Inform the Owner of the substance of all contacts made related to the project and keep a written record of all such contracts. 1.6 Perform all services and duties according to the schedule or time of completion as agreed upon by PBA and the Owner. In the event that performance of services is delayed by causes beyond the reasonable control of the PBA, and without fault or negligence of PBA, the time for the performance of the services shall be equitably adjusted by written amendment to reflect the extent of the delay. ARTICLE II: OWNER RESPONSIBILITIES "fhe Owner or authorized representative will: 2.1 Designate a primary contact/project manager. 2.2 Provide the PBA with all information pertaining to the project, which is reasonably available or obtainable from available sources, in order to provide PBA with every opportunity to perform the Scope of Services herein within the timeframe provided. 2.3 Make appropriate payments to PBA based on Article VIII. ARTICLE III: GENERAL CONDITIONS 3.1 This Agreement may be terminated by either party upon fourteen (14) days written notice in the event of substantial failure by the other party to perform in accordance with the terms hereof In the event of termination, PBA shall be paid for services performed to the termination notice date. 3.2 PBA may not assign or transfer their duties or interest in this Agreement without the written consent of the Owner. 3.3 PBA recognizes the importance of providing qualified personnel as essential to the work being performed for the project. Agreement for Consulting Services Page 2 Gateway Development -Streetscape Master Plan ARTICLE IV: INSURANCE 4.1 PBA shall secure and maintain throughout the term of this Agreement general and professional liability insurance and workmen's compensation insurance to protect it from claims for bodily injury, death, property damage, and errors and omissions, as may arise from the performance of services under this Agreement. PBA shall maintain such insurance in the minimum amounts defined below: Commercial General Liability Workers' Compensation Professional Liability $1,000,000.00 $100,000.00/$500,000.00 $1,000,000.00 PBA shall file certification of such insurance coverage with the Owner upon execution of this Agreement. 4.2 PBA shall notify the Owner thirty (30) days prior to any material change in coverage or cancellation of any such insurance. ARTICLE V: OWNERSHIP OF DOCUMENTS 5.1 The originals of all documents prepared by PBA, as instruments of service, shall remain the property of PBA. ARTICLE VI: CONSULTING FEE 6.1 The Owner shall pay PBA the fee as outlined in the Scope of Services (Attachment 2). ARTICLE VII: REIMBURSABLE EXPENSES 7.1 All reimbursable expenses are outlined in the Scope of Services defined in Article 6. ARTICLE VIII: PAYMENT 8.1 The Owner will pay PBA for services and expenses in accordance with the attached Scope of Services, and with the following payment schedule. 8.2 PBA Payment Schedule: PBA shall submit invoices for the completion of its work, on a monthly basis. Tnvoices shall be submitted to the Owner on or before the last day of each month. The Owner will pay PBA within thirty (30) working days after receiving the invoice. 8.3 No payments shall be made to PBA for additional work not specifica]ly authorized by the Owner. ARTICLE IX: NOTIFICATION 9.1 This Agreement constitutes a Notice to Proceed for the attached Scope of Services. 9.2 All notices required or permitted under this Agreement shall be in writing and shall be deemed sufficiently served if served by Registered Mail addressed as follows: Mr. David Blackburn City of Riverside 4500 NW High Drive Riverside, Missouri 64152 Patti Banks Patti Banks Associates 201 Main, Suite 201 Kansas City, MO 64105 Agreement for Consulting Services Gateway Development --Streetscape Master Plan Page 3 Attachment 2 SCOPE OF SERVICES Streetscape Master Plan Project UnderstandinP The project will be broken down into two phases the Streetscape Master Plan and the Property Owner Consultation. The Streetscape mater plan will consist of the preparation of a plan for improvements within the public right of way. This could include selection of street lighting type, street tree plantings, gateway markers, landscaping and other improvements as coordinated with roadway improvements and the steering committee. Property Owner Consultation would consist of meeting with individual property owners or a group of owners to create a sketch plan and cost estimate for improvements on their property. These improvements could include fagade (building faced) improvements, parking configuration plan or landscape plan consistent with the streetscape master plan. These improvements could be eligible for the City's grant and loan assistance program. It is our understanding that PBA will work with a Streetscape Design Committee, appointed by City staff, that could include two community members, two Board members and the Mayor. PBA will attend public meetings for the three roadway improvement projects as approved by City Staff. Task 000 -Steering Committee Meetings PBA will participate in up to five steering committee meetings. PBA will attend, facilitate and provide follow-up to elements related to our scope. Task 100 -Streetscape Master Plan PBA will provide a simple inventory of existing conditions along the roadway corridors. From the base information provided by the City, PBA will produce two streetscape alternatives to present to the steering committee. The steering committee will select one plan as the preferred alternative to be modified into the final master plan. Master Plan products will include one rendered plan and up to four conceptual sketches to describe the design intent of the plan. The design process and intent will be described in text form and be included in a master plan book. Task 200 -Property Owner Consultation Based upon the master plan document developed with the steering committee, PBA will proceed as directed by City staff with property owner consultation. The City staff may chose to have PBA meet with property owners individually, or in groups up to five. These consultations would address private property landscaping, facade treatments and parking configurations which would be consistent with the goals of the streetscape master plan. Task 300 -Public Meetings PBA will be available to attend public meetings related to roadway improvement projects at the City's direction for a fixed fee per meeting. Agreement for Consulting Services Page 4 Gateway Development-Streetscape Master Plan Deliverables PBA will provide the City with one rendering of the Master Plan, one copy with up to four rendered sketches, and 20 copies of the master plan book. All documentation will be delivered on a standard CD-ROM and in Adobe Acrobat .pdf format for future printing or posting to the city's web site. Additional Services Services of this proposal are limited to those listed in the Scope of Services. Any additional services will be performed at an hourly rate or at a lump sum amount agreed to prior to initiating the additional service. Provided by Owner "the Owner will provide: 1. Existing surveys and base mapping of the project site. 2. All legal responsibilities in dealing with existing utilities. 3, All negotiations with adjacent property Owners. 4. Copies of existing reports and studies germane to the project. Fees All services as described in the Scope of Services portion of this proposal will be performed on a lump sum basis per the following "Fee Schedule", Billings will be on a monthly basis and due in thirty (30) days. Base Fee Schedule: Task 000: Steering Committee Meetings $ 2,500.00 Task 100: Streetscape Master Plan $ 18,000.00 Total: $ 20,500.00 City Staff Directed Components Task 200: Each Individual Property Owner Consultation $ 1,200.00 Up to Five Property Owners ($800 per Owner) $ 4,000.00 Task 300: Each Public Meeting $ 240.00 Patti Banks Associates reserves the right to revise the above-mentioned fees to an agreed-upon amount in the event of additional services, substantial changes to the Scope of Services, or if the time for completion is substantially extended through no fault of Patti Banks Associates. Reimbursable Costs The Owner agrees to pay all reimbursable expenses not included in the above costs. These direct expenses include travel costs, plan and specification reproduction costs, and miscellaneous office costs (such overnight mail, etc.). Travel costs shall be reimbursed at the following rate: IRS standard mileage rate $0.325/mi Plan & Specification reproduction shall be reimbursed at the following rates: Prints (plans) $0.20/SF Color Output At cost CDROM $5.00 Specifications $0.10/page Overnight/Courier Delivery at cost Agreement for Consulting Services Page 5 Gateway Development -Streetscape Master Plan
