AN ORDINANCE AUTHORIZING THE EXECUTION OF THE FIRST AMENDMENT
TO THE STANDARD FORM AGREEMENT BETWEEN OWNER AND ARCHITECT
EXECUTED BY THE CITY OF RIVERSIDE, MISSOURI AND HOEFER
WYSOCKI ARCHITECTS, LLC REGARDING llESIGN OF THE
RIVERSIDE PUBLIC SAFETY FACILITY
WHEREAS, on August 19, 2002, the City of Riverside, Missouri ("City") entered into a
Standard Form of Agreement Between Owner and Architect with Hoefer Wysocki Architects,
LLC ("Hoefer Wysocki") for design of the proposed Riverside public safety facility; and
WHEREAS, the City and Hoefer Wysocki have negotiated certain amendments to the
agreement.
NOW, TIlEREFORE, be it ordained by the Board of Aldermen of the City of Riverside,
Missouri- as follows:
Section I. The City of Riverside shall amend its agreement with Hoefer Wysocki for the design
of the proposed Riverside public safety facility (the "Amendment").
Section 2. The execution and delivery of the Amendment, in substantially the form attached
hereto as Exhibit A, is approved, and the Mayor is authorized to execute the Amendment and to
take such other actions reasonably necessary to carry out the intent of this Ordinance on behalf of
the City, the execution of the Amendment being conclusive evidence of such approval.
Section 3. This Ordinance shall be in full force and effect fi-om and aPler its passage and
approval.

FIRST AMENDMENT TO STANDARD FORM OF AGRF,EMENT
BETWEEN OWNER AND ARCHITECT
THIS FIRST AMENDMENT (the "Amendment°) to the Standard Form of Agreement
Between Owner and Architect, executed by and between the City of Riverside, Missouri and Hoefer
Wysocki Architects, LLC, on August 19, 2002 ("the Agreement'), is dated as of NOVEMBER _,
2002, and is by and between CITY OF RIVERSIDE, MISSOURI, 2950 NW Vivion Road,
Riverside, Missouri 64150 ("Owner"), and HOEFER WYSOCKI ARCHITECTS, LLC, 801
Walnut, Suite 606, Kansas City, Missouri 64106 ("Architect').
WITNESSETH:
WHEREAS, Owner and Architect entered into the Agreement as described above; and
WFIEREAS, Owner and Architect desire to make certain specific amendments to the
Agreement and to leave those portions of the Agreement not directly amended or altered unchanged
and in full force and effect; and
NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein
and for other good and valuable consideration, the receipt and adequacy of which is hereby
acknowledged, the parties hereto agree as follows:
On Page One of the Agreement, the underlined portion of the Section with the heading "For the
following Project" is hereby amended to, and shall, read in its entirety as follows:
Riverside Public Safety Facility. The facility includes between 17,000 and
20,000 sf gross area with a construction budget of $4,500 000.00 which
includes the CM tee.
2. In Article I1 of the Agreement, the underline portion of Section 11.2.1 is hereby amended to,
and shall, read in its entirety as follows:
Total Basic Services Fee shall equal seven percent (7°k,) of the Construction
Coss.
3. In Article 1 1 of the Agreement, Section 11.2.2 shall be added to directly follow Section 1 1.2.1
and shall read i^ its entirety as follows:
Progress Payments for Basic Services in each phase shall total die followint;

Schematic Design Phase: fifteen percent (15%)
Design Development Phase: twentypercent (20%)
