HomeMy WebLinkAbout2001-013 - Agreement for Consulting ServicesBILL NO. ~~ ~'~'%~- ~~> ORDINANCE NO. -` ~'~'~ ~~ AN ORDINANCE APPROVING AND AUTHORIZING THE EXECUTION OF AN AGREEMENT FOR CONSULTING SERVICES. WHEREAS, the City of Riverside, Missouri ("City") desires to engage the services of Universal Construction Company, Inc. ("Universal") to perform the consulting services described in the Agreement for Consulting Services ("Agreement") attached as Exhibit A; WHEREAS, Universal desires to perform the consulting services for the City; and WHEREAS, the City and Universal desire to enter into the Agreement. BE IT ORDAINED BY THE BOARD OF ALDERMEN FOR THE CITY OF RIVERSIDE, MISSOURI, AS FOLLOWS: SECTION 1. The City engages Universal to perform consulting services for the City pursuant to the terms and conditions of the Agreement. The execution and delivery of the Agreement, in substantially the form attached as Exhibit A, is approved, with such changes as the officer executing the Agreement shall approve, the execution of the Agreement being conclusive evidence of such approval. SECTION 2. This Ordinance shall be in full force and effect from and after its passage and approval. ("Consultant") WHEREAS, City wishes to enter into an agreement with Consultant to obtain from Consultant the consulting services described in this Agreement; and WHEREAS, Consultant wishes to enter into an agreement with City to provide City the consulting services described in this Agreement; NOW THEREFORE, in consideration of the following mutual promises and other undertakings, IT IS AGREED by City and Consultant as follows: Consultant shall perform for City the following consulting services in connection with City's consideration of conversion of City's existing City Hall into a public safety facility or construction of a new public safety facility: a. Review the existing City Hall to determine building physical condition and structure and feasibility of possible revisions and additions. b. Engage, at Consultant's expense, Brinkley Sargent Architects to provide public safety space planning and programming to define City's public safety facility needs. Brinkley Sargent shall review the current usage of City's existing public safety space and determine the existing and future public safety space needs of City, on a square footage space allocation and relationship basis. c. Establish construction cost ranges for various building options consisting of various combinations of renovated and/or new space. d. Prepare a break down of all potential fees, soft costs, and other miscellaneous expenses to City for each building option. e. Submit to City a written report setting out the information and other results of the activities described in subparagraphs l .a through l.d. above. The report shall identify and discuss levels of quality, cost, and schedule, and their possible impact on the overall project process and cost. f. Following City's review of the report, and based on City's narrowing of the options presented in the report, submit to City a fmal written report and preliminary program, together with a request for proposal for City's use in connection with contracting for design services. The preliminary program shall establish space types, quantities, sizes, and relationships, based upon the requirements of the functions they are intended to support. It shall provide the designer to be engaged by City with direction and guidance for developing the project design. 2. The report described in subparagraph l.e. above shall be submitted to City not later than 21 days after the execution of this Agreement. The final report, preliminary program, and request for proposal described in subparagraph l.f. above shall be submitted to City not later than seven days after City responds to the report described in subparagraph l.e. above. 3. For the satisfactory and timely performance of Consultant's services, City shall pay Consultant the lump sum of $10,000.00, which shall be the total compensation to Consultant for all services provided in the performance of this Agreement, including but not limited to the services provided by Brinkley Sargent Architects. Consultant shall submit its invoice upon presentation of the final report described in subparagraph l.f. above. Provided Consultant's services have been performed satisfactorily and timely, City shall pay the invoice within 30 days. 1:\CL~NISb1192\00008\IC0181255.DOC 2, 4. Consultant warrants that it has not employed or retained any company or person to solicit or secure this Agreement and that it has not paid or agreed to pay any company or person any fee, commission, percentage, brokerage fee, gift, or any other consideration contingent upon or resulting from the making of this Agreement. 5. Consultant acknowledges that it is an independent contractor and not an employee or agent of City for any purpose. 6. This agreement shall be governed by and construed in accordance with the laws of the State of Missouri.
